Terra Innovatum Global N.V. is a Netherlands-incorporated company with Italian and US operations developing SOLO, a 1-megawatt micro-modular nuclear reactor. It became public through a merger with GSR III Acquisition Corp in October 2025 and has no revenue. Its plan is to license and deploy a first-of-a-kind unit by 2028; the 10-K states that its customer memoranda of understanding are non-binding and contingent on site studies and regulatory approval, and that no customer has yet signed a binding supply agreement. Earnings. Reported 2025 net income of $539.5 million is not earnings: it comes almost entirely from a $560 million non-cash gain on revaluing shares owed to former owners and a $16.6 million gain on warrants. Stripping those out, the business consumed $34.3 million of owner cash in 2025 (operating cash outflow of $10.3 million, adjusted for $4.2 million of favourable payables timing and $19.7 million of share-based payments to advisers and directors) - about $0.62 per share. Spending is rising: operating cash outflow was $8.8 million in the first half of 2026 against $1.4 million a year earlier, and operating losses were $12.7 million versus $3.6 million. There is no history of positive owner earnings to anchor a valuation. Balance sheet. Cash was $91.1 million at June 30, 2026, down from $102.9 million at year-end. There is no borrowing; the bridge loans converted to shares at closing. The large liabilities on the balance sheet ($214 million) are not cash obligations: they are mainly the fair value of 4,000 convertible preferred shares held by former owners that convert into 40 million ordinary shares when regulatory and market milestones are met, plus out-of-the-money warrants at $11.50 and $15.00. We treat those as future dilution, not debt. With 110.2 million shares outstanding plus about 40.2 million contingent shares, the fully diluted count is roughly 150 million, so cash is about $0.61 per fully diluted share. Cases. No case credits revenue from SOLO, because there is no signed contract, licence or order yet - only non-binding memoranda and an NRC pre-application process. Bear ($0.00): spending continues at the current pace of roughly $25-35 million a year through licensing; cash runs out around 2028-2029 before revenue, and further equity is raised at low prices or the program stalls, leaving existing holders essentially nothing. Base ($0.20): spending continues as in the bear case but the reactor design and regulatory work retain some saleable value, so holders recover a fraction of today's cash. Bull ($0.60): the money spent produces assets (design, licensing progress, supply chain) worth what was spent, which is roughly today's cash per fully diluted share. Values above this would require a binding customer contract or a construction licence, which do not exist today. Margin-of-safety price. We are not confident of any earnings level - there are none - and the realistic worst case, running out of cash before a licensed unit and diluting heavily, is fully survivable for the company only at shareholders' expense. With no evidenced earnings and the cash being spent on an unproven outcome, no price can be named at which a 20% annual return is reasonably supported, so no margin-of-safety price is set. A signed, binding SOLO supply agreement or an NRC construction permit would change this. Previously we leaned on outside price targets and the value of non-binding customer commitments; those are not evidence of value, and the previous figures are not comparable. Note: the 10-K includes an older auditor's going-concern paragraph on the pre-merger 2024 statements; the 2025 statements were prepared without a going-concern doubt on the strength of the cash raised in the merger.

Sales geography
None to date (pre-revenue). Non-binding memoranda of understanding with prospective customers in the United States and Italy.
Historical growth strategy
Development-stage company that funds research, design and regulatory licensing of its SOLO micro-modular reactor with equity capital, most recently through its October 2025 merger with a special purpose acquisition company; it seeks growth by signing non-binding memoranda of understanding with industrial and utility prospects ahead of a licensed first unit.
Chart analysis
A chartist would see a recently listed former SPAC that spiked on debut in late 2025 amid enthusiasm for small nuclear reactors and then gave back much of the move in a volatile, choppy downtrend through 2026. With little trading history there are no established long-term support levels; the pattern is momentum- and sentiment-driven, typical of speculative nuclear names, with sharp swings around sector news rather than a steady trend.
