Marten Transport is a debt-free truckload carrier specializing in temperature-sensitive food and consumer goods. It runs four lines of business: one-way refrigerated truckload (about $422 million of 2025 revenue), dedicated fleets for specific shippers ($278 million), and brokerage ($150 million); its intermodal business was sold to Hub Group for $51.8 million in cash on September 30, 2025, with $5 million held in escrow until December 2026. Revenue fell from $1.26 billion in 2022 to $884 million in 2025 as the freight recession that began in 2023 cut both volumes and rates, and net income dropped from $110 million to $17 million. The key fact about this business is that accounting profit overstates the cash an owner can take out. Trucks and trailers must be replaced constantly, and in most years net equipment spending runs at or above depreciation. We measure owner cash as operating cash flow, with temporary swings in receivables and payables removed, less stock compensation and less the equipment spending needed to keep the fleet running (spending tied to genuine revenue growth is excluded). On that basis the last ten years produced about $0.29, $0.39, $0.68, $0.44, $0.79, $0.86, $1.60, -$0.08, -$0.33 and $0.06 per share for 2016 through 2025. The $51.8 million from selling the intermodal business is a one-time sale of a business line, not a trade-in of used trucks, so we exclude it from 2025; including it would have made 2025 look like $0.69 a share. The 2025 figure is also helped by the fleet shrinking (net equipment spending of about $95 million against $105 million of depreciation), while 2023 and 2024 were hurt by heavy replacement buying at high equipment prices. The company itself expects about $92 million of net capital spending in 2026, which is consistent with our view of what it costs to keep the fleet in place. Trucking is cyclical, so we use the full ten-year window, which contains a normal period (2016-2019), a boom (2021-2022) and a deep bust (2023-2025). The median is about $0.41 a share, and we treat that as normal earning power. The most recent year produced $0.06, and the first half of 2026 was weaker still (operating income of $8.5 million versus $15.6 million a year earlier), so the base case starts year one at $0.06, not higher, and does not assume a recovery in the next twelve months. Base case: owner cash stays near $0.06 in 2026, improves to about $0.25 in 2027 as older tractors bought at peak prices cycle out and replacement spending normalizes, and then returns to its ten-year median of about $0.41 for the rest of the decade and beyond. We credit no growth: the company shrank its fleet and sold a business line, and market recovery or share gains are not something we can evidence. That stream is worth about $6.36 a share. The company has no debt and pays essentially no interest, so the business value and the shareholder value are the same except for cash: about $104 million of cash plus the $5 million escrow at June 30, 2026, less roughly $20 million we treat as working cash, adds about $1.09 a share. Base value: about $7.45 a share. Bear case: the current trough lasts another year with no owner cash, recovery is slow (about $0.05 then $0.15), the business reaches only $0.30 a share in normal years, and a second freight recession of the 2023-2025 kind hits in the early 2030s, giving three more years of slightly negative owner cash while the fleet is replaced. Insurance is a real tail risk: the company self-insures a large retention for accident claims, and trucking has seen sharply rising jury verdicts. With no debt, the company can survive this without dilution. That path is worth about $3.61 a share for the business plus $1.09 of cash, about $4.70. This sits below book value of about $9.40 a share, which is mostly trucks, trailers and terminals; the equipment has real resale value, but the business has not earned a return on that book that would justify valuing it there. Bull case: the dedicated and refrigerated fleets regain the earning power of the 2018-2021 years as replacement costs normalize, giving about $0.65 a share in normal years after a two-year recovery. This rests on the company's own demonstrated record rather than a repeat of the 2022 boom, which we treat as a one-off. Value: about $10.14 for the business plus $1.09 of cash, about $11.23. Previous figures were built on a different measure of owner cash and are not directly comparable. In business terms, the main changes are that the intermodal sale proceeds are now treated as a one-off rather than recurring income, and that 2026 results so far show the downturn has not yet ended. How sure are we of the earnings level? Moderately. Ten years of history give a clear typical figure, but the last three years have produced almost nothing, and the cost of new trucks has risen faster than freight rates. The worst plausible outcome is not bankruptcy - the company has no debt, $104 million of cash and a fleet it can shrink and sell - but a long period of earning little while the dividend of $0.24 a share continues to be paid partly from cash, or a large uninsured accident verdict. If we are wrong about normal earning power being $0.41 (if it is really $0.25) and about recovery timing (if it takes three more years), the shares would be worth roughly $4.50-$5.00. The price assumes a three-to-four-year holding period for a freight recovery, with $0.24 a share a year in dividends paid along the way. From $4.25 a share, the base case implies that a return toward base value over about three years plus dividends meets a 20% annual return, and the bear case, supported by a debt-free balance sheet and hard assets carried on the books at more than twice that price, implies a value above it. That is why the margin-of-safety price is about $4.25.

Sales geography
United States nationwide (Midwest, South, West and Northeast), with cross-border freight between the United States and Mexico
Historical growth strategy
Organic growth funded entirely from operating cash flow: steadily adding company tractors and refrigerated trailers, building dedicated fleets for large food and consumer-goods shippers, and adding asset-light brokerage and (until its 2025 sale) intermodal services. No large acquisitions and essentially no debt.
Chart analysis
A chartist would describe a long multi-year downtrend from the freight-boom highs of 2022, with a series of lower highs and lower lows as earnings fell through 2023-2025, and the stock trading well below its long-term moving averages. Any basing pattern near the post-2024 lows would be watched for a break above the declining 200-day average as the first sign the downtrend is ending; until then the trend is down and rallies have tended to fail at resistance.
