PAMT Corp is a family-controlled truckload carrier whose economics swing violently with the freight cycle. Over the past decade its owner earnings - cash from operations less the cost of keeping the fleet current (equipment purchases, including vendor-financed units, net of proceeds from selling retired trucks) and less stock compensation - averaged roughly $30 million a year, or about $1.30 per share, but ranged from roughly $5.40 per share in the 2022 freight boom to negative $4.37 in 2024. That swing is structural rather than a one-off shock: an oversupply of trucks relative to available freight pushed the operating ratio to 118% in 2025 from about 96% in 2023, revenue before fuel surcharge fell 25% in two years, and the company lost $84 million across 2024 and 2025 combined. Compounding the cycle, the fleet was replaced aggressively in 2024 at peak equipment prices, leaving $334 million of installment debt against $35 million of cash and $210 million of book equity, with operating cash flow still slightly negative in the first half of 2026. The bear case assumes trough conditions persist; on a going-concern basis the debt absorbs essentially all of the enterprise value, so the $4 figure rests instead on what the fleet would realize - the equipment is young, only about a third depreciated, and sold above carrying value during 2025 - less continued cash burn. The base case assumes a normal-cycle recovery toward mid-90s operating ratios and is worth roughly book value. The bull case assumes a genuine freight upturn with the operating leverage and deleveraging that follows. Because the bear case is itself asset-dependent and the balance sheet is heavily levered into the downturn, the buy price is anchored on the bear estimate at a wide discount, reflecting only moderate confidence (around 70%) that the outcome lands at or above it. Two caveats: a meaningful share of 2024-2025 equipment purchases was financed directly by vendors and never appeared as a cash outflow, so headline capital spending understates the true burden; and 2025 results include a $26.5 million accident settlement charge.
