LivaNova makes two families of medical devices. Neuromodulation (about $593 million of 2025 sales) sells the VNS Therapy implanted nerve-stimulation system (SenTiva and Symmetry models) for epilepsy and treatment-resistant depression. Cardiopulmonary (about $785 million) sells heart-lung machines (S5, Essenz), oxygenators (Inspire) and related products used in open-heart surgery. Total 2025 sales were $1.39 billion, up 10.7% on 2024; the United States was about 53% of sales. In the first half of 2026 sales rose a further 12.5% to $753 million. What we measure. We value the business on owner earnings: cash from operations, less swings in working capital, less share-based pay (a real cost), less only the maintenance part of capital spending. Per diluted share this was: 2016 $0.83, 2017 $2.98, 2018 $0.92, 2019 $0.83, 2020 -$0.88, 2021 $0.28, 2022 $0.57, 2023 $0.79, 2024 $1.95, 2025 $2.52. Two judgements matter. First, the 3T heater-cooler product-liability litigation was booked as a $294.1 million expense in 2018 but paid later ($123.7 million in 2019, $134.3 million in 2020, plus smaller amounts since); we treat it as a one-off and remove the payments from the earnings years. Second, in 2025 an Italian court ruling led LivaNova to book a $365.6 million charge that has not yet been paid; it does not reduce cash flow, so it does not reduce our earnings figure, and we deduct the obligation separately below. As a check, 2025 net loss plus non-cash charges, less maintenance capital spending, ties exactly to our cash-based figure before share-based pay. Which years count. We use the average of 2024 and 2025, $2.23 per share. 2023 was a transition year in which the company wound down its advanced circulatory support line (a $90.0 million asset impairment and a $12.6 million inventory write-down), and earlier years carried heavy litigation and lower profitability. Segment operating income rose from $179.8 million in 2023 to $272.2 million in 2024 and $323.8 million in 2025. Owner earnings per share grew 29% in 2025; the base case assumes no growth from the $2.23 level, so it starts below the latest year. First-half 2026 does not contradict this: operating cash flow was $81.8 million versus $86.9 million a year earlier, while capital spending rose to $45.8 million from $25.9 million. Capital spending has climbed to 5.8% of sales in 2025 (10-year average 3.4%); we treat only the part above what growth requires as maintenance, and this may understate earnings if the new capacity proves to be mostly growth spending. Obligations deducted. Because the cost of these items is not in the earnings figure, we deduct them in every case, totalling $542.7 million or $9.95 per share: the Italian SNIA environmental judgment ($396.2 million, recorded after the Italian Supreme Court ruled on March 14, 2025 that LivaNova is jointly liable for SNIA's environmental liabilities; settlement talks were ongoing when the annual report was filed); environmental cleanup at the Saluggia site ($41.8 million, the low end of a range up to $58.5 million); the 3T litigation provision ($12.6 million); and contingent acquisition payments ($92.1 million). Debt ($376.7 million) and cash ($635.6 million) are not separately netted because interest paid and earned is already inside owner earnings. One consequence: 2025 earnings included $19.0 million of interest income, which will shrink once cash pays these obligations. We have not adjusted for it, which flatters all three cases by up to about $0.35 a share per year. Base case: $27.26 per share. Owner earnings stay flat at $2.23 per share indefinitely, worth $37.21, less $9.95 of obligations. The evidence that earnings persist is a decade of revenue never below $934 million and two established product families in daily hospital use. No growth is credited: a growing market, share gains, the recently disclosed sleep-apnea system (aura6000) and expansion of depression treatment are not yet demonstrated in the numbers. Bear case: $1.84 per share. Profitability slips back to 2023's $0.79 per share (the last year before the current margin level), held flat, worth $13.14. Obligations are $616.3 million ($11.30 per share): the Italian authorities have argued for at least EUR 108.8 million of costs instead of the EUR 157.3 million the Supreme Court disallowed, which adds about $57 million, and Saluggia comes in at the top of its range. Bull case: $47.39 per share. Owner earnings start from the 2025 level of $2.52 and grow 4% a year for ten years, then hold flat: worth $57.34 before obligations. Growth of 4% is well below recent demonstrated results: sales rose 12.9% in 2023, 8.7% in 2024 and 10.7% in 2025, and capacity is already being built (construction in progress of $60.3 million at year-end 2025 versus $28.0 million a year earlier, and Italian plant assets up from $73.7 million to $110.4 million). What could make this wrong: the SNIA settlement could come in above or below the recorded amount; a further product-liability or environmental claim; margins reverting to 2023 levels; or, on the other side, growth continuing at its recent pace. The margin-of-safety price is $16, about 41% below the base value, because the three cases are far apart, the Italian settlement is unresolved, and the earnings level rests on two years of results.
