Business condition attached to the margin of safety At least one full fiscal year of positive owner earnings (operating cash flow after working-capital swings, stock and warrant compensation, and equipment spending) with no new share or warrant issuance.
Iveda Solutions sells video surveillance, AI video analytics and connected-sensor systems. Almost all of its sales (about 87% in 2025, $4.57 million of $5.28 million) come from Iveda Taiwan, a project-based integrator it bought in 2011 that installs security and camera systems for Taiwanese government agencies and large companies. A handful of Taiwanese customers make up most of the revenue: in the first half of 2026 three of them accounted for 72%, led by the National Chung Shan Institute of Science and Technology at 41%. The US side sells its own AI video, smart-pole and IvedaCare senior-monitoring products through distributors and partners, but brought in only about $0.7 million in 2025 while carrying the company's public-company, research and sales costs. What the business earns: we measure the cash the business produces for its owners each year, after the stock and warrants it hands out as pay and after the equipment spending needed to keep going. On that measure Iveda has lost money in every year we can check. From 2021 to 2025 it consumed between $3.0 million and $4.0 million a year (median about $3.3 million), and the company reports roughly $40 million of accumulated tax losses since it began. Iveda Taiwan roughly breaks even on its own (net profit of about $66,000 in 2025 and $28,000 in 2024); the losses come from the US operation. The shortfall has been covered by selling new shares almost every year, most recently a $2 million offering in February 2026 at $0.35 a share with warrants attached. The share count has risen from about 2 million (after two 1-for-8 reverse splits) at the end of 2023 to 12.5 million in August 2026, with another 12.9 million warrants exercisable at $0.35 until early 2028. Recent trend: management cut US operating costs by about 20% in 2025 (less research spending and investor-relations activity), and the loss narrowed from $3.95 million to $3.18 million. In the first half of 2026 revenue fell 24% as Taiwan government deliveries shifted, but gross profit rose 27% on higher-margin contracts and the net loss held at $1.33 million, a pace of about $2.6-2.7 million a year. Two consecutive periods support a lower burn than the five-year median, so we start from a loss of about $2.9 million a year, a smaller improvement than the 20% achieved in 2025. How we value it: we discount each case's cash flows at 6% a year and add the cash the company holds today, about $4.2 million after its short-term notes and bank loan. We credit no growth, because nothing in the filings shows a signed contract, backlog or proven repeatable process that would turn the losses into profits; new partnerships announced in 2026 (such as GlobalMed for US government agencies and Primion in Europe) are reseller arrangements with no disclosed volumes, so they are left out. Each story runs ten years and stops, since we have no evidence for what follows. Base case (about -$0.50 per share): the business keeps losing about $2.9 million a year, as it has in some form for over fifteen years, and keeps funding it by selling shares. The warrants are exercised and bring in about $4.5 million, spread over roughly 25.4 million shares. Ten years of losses at that rate are worth about -$21 million today, more than the $8.7 million of cash on hand and warrant money combined. Bear case (about -$1.96 per share): US spending returns to its 2023-2024 level and the largest Taiwan customer, 41% of recent sales, stops ordering, so the yearly loss goes back to about $3.9 million. The share price stays low, the warrants are not exercised, and the losses fall on the current 12.5 million shares. Bull case (about -$0.20 per share): management repeats its 2025 cost cuts and the higher Taiwan margins seen in 2026 hold, bringing the loss down to about $1.8 million a year from 2027. Even then the business uses up more cash than it has, and the warrant money only partly covers the gap. What the shares appear to be worth: in all three cases the business as it stands today is worth less than nothing to its current owners. This is not a debt problem, since borrowings are small. It is a business that has never covered its costs, so every future year of losses is paid for by selling new shares. That shrinks each existing holder's share of whatever value the Taiwan integration business and the cash have. For the value to be positive, the company would need to show it can run at break-even or better without new share sales, and the filings do not yet show that. Other points: the shares traded below $1 for long enough that Nasdaq gave the company until March 1, 2027 to get back above that level. The company has said it may use a reverse split, as it has done twice before. In its 2025 annual report management said its cash, plus the $2 million raised in February 2026, would be enough to fund operations for at least twelve months, but it also said the company's future depends on growing revenue or raising more money. The company also reported that its internal controls over disclosure were not effective. Equipment spending is very small, so it barely affects these figures.
