Business condition attached to the margin of safety Confirmation that the Inseego Subscribe software contract with its major carrier customer has been renewed beyond its current July 2026 term (or replaced with a comparable multi-year commitment), reducing the risk tied to the company's heavy reliance on just two carrier partners.
Inseego designs and sells 5G mobile broadband and fixed wireless access hardware (sold under the MiFi and Wavemaker brands) together with a cloud software subscription business (Inseego Subscribe and Inseego Connect) that helps wireless carriers manage device fleets and subscriptions for enterprise and government customers. In November 2024 the company sold its fleet-management/telematics business to focus entirely on this core wireless connectivity lineup, and in January 2026 it repurchased and cancelled all of its preferred stock, removing roughly $42 million of preferred liquidation value and about $3.5 million a year of preferred dividends from the capital structure. On the current, post-divestiture business, cash generation is essentially at breakeven today once we normalize for working-capital swings, stock compensation, and the ongoing investment needed just to keep the product line current (mostly capitalized software development for new device firmware and cloud features). We built our earnings estimate from 2023-2025, the only years for which the company reports results on today's business mix; 2023 was distorted by a large one-time inventory write-down tied to the pandemic-era chip shortage, and 2024 was flattered by a one-time promotional sales program with a carrier partner and by debt-restructuring charges, so neither year alone is representative. Blended together, the three years put normalized owner earnings at roughly breakeven per share today. The single biggest fact about this business, and the reason our estimates carry an unusually wide range, is customer concentration: Verizon Wireless and T-Mobile together accounted for 89% of 2025 revenue, up from 76% in 2024. A large share of the software subscription revenue flows through a contract with one of those carriers that runs only through July 2026. The company also carries $48.9 million of 9% secured notes maturing in 2029 and a $15 million revolving credit line maturing in 2028, both inside our forecast window. Our base case assumes the carrier relationships hold and the July 2026 software contract renews on similar terms - there is no indication in the filings that it will not - while the business continues the margin improvement already visible in 2025, when gross margin rose to 42.7% from 36.0% as higher-margin fixed wireless access and software revenue grew faster than commodity mobile hotspot device sales. On that path, owner earnings build gradually from roughly breakeven today to a modest, sustained level by mid-decade, which we hold flat (no further growth) beyond year ten - we see no basis in the filings for assuming permanent growth beyond that, given how concentrated and cyclical the underlying hardware business is. That flat, no-growth tail still makes up a substantial majority of the estimated value, which is the mathematical consequence of discounting a very low current earnings level - it rests on the view that the carrier-embedded software subscription piece of the business can persist near its current level indefinitely, funded by the ongoing product-development spending already charged against earnings. Our bear case is built around loss of, or a substantial cutback in, one of the two dominant carrier relationships - for example, the July 2026 software contract is not renewed, or hardware orders from a carrier partner decline as it diversifies suppliers. Given how concentrated revenue already is and how much of the cost base is fixed research-and-development and engineering spend, a setback like that would push owner earnings meaningfully negative for several years, and the $48.9 million of secured debt sits ahead of common shareholders throughout. In that scenario the shares are worth less than nothing to common holders on a per-share basis - our estimate is a modest negative amount, reflecting that the secured lenders would have first claim on a smaller, less profitable business. Our bull case assumes the fixed wireless access product line, which began ramping with a new carrier launch in the second quarter of 2025, continues to scale, and that the software subscription business - which has effectively no incremental hardware cost - grows its share of a widening carrier and enterprise customer base. Under that path, continued margin expansion and the already-visible reduction in overhead (stock compensation expense has fallen from about $18 million in 2022 to about $7 million in 2025) produce real operating leverage and a meaningfully higher, sustained level of owner earnings. We should note that the most recent six months of 2026 show revenue growing again year over year, which is consistent with our base case, but operating cash flow over that period was substantially more negative than a year earlier and net income swung to a larger loss - a combination we could not fully reconcile from the information available to us. We are treating it as a data point to watch rather than as evidence that changes our estimate of normal earning power. Given the combination of a business earning close to nothing today, extreme reliance on two customers, and meaningful secured debt ahead of common equity, the margin-of-safety price sits at a considerable discount to our base-case estimate, and it is best supported once there is more clarity that the carrier relationships - and specifically the mid-2026 software contract renewal - are secure.
