Business condition attached to the margin of safety Revenue growing again (the first half of 2026 was flat at $171.4 million against $170.6 million) and stock-based costs, including the Walmart warrant, no longer rising faster than cash from operations, with owner earnings visibly positive for at least two consecutive quarters.
Ibotta runs a digital promotions network. Consumer packaged goods brands pay a fee, generally a fixed dollar amount, each time a shopper buys a promoted item and redeems an offer. Offers are delivered through Ibotta's own app and website (direct-to-consumer) and through third-party publishers, including a multi-year exclusive arrangement to supply digital rebate offers for Walmart U.S. Revenue was $342.4 million in 2025, down from $367.3 million in 2024, and was flat in the first half of 2026 ($171.4 million versus $170.6 million). How we measure earnings. We start from operating cash flow and remove swings in working capital, then deduct stock-based compensation and the cost of the warrant issued to Walmart, which is a payment in shares for access to Walmart shoppers and is a real, recurring cost. Capital spending is deducted in full when revenue is shrinking. On this basis owner earnings were about $51.5 million in 2023 (a year before the IPO, when stock compensation was only $7 million), $31.1 million in 2024 and negative $16.6 million in 2025. The 2025 figure includes roughly $19 million spent fitting out a new headquarters, partly reimbursable by the landlord through a $13.2 million lease incentive. Excluding that one-time item, 2025 was about break-even. Cash from operations held at roughly $95 million to $116 million, but stock compensation of $44 million plus $8.8 million of warrant expense and $14 million a year of capitalized software absorb nearly all of it. Why the level is low. Gross margin fell from 86% to 79% in 2025. Direct-to-consumer redemptions dropped from 116.1 million to 85.0 million because there were fewer and less attractive offers per user, while third-party publisher redemptions rose from 228.0 million to 255.8 million at a lower fee of $0.79 per redemption versus $1.11 on Ibotta's own properties. More redeemers (18.2 million versus 14.7 million) did not raise total redemptions (340.8 million versus 344.1 million). The first half of 2026 shows a net loss of $11.6 million against a profit of $3.0 million a year earlier, with stock compensation up to $27.4 million from $23.0 million. Our starting level of about $8 million a year, or about $0.34 a share on the roughly 23.3 million shares outstanding after the company repurchased $236.3 million of stock in 2025, leans toward the recent, weaker years rather than 2023 and 2024, which reflected a pre-IPO cost structure and higher margins. Growth-path check: owner earnings fell in 2025 and we assume 0% growth in year one. Base case, about $3.23 a share: owner earnings stay at about $8 million for ten years and then fade steadily to zero over the following ten. We credit no growth. Revenue is flat and nothing signed or under way puts new growth in hand. The Walmart relationship, whose warrant runs to May 2031, and the absence of any client above 10% of revenue support the idea that the network persists for a long time, but we do not assume it keeps earning beyond a gradual fade. Bear case, $0: owner earnings are about zero, which is where the first half of 2026 points (operating cash flow of $43.6 million against $27.4 million of stock compensation, about $12 million of capital spending and further warrant expense; the unvested Walmart warrant still carries $21.3 million to be expensed over about 2.8 years). We do not add the $186.6 million of cash the company holds, and there is no borrowing against its $100 million credit line, so leverage is not a factor. Bull case, about $10.10 a share: owner earnings return to about $25 million a year, close to the 2024 level, if gross margin recovers toward the prior 86% and stock compensation stops rising, held flat for ten years then faded over ten. No revenue growth is assumed. What could make this wrong: the landlord reimbursement and lower headquarters spending could lift 2026 cash flow above our level; alternatively continued shrinkage in Ibotta's own app could push earnings below break-even. The company's pre-IPO share counts are not directly comparable to today's, so the 2023 and 2024 per-share figures are approximate.
