HARROW, INC. (HROW) stock intrinsic value fair value estimate & owner earnings analysis

Margin of safety$5.00 ComplexityHigh Updated
$1.05 $28.90
bear $1.05 base $12.50 bull $28.90 margin of safety $5.00 market price* $27.28
Business condition attached to the margin of safety Two consecutive quarters of positive owner earnings (operating cash flow excluding working-capital swings, less stock compensation and capital spending) after the 2026 sales-force and launch spending step-up, without new equity being issued to fund the business.
WHAT THE BUSINESS IS Harrow sells eye-care drugs in the United States. It has two parts: a branded pharmaceutical business built mostly by buying or licensing products from larger companies, and ImprimisRx, a pharmacy that compounds eye-drop formulations for doctors. In 2025 revenue was $272.3 million: VEVYE (a prescription dry-eye drop) $88.7 million, IHEEZO (an anesthetic gel used in eye surgery) $81.3 million, other branded products $25.3 million, and ImprimisRx $76.5 million. Branded products earn high gross margins (81% in 2025), so the business case rests on whether sales can grow faster than the selling, marketing and interest costs needed to support them. HOW WE MEASURED EARNING POWER We measure owner earnings: cash from operations, with the swings in receivables, inventories and payables stripped out, less stock-based pay (a real cost to shareholders) and less the capital spending needed to maintain the business. Amortization of purchased product rights is added back because it is a past acquisition cost rather than an ongoing operating cost. However, those rights wear out, so we account for that decline in the forecast and the long-term fade instead. Capital spending is tiny (under $1 million in 2025). On this basis the record is thin. Owner earnings were negative in most years from 2016 to 2023. They were $4.8 million ($0.14 a share) in 2024 and $31.2 million ($0.85 a share) in 2025. 2025 was the first clearly profitable year, and nearly all of it came in the second half. The business today is the one assembled since 2023, when Harrow bought a portfolio of Novartis eye products and licensed VEVYE. The median of 2023 to 2025 is only about $0.14 a share, so we do not treat 2025 as a settled run rate. The first half of 2026 supports that caution. Revenue was $114.9 million, up only about 3%. Operating loss was $33.1 million, and operating cash flow was negative $18.7 million. On our measure, first-half owner earnings were roughly negative $30 million, compared with roughly break-even a year earlier. Three identifiable causes are behind this. First, a one-time reduction in net VEVYE revenue of about $8 million tied to new insurance coverage. Second, IHEEZO's temporary Medicare pass-through payment ended on March 31, 2026, and IHEEZO sales fell to $15.6 million in the second quarter from an average of about $20 million a quarter in 2025. Third, spending rose sharply: first-half selling and administrative costs were $96.5 million, a pace roughly a quarter above 2025, and research spending also rose. Our own estimate for full-year 2026 revenue is about $295 million, well below management's $350 to $365 million target. The difference depends on how quickly new launches ramp up, and we have not assumed it. DEBT Harrow owes $250 million of 8.625% notes due 2030 and borrowed about $49 million more in the first half of 2026, bringing loans payable to $292.4 million at June 30, 2026, against $83.9 million of cash. Shareholders' equity fell to $15.2 million. Interest is already deducted in our owner earnings, so we do not subtract the debt a second time. Instead, the debt shows up in the bear case, where the 2030 refinancing costs more and shares are issued. Two known payments are coming. Harrow agreed in August 2026 to acquire TYRVAYA, a dry-eye nasal spray, from Viatris for $30 million upfront plus up to $70 million in sales milestones. It also owes about $87.2 million in cash if MELT-300, a surgical sedation candidate acquired with Melt Pharmaceuticals, is approved by the FDA. THE CASES (discounted at 6%) Base case, about $12.50 a share. VEVYE keeps growing. Its second-quarter 2026 sales of $29.4 million were well above its 2025 quarterly average, and coverage with a top-three pharmacy benefit manager began August 1, 2026. BYOOVIZ (a Lucentis biosimilar, launched July 2026) and OPUVIZ (an Eylea biosimilar, expected mid-2027), both supplied by Samsung Bioepis under a profit share, add revenue, as do TYRVAYA and BYQLOVI. Against that, IHEEZO resets to lower pricing, TRIESENCE's pass-through period ends around the second quarter of 2028 under Medicare's three-year rule, and the older acquired brands keep shrinking (they fell from $37.8 million to $25.3 million in 2025). Revenue reaches about $335 million in 2027 and levels off near $430 million in the early 2030s. Owner-earnings margins rise from about 7% to 13%, a little above the 11.5% of 2025, as the enlarged sales force gains scale. That gives about $55 million a year. We deduct the TYRVAYA upfront payment and part of its milestones. After 2035 earnings fade 10% a year, because the product rights wear out and nothing in the record shows Harrow replacing them without new borrowing or new shares. Bear case, about $1 a share. The 2026 cost step-up does not pay off. Insurance discounts on VEVYE and the IHEEZO reset offset launch gains, revenue stays near $300 million and then drifts lower, and owner earnings stay in single-digit millions. Refinancing the 2030 notes costs more (Harrow paid 11.875% on earlier notes) and requires issuing shares, following the pattern of share count growth from about 27 million in 2021 to 37.5 million today. On these assumptions there is almost nothing left for shareholders after the debt holders. Bull case, about $28.90 a share. VEVYE, the biosimilars and TYRVAYA execute well. Revenue reaches about $530 million by 2030 and owner-earnings margins reach 20%, similar to the roughly 21% Harrow actually earned in the second half of 2025, for about $110 to $118 million a year, with full milestone payments deducted and a 7% annual fade after 2035. We have not included MELT-300 in any case because it is not approved. WHAT WOULD MAKE THIS WRONG The wide spread between cases is the main point. Harrow has shown one profitable year, then spent heavily on a larger sales force and new launches, with a thin equity cushion and high-cost debt. If the second-half seasonal strength seen in 2025 does not return in 2026, the base case is too high. If VEVYE's coverage gains and the biosimilar launches produce 2025-like margins on a larger revenue base, the bull case is within reach. Because the downside is close to zero, the margin-of-safety price applies only after the new spending turns into positive owner earnings for two quarters in a row, and even then sits at a large discount to the base case.
