Business condition attached to the margin of safety The FDA approves reproxalap for dry eye disease and AbbVie exercises its option and signs the collaboration agreement. That brings in the $100M upfront payment less the $6M AbbVie already paid, plus the $100M approval milestone.
Aldeyra Therapeutics, based in Lexington, Massachusetts, develops drugs and has no product sales. Its lead candidate is reproxalap, an eye drop for dry eye disease. Its second late-stage candidate is ADX-2191, an injectable form of methotrexate for primary vitreoretinal lymphoma and retinitis pigmentosa. Behind these are earlier-stage compounds such as ADX-248 and ADX-246. The company's record is one of steady spending with no approved product. We measure the cash the business uses as operating cash flow, with working-capital timing swings taken out and stock-based pay counted as a real cost. On that measure it used between $18 million and $61 million a year from 2016 through 2025, about $418 million in all. In 2025 it used $34.3 million, about 57 cents a share. Reproxalap has twice been turned down by the FDA. The first Complete Response Letter came in November 2023. The second, in April 2025, said the application had not shown efficacy and asked for at least one more well-controlled study. ADX-2191 received its own Complete Response Letter in June 2023. Aldeyra resubmitted reproxalap in June 2025, and the FDA sent a draft label in early December 2025. On December 15, 2025 the FDA asked for results from a field trial that had not reached statistical significance, which moved the decision date to March 16, 2026. The main commercial asset is an option agreement with AbbVie signed in October 2023. AbbVie has paid $6.0 million in non-refundable option fees. If the FDA approves reproxalap, AbbVie has ten business days to exercise. Exercise would bring a $100 million upfront payment, less the $6.0 million already paid, plus a $100 million approval milestone. Aldeyra would also get 40% of U.S. profits and losses and royalties outside the United States. The latest annual report was filed before the March 16, 2026 decision date and does not say what the FDA decided. The June 30, 2026 financial statements show no approval-related money from AbbVie. The $6.0 million of option fees is still carried as deferred, and no revenue was recognized. Cash fell from $70.0 million at the end of 2025 to $45.1 million, partly because the company repaid its $15.0 million Hercules loan, which came due April 1, 2026. Spending dropped sharply: research and development was $5.9 million in the first half of 2026, against $15.9 million a year earlier. The filings we have do not say why, so we have not assumed approval. How we value it. Nothing the company sells today earns money, and ten years of spending has not yet produced an approved product. So we give future development spending no credit for returns we cannot point to. What owners have is net cash of about $41.4 million, or 69 cents a share. That is $45.1 million of cash less about $3.7 million of bills and accrued costs. The company has no debt. We did not deduct the $6.0 million AbbVie deferral because it does not have to be repaid. In each case the company spends this cash on its programs, and the case ends when the cash runs out. Stock awards to staff are counted as a cost along the way. Base case: spending continues at the first-half 2026 pace, about $16.9 million a year in cash costs before interest income. Stock awards run at 16% of cash spending, the typical relationship from 2021 to 2025. Stock pay in early 2026 was only $0.66 million because of a first-quarter reversal. The cash lasts about two and a half years. Value: minus 5 cents a share (-$0.05). In this case the company appears to owe more than it is worth, by roughly $3 million, mostly the cost of stock awards paid while the cash is spent. Bear case: spending returns to the 2025 level of about $28 million a year in cash plus $6.1 million in stock awards. That would happen if the FDA again asks for another trial, as it did in 2023 and 2025. The field trial the FDA requested missed statistical significance. The cash would be gone in about 18 months. Value: minus 11 cents a share (-$0.11). Here the company appears to owe more than it is worth by roughly $7 million. Bull case: cash spending stays at the reduced first-half 2026 pace, and stock awards stay at the low first-half level. Value: about zero ($0.00). Why approval is in none of the cases. The December 2025 draft label was encouraging. But the decision that followed is not in the filings we have, the mid-2026 accounts show no approval payment, and the FDA has rejected the drug twice before. If approval and AbbVie's exercise do happen, the picture changes a lot. The contract would bring $194 million in cash. Added to the cash likely left after about a year of spending, that comes to roughly $3.60 a share, before any value from the U.S. profit share, the remaining milestones of about $100 million, or royalties outside the United States. The margin-of-safety price of $1.60 applies only if both conditions are met. It sits well below that cash-backed figure because Aldeyra would pay 40% of U.S. launch losses, and those losses are unknown. Accounting choices. We treated AbbVie's $6.0 million of option fees as deferred money rather than earnings. We added back non-cash in-process research charges in 2019 and 2020. The 2016 cash flow was rebuilt from the income statement and the balance-sheet changes. What would make this wrong: an FDA approval followed by AbbVie exercising its option would raise the value sharply. A decision to stop development and hand back the cash would also leave owners better off, at up to about 69 cents a share. Faster spending would push the value further below zero.
