Business condition attached to the margin of safety Two to three consecutive quarters confirming that system-wide sales at the core, non-MRI brands (HireQuest Direct, Snelling, DriverQuest/TradeCorp, HireQuest Health) have stabilized or resumed growth, and no further impairment of the retained 40% MRI Operations joint-venture stake.
HireQuest is a franchisor, not an operator: it licenses staffing brands - HireQuest Direct (light industrial and day-labor placement), Snelling, DriverQuest and TradeCorp (specialized driver and skilled-trades staffing), and HireQuest Health - to independent franchisees and collects a royalty, on average about 5.8% of what those franchisees bill their customers ("system-wide sales"). Because it doesn't run the offices itself, the business needs very little capital: property and equipment spending has run under $100,000 a year since 2022. Through 2025, HireQuest also owned MRI Network, a permanent-placement recruiting franchise it bought in December 2022. MRI struggled as hiring for professional and executive roles slowed, and the company wrote off more than $6 million of MRI's goodwill and trade-name value in 2024 and a further roughly $0.9 million in 2025. Effective January 1, 2026, HireQuest contributed MRI's franchise operations into a new joint venture, MRI Operations, LLC, in exchange for a 40% ownership stake alongside several independent staffing-industry investors, and no longer consolidates MRI's revenue (it kept a smaller "contract staffing" piece of MRI directly). Demand for the remaining core brands has also softened for two straight years: system-wide sales at HireQuest Direct fell 4% in 2024 and a further 7% in 2025, and at Snelling fell 1% then 5%, which the company attributes to a broader slowdown in construction and manufacturing hiring. The one bright spot has been DriverQuest and TradeCorp, which grew even in 2025. HireQuest carries little debt, has paid a steady dividend, and made a small share buyback in 2025. Owner earnings - cash the business generates after stripping out swings in working capital, stock-based pay, and the modest capital spending needed to sustain the current office count - have averaged a bit over $0.80 per share over the past four years, ranging from about $0.35 in the pandemic-affected 2020 to $1.24 in 2022 (a strong labor-market year, before MRI was added) and back down to about $0.78 most recently. We use roughly $0.82 per share as the normalized starting point for the three cases below. Base case: the recent softness continues into 2026, roughly in line with the last two years' trend, before leveling off and then recovering modestly, mirroring how this company's own results moved through the last full cycle (a sharp COVID-era trough in 2020 followed by a multi-year recovery through 2023). Growth resumes at only a few percent a year, since the franchise office count has actually been shrinking on a net basis even outside of MRI. On this path, we estimate the shares are worth around $19. Bear case: the current downturn in blue-collar and light-industrial staffing demand runs deeper and longer before finding a floor, with no recovery over the ten-year window - a reasonable "things don't get better" outcome given two consecutive years of accelerating declines at the two largest brands, and given that management has already shown it can destroy value through acquisition (MRI). We estimate this case is worth around $12. Bull case: the current cyclical downturn resolves the way it has for HireQuest before, with core brands returning to the double-digit growth rates seen from 2021-2023, DriverQuest/TradeCorp continuing to take share, and the retained MRI joint-venture stake performing reasonably under its new operators. We estimate this case is worth around $32. A note on accounting: the large impairment charges tied to MRI in 2024 and 2025 are non-cash and don't reduce the owner-earnings figure directly - they reflect that HireQuest overpaid for or over-forecast that acquisition, not a drain on current cash generation. We've addressed that reality instead by keeping near-term growth assumptions conservative and by excluding MRI's contribution from the forward outlook once the joint venture took effect. Based on this range, the margin-of-safety price is around $12, close to the bear-case estimate, to build in protection against the risk that the current staffing slowdown proves more persistent than we expect. A higher margin-of-safety price would require two or three quarters confirming that system-wide sales at the core brands (excluding the now-deconsolidated MRI) have stopped declining, and that the retained MRI joint-venture stake does not require further write-downs.
