Business condition attached to the margin of safety At least two consecutive fiscal years of positive owner earnings after stock-based compensation and maintenance capital spending, measured on operating cash flow before working-capital swings.
Groupon runs an online marketplace where merchants sell discounted vouchers, mainly for local experiences (restaurants, spas, activities), plus a shrinking Goods category and Travel. Revenue is what is left after paying merchants, so it fell from $2.2 billion in 2019 to about $0.5 billion in 2024 and 2025 ($492.6 million in 2024, $498.4 million in 2025). We value the company on what is left for shareholders after operating costs, cash interest, working-capital swings, stock compensation and the capital spending needed to stand still. How we measure earnings. We start with operating cash flow and strip out working-capital movements, which at Groupon are large because the company holds merchant money before paying it out. Groupon's 2025 operating cash flow of $64.5 million included a $30.3 million cash benefit from working-capital timing, mostly a $32.8 million rise in amounts owed to merchants; without it, cash flow was about $34.2 million. Stock-based compensation was $37.8 million in 2025 (up from $26.7 million in 2024 and $14.5 million in 2023) and is treated as a real cost, and capital spending was $14.6 million. The result is owner earnings of about negative $18 million, or about negative $0.45 per share, in 2025. On the same basis the per-share results were roughly $2.36 in 2019, negative $3.53 in 2020, $0.53 in 2021, negative $3.32 in 2022, $0.04 in 2023 and negative $0.03 in 2024. We use 2023 to 2025 as the guide to the business as it exists now, because 2019 to 2022 reflect a much larger company and the merchant-payment unwinding that followed the pandemic collapse. Over that recent stretch the median is roughly break-even. Note that 2021, 2022 and 2023 included very large negative working-capital swings (repayments to merchants and lease payments) that this method removes. What is genuinely improving. In North America, Local gross billings rose 14.2% in 2025 to $1.25 billion and North America gross profit rose $13.6 million, while international billings fell 3.3% and the Goods category is being wound down. Consolidated revenue rose only about 1% in 2025, because revenue lags billings (promotional discounts and higher redemptions) and international is shrinking. We do not credit further growth in any case: expanding billings depend on continued customer and merchant adoption that the company has not shown it can sustain through a full cycle, and the business has never yet produced a sustained run of positive owner earnings in its current form. The cases. Base case: owner earnings stay around break-even, as they have averaged in 2023 to 2025, and the current year-1 assumption is flat or lower than the 2025 result, not higher. Nothing named and evidenced lifts them above zero, so the base case is worth $0 per share. This is not a claim that the company is in imminent trouble; it means the shares are valued only on what the business has demonstrably delivered to owners, and that is currently nothing after stock compensation. Bear case: the marginal cash generation seen in 2024 and 2025 does not cover stock compensation, international keeps shrinking and Goods continues to decline; owner earnings stay negative. The company also carries convertible senior secured notes (the 2027 Notes, issued November 2024 at $197.3 million, part of which was exchanged in 2025 for new 2030 Notes), and cash paid for interest was $14.7 million in 2025, up from $3.4 million in 2024. We do not subtract debt from value or add the balance sheet cash on top of a case value, because the cash flow already reflects interest paid. That leaves the bear case at $0 per share; we do not estimate here by how much liabilities might exceed the business's worth. Bull case: owner earnings recover to about $0.50 per share, the level reported in 2021 (the best result of the past four years, and again by simple restoration of the roughly $19.7 million a year pre-stock-compensation cash margin seen after maintenance capex in 2025 with stock compensation held near 2023 to 2024 levels), and hold for about seven years before fading. Discounted at 6%, that is worth about $2.50 per share. We left out any longer-run growth from North America Local billings or a return of international growth because no contract, backlog or multi-year record of steady, self-funded expansion supports it. What would make this wrong. If stock compensation falls back toward 2023 levels while North America billings continue growing and international stabilises, owner earnings could be positive and durable, and value would exceed our base case. In the first half of 2026 the trend has not yet shown this: operating cash flow was $8.2 million against $28.4 million in the first half of 2025, stock compensation was $20.2 million, and the company posted a net loss of $14.6 million for the six months. Also, we could not fully reconcile in the filings how much of 2025 stock compensation reflects a one-time performance award versus a recurring level. Margin-of-safety price. Because the base and bear cases are both worth nothing and only the bull case has value, the margin-of-safety price applies only after the company has shown positive owner earnings for two consecutive years. Once that condition is met, the margin-of-safety price is about $0.75 per share, a discount of roughly 70% to the bull case, reflecting a small, leveraged, shrinking company and the possibility that the bull case does not arrive.
