Business condition attached to the margin of safety The company reports compliance with its bank covenant of Senior Funded Debt to EBITDA of no more than 2.50x (first tested for the quarter ending September 30, 2026) without a waiver or amendment.
FitLife Brands, based in Omaha, Nebraska, owns a group of nutritional supplement brands and has no factories of its own. Contract manufacturers in the United States make everything. The brands come in two groups. The first is what the company calls Legacy FitLife: NDS Nutrition, PMD, SirenLabs, Metis and other brands sold mainly through GNC stores; the iSatori/Energize brands; the Dr. Tobias and Maritime Naturals brands (the MRC business, bought in February 2023 and sold mostly on Amazon); and MusclePharm (bought in October 2023). The second is Irwin Naturals, Applied Nutrition and Nature's Secret. FitLife bought these from bankruptcy on August 8, 2025 for $42.5 million. Irwin sells mainly through wholesale channels to mass-market retailers and health food stores, and the 10-K names CVS, Walmart, Walgreens and Costco Canada as its largest mass-market customers. About 95% of sales are in the United States and most of the rest are in Canada. Capital spending is tiny (under $0.2 million in every year since 2016), so almost all operating cash is available to owners. Revenue was $81.5 million in 2025. What the business earns. We measure owner earnings as operating cash flow, less working-capital swings, stock compensation and the capital spending needed to maintain the business. On that basis FitLife earned $0.68 per share in 2023, $0.93 in 2024 and $0.71 in 2025. Years 2021-2023 were helped by a tax asset recognized in 2020 that kept cash taxes low; by 2024 the company was paying $2.5 million a year in cash taxes. The 2025 figure includes $2.1 million of one-time Irwin deal costs and only five months of Irwin. We added back $1.0 million of non-cash inventory step-up and the amortization of acquired customer relationships. Because those acquired intangibles do wear out, we built that decay into the forecasts rather than into today's earnings. Irwin now provides more than half of revenue, so the history before 2025 describes a different company. We therefore base today's earning power on the three quarters since the purchase. Owner earnings for the first half of 2026 were $4.7 million, against $3.6 million a year earlier. Legacy FitLife contributed about $4.2-4.3 million per quarter after marketing, and Irwin $4.0-4.1 million in each of the first two quarters of 2026. After overhead of about $19.7 million a year (including normal stock compensation), interest of about $2.6 million and tax, we put first-year owner earnings at about $8.6 million, or $0.86 per share. Owner earnings per share fell 23% in 2025. Our first year is higher because of a full year of Irwin and no repeat of the deal costs, and it is below the first-half 2026 pace. The two halves are moving in opposite directions. Legacy FitLife revenue fell 4% in 2025, then 23% in the second quarter of 2026 to $12.4 million. Wholesale fell 31%, mainly lower sales to GNC, and online fell 19%, mainly MRC. However, legacy revenue has been roughly flat for three straight quarters ($13.3M, $12.5M, $12.4M). Irwin is growing. Its revenue rose from $12.6 million in the fourth quarter of 2025 to $14.1 million in the second quarter of 2026. FitLife moved Irwin onto Amazon in October 2025, and by mid-2026 Irwin's Amazon sales had reached a rate of about $11 million a year. Irwin's margins are lower than the legacy brands'. Base case ($7.08 per share). Legacy contribution falls 6% a year for four years, then 3% a year. Irwin grows 4% a year for three years as the Amazon rollout continues, then holds flat. Overhead rises 1% a year. Tax is about 25%, less a modest saving of about $0.45 million a year from deducting the Irwin purchase price over 15 years, as US tax rules allow for asset purchases. Cash taxes in the first half of 2026 did run below book taxes. Owner earnings drift from $0.86 to about $0.45 per share by year 10. After that they fade 5% a year: the brands are long-lived (Irwin was founded in 1994, and the NDS brands have sold through GNC franchise stores in every report we reviewed back to 2016) but decaying. The number of US GNC franchise stores FitLife sells to fell from more than 900 in the 2017 annual report to about 600 in the 2025 report. Bear case ($2.62 per share). The declines seen in 2026 continue. Legacy contribution falls another 15% in year one and 12% in year two, with GNC wholesale and MRC online still shrinking, then falls 8% and later 5% a year. Irwin loses customers again, as it did before FitLife bought it, and shrinks 3% a year. Cost cuts only begin in year three. Debt costs rise to $3.0 million a year. This business has fallen fast before: in 2017 revenue dropped 30% on weaker GNC traffic. The case includes a real leverage risk: about $38 million of debt at June 30, 2026, a term loan that comes due in August 2030, and a loan covenant that tightens to 2.50 times debt-to-EBITDA starting September 30, 2026. By our estimate of roughly $14 million in annual cash operating profit, that leaves little room. Owner earnings fall to about $0.13 per share by year 10, then fade 10% a year. Bull case ($14.37 per share). The legacy decline slows to 3% a year for two years and then stops, as the last three quarters suggest it might. Irwin grows 8% a year for three years as Amazon and e-commerce take a larger share (Irwin's online sales went from about 4% of its revenue at purchase to 24% in the second quarter of 2026), then 2% a year. Owner earnings reach about $1.16 per share by year 10, then fade 3% a year. We did not count future acquisitions in any case. They are paid for out of the same cash we are already valuing, and the brands bought in 2023 (MRC and MusclePharm) have been shrinking. All values use a 6% discount rate. We did not deduct debt separately, because interest is already subtracted from owner earnings. The debt risk sits in the bear case instead. Margin-of-safety price and risks. The margin-of-safety price is $3.75, about 47% below the base case. At that price, first-year owner earnings would represent a yield of about 23%. A large discount is needed because this is a very small, indebted company with a shrinking legacy business. A single customer accounted for 14% of 2025 sales (23% in 2024). The company was in compliance with its loan covenants at June 30, 2026. Because the covenant tightens starting with the September 30, 2026 quarter, the price also applies only once the company reports compliance at the new level without needing a waiver. The value would be wrong if Irwin's wholesale customers leave faster than Amazon sales grow, or if the GNC channel keeps falling at 2026 rates.
