Erie Indemnity Company is not an insurance underwriter. Since 1925 it has served as the attorney-in-fact for Erie Insurance Exchange, a policyholder-owned reciprocal insurer, handling policy issuance, claims handling, and administration in exchange for a management fee equal to a fixed percentage of the premiums the Exchange writes. Indemnity carries essentially no underwriting risk itself -- storms, litigation, and reserve charges are the Exchange's problem, not its shareholders'. This makes Erie Indemnity closer to an asset-light royalty on a large and growing insurance book than to a traditional insurer. The management fee rate is set at least annually by Erie Indemnity's board and is capped at 25% of the Exchange's direct and affiliated premiums. That cap has been in effect, and the board has set the rate at the maximum, every year for over a decade -- the rate has not moved. This is the single most important lever in the business: because Indemnity's revenue is a fixed slice of the Exchange's premiums, its growth is driven almost entirely by how fast the Exchange grows (new policies, retained customers, and rate increases), not by anything Indemnity does operationally. Costs -- claims handling staff, technology, commissions to agents -- are Indemnity's own to manage, so margin depends on running the service operation efficiently as the book scales. We built owner earnings from operating cash flow, after removing the swings caused by working-capital timing (most notably the timing of pension funding, which has swung by more than $100 million in a single year as the company caught up an underfunded pension plan) and after deducting only the portion of capital spending needed to sustain the business (maintenance capex), separating that from the larger, growth-related technology and facilities investment made in some years. Stock-based and incentive compensation is small for this company -- well under 2% of earnings in every year -- and is mostly cash-settled, so no separate deduction for it was needed. Owner earnings per share have grown from roughly $4 in 2016-2017 to over $10 in the last two years, reflecting a genuinely larger business: the Exchange's premium base has nearly tripled since 2016 as the property-and-casualty industry pushed through unusually large, sustained rate increases in response to higher repair and litigation costs. We anchored the current earning power on the median of the last five years (2021-2025), roughly $8.60 per share, rather than the full decade, because the earlier years describe a materially smaller version of this business, and rather than the most recent year or two, because premium growth has already begun to decelerate (written premium growth slowed from 18% in 2024 to 9% in 2025) and a single recent year should not set the anchor. Our base case assumes premium growth continues to normalize toward a mid-single-digit long-run rate, the fee stays at its current cap, and margins hold roughly steady. Our bear case assumes the board comes under pressure -- most plausibly after a period of weak underwriting results at the Exchange or a major catastrophe year -- to cede a couple of percentage points of the fee rate back to policyholders, combined with a slowdown in premium growth as the current hard insurance market fades; this case values the shares meaningfully lower but still comfortably positive, since even a reduced fee on a large and growing premium base remains a substantial, low-risk cash stream. Our bull case assumes the fee rate holds at its cap indefinitely, the Exchange continues gaining share, and the service operation gets more efficient as it scales. For the years beyond our ten-year forecast, we treated this as a durable, self-renewing fee stream -- the underlying attorney-in-fact relationship has existed for a century and does not depend on any large recurring capital outlay beyond what is already charged against earnings -- but we assumed only very slow (roughly 1%/year) growth in the tail, well below the growth rate assumed during the explicit forecast, in recognition that the fee-rate-reset mechanism is a real, ongoing constraint on how much of the Exchange's growth ultimately flows to Indemnity's shareholders. This tail accounts for a large share of the total estimated value (a common feature of long-duration, low-risk cash flows discounted at a low rate), which we flag plainly: roughly two-thirds of the estimated value in both the base and bull cases rests on the business still collecting a fee at or near today's rate many years from now. We found no indication this company is Chinese-controlled, involved in cannabis or cryptocurrency, a non-operating shell, at risk of delisting, or carrying a going-concern warning.
