EnerSys is the world's largest maker of industrial batteries and the power equipment around them. It sells through three segments: Energy Systems (backup power for data centers, telecom and broadband networks, utilities and industrial switchgear, plus the power systems and enclosures from its 2018 Alpha Technologies acquisition), Motive Power (batteries and chargers for electric forklifts and automated warehouse vehicles) and Specialty (aerospace, defense and premium transport batteries, expanded by the Bren-Tronics defense acquisition in fiscal 2025). Fiscal 2026 (year ended March 31, 2026) sales were $3.75 billion, about 64% in the United States. How we measured earnings. We use owner earnings: operating cash flow with working-capital swings removed, less stock compensation and the capital spending needed to maintain the business (spending tied to sales growth is excluded). EnerSys has two very different earnings streams. The core battery business, excluding the tax credit described below, produced owner earnings of $155 million to $207 million a year from fiscal 2020 through fiscal 2026, with a median of about $165 million, roughly $4.40 per share on today's 37.6 million diluted shares. We start from that seven-year median, which spans the COVID dip, the 2022 inflation squeeze and the recent data-center strength, rather than from the latest year. About $33 million a year of acquisition-related intangible amortization is added back as a non-cash charge; because those customer relationships wear out, we carry that decay in a modest growth rate and in the bear case rather than in the starting level. The second stream is the US advanced manufacturing production credit (Section 45X of the tax code), a refundable credit on battery cells and modules made in America. EnerSys recognized $136 million in fiscal 2024, $185 million in fiscal 2025 (including a $25 million catch-up after the Treasury's December 2024 final rules) and $159 million in fiscal 2026, booked as a reduction in cost of sales. That is roughly $4.20 per share a year, close to half of reported earnings. The credit is paid in cash with a lag; the receivable built up through fiscal 2025 and began to be collected in the June 2026 quarter. By statute it runs at full value through calendar 2029, then steps down to 75%, 50% and 25% in 2030, 2031 and 2032, and ends. The July 2025 federal tax law left this credit in place. We value it as a stream that ends, worth about $18 per share in our base case, never as permanent earning power. Base case, about $107 per share. Core owner earnings of about $169 million in fiscal 2027 grow 2.5% a year for ten years, in line with the business's organic record, and then hold flat in dollars indefinitely, which is a real decline, reflecting a century-old franchise with the leading global position in industrial batteries. The tax credit runs at its current $159 million a year through 2029 and then phases out on the statutory schedule. Fiscal 2026 owner earnings grew about 14% in total and about 28% excluding the credit; our first-year core assumption of 2.5% is deliberately below that. Bear case, about $65 per share. Core owner earnings fall to $150 million, the bottom of the seven-year range, and shrink 1% a year for a decade, then 3% a year after that. The evidence: Motive Power segment income fell from $233 million to $200 million in fiscal 2026, and the company closed its Monterrey, Mexico plant because customers are moving away from traditional flooded forklift batteries toward lithium and thin-plate pure lead. The tax credit is taken at 80% of its current rate, because the company itself warns that changes in the complex credit guidance could materially affect the benefits, and the 2024 rule change already moved the figure by $25 million. Bull case, about $146 per share. Core owner earnings start at the fiscal 2026 level of $207 million and grow 4% a year for ten years, then hold flat. The drivers are visible: Energy Systems segment income rose from $103 million to $145 million in fiscal 2026 on data-center and network demand, net earnings in the June 2026 quarter were $116 million against $57 million a year earlier, and plant closures in Monterrey, Tijuana and Sao Paulo cut cost. The credit rises to about $175 million a year because the company is moving Tijuana lead battery production into US plants explicitly to capture more of it. Debt and capital. Long-term debt is about $1.08 billion against $439 million of cash, modest relative to earnings. Owner earnings are measured after interest, so debt is not subtracted again. The company bought back $371 million of stock in fiscal 2026, partly with revolver borrowings, which lowered the share count from 40.4 million to 38.1 million diluted shares. What would make this wrong. The largest risks are an earlier or deeper loss of the manufacturing credit than the statute provides, faster substitution of lithium batteries made by others in forklift and backup applications, and a reversal of data-center demand. The core business, without the credit, supports roughly $89 per share in our base case, so the credit's end matters but does not define the value. Margin-of-safety price. The margin-of-safety price is about $72, near our bear-case value and about a third below the base case. That margin reflects a steady but cyclical industrial business whose recent earnings are inflated by a tax credit with a known end date.
