EGAIN Corp (EGAN) stock intrinsic value fair value estimate & owner earnings analysis

bear $3.71 base $6.85 bull $9.50 margin of safety $4.75 market price* $5.55
Business condition attached to the margin of safety eGain's largest customers continue renewing multi-year contracts rather than migrating to a larger AI-native platform, with no public loss of a top customer.
eGain provides customer engagement and knowledge-management software that large enterprises — banks, telecoms, insurers, and government agencies — use to power their customer service and contact-center operations, increasingly layered with AI-based "knowledge hub" and virtual-assistant features. It is a mature, moderately-sized software business (roughly $90 million of annual revenue) with a sticky, contract-renewal-based customer base and very little need for ongoing capital spending. To value the business, we looked at the cash the company actually generates each year, after removing the swings caused by the timing of customer payments and contract renewals, and after fully charging the real cost of the stock the company grants to employees (a cost that many software companies understate by treating it as "non-cash" and ignoring it). We also set aside a one-time, non-cash tax benefit that inflated one recent year's reported profit — it never affected cash and shouldn't be mistaken for a step up in earning power. On that basis, eGain's normalized owner earnings run at roughly $0.31 per share, drawn from the last seven fiscal years, a period that spans a pandemic-era demand surge, a subsequent slowdown, two years of revenue contraction, and a recent stabilization. Because capital spending here is minimal — this is a genuinely asset-light software business — almost none of that owner-earnings figure needs to be set aside for reinvestment. Looking ahead, our base case assumes eGain continues as a stable, modestly growing vendor, with AI-enabled product upgrades offsetting some of the pressure from much larger customer-service platforms that are adding their own AI features. Our bear case (roughly a one-in-ten outcome) assumes those larger competitors erode eGain's position more meaningfully over the next few years before the business stabilizes at a smaller, still-durable base. Our bull case (roughly a one-in-ten outcome on the upside) assumes eGain's compliance-friendly, privately deployable AI offerings — attractive to regulated customers who can't or won't use the big public AI platforms — win it a persistently better growth rate. None of these cases assumes anything about where the broader market goes; they are judgments about the business itself. Putting these cases together, we estimate the shares are worth around $6.85 today in our base case, with a bear case near $3.71 and a bull case near $9.50. Given the width of that range — which reflects real, checkable competitive risk rather than a lack of research — the margin-of-safety price is set at a meaningful discount to our base-case estimate, at roughly $4.75 per share. One item we could not fully reconcile from the filings: the exact driver of a large, one-time jump in stock-based compensation two years ago (management attributed it to increased stock option grant activity and said at the time they expected it to decline, which it subsequently did) — we've treated it as a real, one-time cost rather than adjusting it away.
