Business condition attached to the margin of safety Two consecutive fiscal quarters in which operating income, excluding gains on real-estate sales and contingent-consideration adjustments, is at least twice interest expense, as reported in the company's 10-Q or 10-K.
AMCON Distributing is a wholesale distributor that delivers cigarettes, other tobacco, candy, snacks, beverages, foodservice items and health and beauty products to about 4,500+ convenience stores and other retailers from distribution centers across the Midwest, Mountain West and Mid-South. It also runs about fifteen natural and health-food stores. It is a high-volume, very thin-margin business: about $2.8 billion of sales produced only $188 million of gross profit in fiscal 2025 (year ended September). Cigarettes make up most of sales but little of the profit. Cigarette carton volumes keep falling; in fiscal 2025 lower carton volume and mix cut sales by $176 million, and manufacturer price increases added back $115 million. All per-share figures in this analysis reflect the 3-for-2 stock split of March 20, 2026, so they are not comparable with figures we published before the split. How we measured earnings. Owner earnings are operating cash flow with working-capital swings, stock-based pay and maintenance capital spending removed. Because the company is heavily indebted, we value the business before its lenders and then subtract the debt. On that basis the cash the business produced before interest was about $11.2 million in fiscal 2022, $18.1 million in 2023, $14.1 million in 2024 and $11.0 million in 2025. We use fiscal 2022 to 2025 as the window, because the four acquisitions since 2022 (Team Sledd, Henry's Foods, Burklund and Richmond Master, Arrowrock Supply) made it a much larger business than before. The median of that window is about $12.6 million a year. A one-time $10 million distribution-center purchase in fiscal 2024 was treated as expansion rather than upkeep. Fair-value adjustments on acquisition-related liabilities were treated as non-cash. Fiscal 2025 was the low point. After the interest bill of about $10.5 million, owners kept only about $0.5 million. Recent results. In the nine months to June 2026, operating income was $9.8 million against $9.0 million a year earlier. However, this year includes a $1.8 million gain from selling distribution buildings in North Dakota and Illinois, and last year included a $1.5 million release of an acquisition earn-out. Stripping out both, operating income was about $8.0 million against $7.5 million, which is a modest improvement. Cash interest paid fell to $7.5 million from $7.8 million. Cash flow before interest fell 22% in fiscal 2025. Our base case does not assume a rebound from that low point. Year one is held at the fiscal 2025 level, on the basis that the extra operating costs from the 2024 acquisitions are now fully absorbed, as the nine-month figures show. Debt. At June 30, 2026 the company owed about $173 million: $160.8 million on its revolving credit facilities plus $12.4 million of term and real-estate debt, against almost no cash. The revolvers carry floating rates near 5% (SOFR plus a spread) and are secured by substantially all assets. The main AMCON facility was extended after quarter-end to July 2028, and the Henry's and Team Sledd facilities mature in February and March 2028. The company was in compliance with its covenants. The sellers' remaining minority stake in Team Sledd was bought out in the June 2026 quarter, so no outside owners remain. Base case. Cash before interest holds at about $11.0 million in year one, then returns to the post-acquisition median of about $12.6 million as the Arrowrock and Colorado City operations mature. After year ten it shrinks about 1% a year, because nothing in the record shows that growth in candy, snacks and foodservice fully replaces falling cigarette volume. That gives a business worth about $203 million. After subtracting $173 million of debt, about $30 million, or roughly $30 per share, is left for shareholders. Bear case. This case uses the industry's own record: the April 2009 federal cigarette excise increase of 62 cents a pack cut carton volumes by roughly a tenth in a year. A similar shock, from a tax increase or an FDA menthol or nicotine rule, hits in year two. Cash before interest falls to about $6 million, partly offset by a one-time release of about $14 million of inventory and receivables as the business shrinks. The 2028 refinancing comes at about two points above today's cost, and the business then shrinks about 3% a year. The business is worth about $156 million against $173 million of debt plus about $9 million of extra interest. On that path the company owes roughly $26 million more than it is worth, about -$27 per share. Bull case. The recent acquisitions are fully integrated, manufacturer price increases keep running ahead of volume declines as they have for years, and cash before interest returns to about $15 million, near fiscal 2024. That is worth about $246 million before debt and about $73 million after, or roughly $75 per share. We did not credit future acquisitions. The company has a long record of making them, but each recent deal was funded with borrowed money, and that is what created today's thin interest coverage. What would make us wrong. The equity is a thin slice on top of a heavily borrowed, slowly shrinking core. A $1 million change in yearly cash flow moves the value by about $15 to $17 per share. If carton volumes fall faster, or if interest rates on the floating revolver rise, the equity can be worth nothing. The hard assets cushion this. Receivables of $78 million and inventory of $154 million can be turned into cash if the business shrinks, and owned real estate of about $109 million in net property backs the lenders. A rough orderly wind-down would leave about $13 per share. Margin-of-safety price. We are only moderately sure of the earnings level. The four post-acquisition years range from $11 million to $18 million, and the most recent one is the weakest. The worst plausible outcome is a regulatory cigarette shock arriving just before the 2028 refinancing. With today's leverage, that could leave little or nothing for shareholders, although the assets backing the debt are mostly liquid inventory and receivables. The dividend of about $0.72 a year after the split pays only a little while waiting. At $16 a share the price is backed by the wind-down value of roughly $13. From that price the base case implies compounding at 20% a year over an assumed three-to-four-year holding period if the base case's roughly $30 is realized and debt is slowly paid down. The margin-of-safety price of $16 applies only once operating income clearly covers interest at least twice, showing that the debt is no longer eating the business's earning power.

Sales geography
United States: Midwest (Illinois, Indiana, Minnesota, Missouri, Nebraska, North Dakota, South Dakota, Ohio), South (Tennessee, West Virginia, Arkansas, Kentucky), West (Colorado, Idaho, Wyoming, Montana); retail health-food stores in Florida and the Midwest/West (Missouri, Nebraska, Oklahoma, Kansas, South Dakota).
Historical growth strategy
Grows mainly by acquiring smaller regional convenience-store distributors (Team Sledd 2022, Henry's Foods 2023, Burklund and Richmond Master 2024, Arrowrock Supply 2025), funding the deals with an inventory- and receivables-backed bank revolver, then consolidating purchasing and adding foodservice and non-cigarette categories. Also opens occasional new distribution centers (Colorado City, Colorado) and runs a small chain of health-food stores whose footprint it adjusts by opening and closing stores.
Chart analysis
A chartist would see a stock that made a strong multi-year advance into 2022-2023 as earnings peaked, then rolled over into a prolonged downtrend of lower highs and lower lows through 2024-2025 as profits fell. The 3-for-2 split in March 2026 resets the nominal price scale, and the shares have tended to move in sharp gaps on quarterly reports. A technician would look for a base to form and for the price to reclaim its longer-term moving averages before calling the downtrend over, and would treat the prior trough lows as key support.
