Donnelley Financial Solutions (DFIN) sells the software, filing services and printing that public companies, mutual funds and deal teams use to meet SEC disclosure rules. It reports four segments: Capital Markets Software Solutions (Venue virtual data rooms and ActiveDisclosure), Capital Markets Compliance and Communications Management, Investment Companies Software Solutions (Arc Suite) and Investment Companies Compliance and Communications Management. In 2025 net sales were $767.0 million, down 1.9% from $781.9 million. Software rose 8.7% to $358.4 million, while tech-enabled services fell 7.0% to $298.3 million and print and distribution fell 16.1% to $110.3 million. The company itself says digital and AI-enabled self-filing tools are giving clients alternatives to its full-service offerings, and it notes that deal-driven work (IPOs, mergers, debt offerings) rises and falls with capital markets activity. How we measured earnings. We use owner earnings: cash from operations, minus the swing caused by working capital timing, minus stock-based compensation (a real cost even though it is not paid in cash), minus the capital spending needed just to stay in business. Revenue fell in 2022 through 2025, so all capital spending in those years is treated as maintenance. Owner earnings by year, in millions: 2016 $74.4, 2017 $41.1, 2018 $27.5, 2019 $28.6, 2020 $29.7, 2021 $155.1, 2022 $99.4, 2023 $73.0, 2024 $80.0, 2025 $106.9. The 2025 non-cash $82.8 million pension settlement charge cut reported net income to $32.4 million but not cash, so it does not enter our figure; pension cash contributions of $13.1 million stay in as a cost. We measure the business from 2021 onward. Owner earnings before 2021 were far lower, and 2020 cash flow was lifted by a $79.3 million cash inflow from accrued liabilities and other items, which our working capital adjustment removes. The 2021 to 2025 window contains the 2021 revenue peak ($993.3 million) and the lowest owner earnings of the period (2023), so it covers a full swing. Its median is $99.4 million, which is our starting level. Spread over roughly 25.3 million diluted shares (second quarter of 2026, down from 35.2 million in 2021 after heavy buybacks that were already paid for), that is about $3.93 per share. Growth path. Owner earnings rose 33.6% in 2025 ($106.9 million versus $80.0 million). Our base case assumes 0% growth in year one from the $99.4 million starting level, which is below that trailing rate, so no reversal of a slowdown needs explaining. We give no credit for buybacks (repurchases at fair value add nothing to value per share), for new products, for share gains or for a recovery in deal activity, because none of those has been secured. Growing software sales are credited only in the sense that they have been offsetting the decline in services and print, which is why the base case is flat instead of falling. Base case, $50 per share. Owner earnings hold at $99.4 million for ten years, as software growth (in 2025, ActiveDisclosure net sales rose $12.7 million and non-TSR Arc Suite sales rose $6.5 million) offsets shrinking services and print. After that the earnings stream declines 4% a year indefinitely, reflecting the pressure the company describes from self-service filing tools. Discounted at 6%, that is about $1.26 billion, or roughly $50 per share. Bear case, $26 per share. Deal activity stays weak and clients move filings in-house. Owner earnings drop to the $73.0 million reached in 2023 and then fall 5% a year without limit. The company also carries $171.3 million of debt at the end of 2025 (up from $124.7 million) while spending $185.0 million on buybacks in 2025, so a downturn would leave less flexibility. That path is worth about $664 million, or roughly $26 per share. Bull case, $73 per share. The company's software lines keep growing faster than services and print shrink. Owner earnings start at the $106.9 million earned in 2025, grow 3% a year for ten years to about $139.5 million, then decline 2% a year. That is worth about $1.84 billion, or roughly $73 per share. We did not include a large acquisition or a market-wide deal rebound, since neither is a named, evidenced driver of this business. Cross-check against recent results. In the first half of 2026 net sales were $429.7 million versus $419.2 million a year earlier, and cash from operations was $69.1 million versus $30.7 million. That supports the starting level but is only one half-year, so it does not change it. What could make this wrong. Software growth may not keep offsetting services declines, and the shift to self-filing could be faster than our 4% decline. On the other side, software grew 8.7% in 2025 and now makes up about 44% of capital markets net sales (about 40% in 2024) and about 53% of investment companies net sales (about 47% in 2024), so the shift could favor DFIN more than we assume. Historical earnings before 2021 were much lower, and it is not certain the higher level since then is permanent. Margin-of-safety price, $29 per share. This is a moderately cyclical business with a shrinking legacy base, so the margin of safety is large: about 42% below the base case and only slightly above the bear case.
