Broadridge runs much of the plumbing behind investing. It processes shareholder votes and communications for public companies and funds, and it handles trade processing, settlement and record-keeping for banks and brokers. Its largest source of earnings is recurring, contract-based work for financial institutions. In fiscal 2026 (year ended June 30, 2026), recurring revenue was $4.9 billion, or about two-thirds of the company's $7.5 billion in revenue. The rest is event-driven work, such as proxy contests and mutual fund events, and pass-through distribution revenue for mailing and printing. How we measure earnings. We start from operating cash flow and take out the timing swings in receivables, payables and customer prepayments. We then subtract stock-based pay as a real cost, and subtract only the capital spending needed to keep the business running. Broadridge also spends heavily every year to onboard new clients, roughly $150 to $470 million a year in deferred client conversion costs and other long-term assets. We treat that as a recurring cost of doing business, not a one-off. We also ignore the roughly $231 million non-cash gain on digital assets (Canton Coins) in fiscal 2026 earnings, because it is not cash and we do not count it as a source of value. On this basis, owner earnings per share were $4.48, $4.42, $3.61, $3.43 and $3.24 in fiscal 2018 to 2022. They were $6.55, $5.91, $8.90 and $10.40 in fiscal 2023 to 2026. Fiscal 2021 and 2022 were held down by the Itiviti acquisition and by the peak of client onboarding outlays, including a $697 million outflow to long-term assets in fiscal 2022. We therefore measure the business from fiscal 2023 onward. The median of those four years is about $7.73 per share, which is our starting level. It is well below fiscal 2026's $10.40. Fiscal 2026 includes about $106 million of deferred-tax benefit, roughly $0.90 per share, that may not repeat, and the improvement is only two years old. Growth. Owner earnings grew about 17% in fiscal 2026. We assume much less, 5% in year one, because that fast pace has no named repeatable source. What we do credit is the mechanism the company has demonstrated. Revenue grew at about 7% a year over the eight years to fiscal 2026, including through 2020 and the 2022 onboarding peak. Organic growth from net new business and growth in existing services added about 6 points in fiscal 2026. The company also makes a steady stream of small acquisitions from its own cash ($283 million in fiscal 2026, $194 million in fiscal 2025). Buybacks, the Canton digital-asset holdings, new products and margin expansion are left out. Broadridge's large acquired-intangible amortization ($204 million) is added back, since it reflects past purchase prices. We instead limit growth to rates below the demonstrated pace and fade it. The Itiviti-era experience shows that acquired businesses need continuing investment. Base case, about $122 per share. Growth of 5% a year for five years, then 4% for five years, taking earnings from $7.73 to about $12.00 per share by year ten. We then hold that level for ten more years and assume nothing beyond that. The basis is the sticky, contracted nature of the processing relationships. Nothing we can name supports growth or durability beyond that. Bear case, about $67 per share. The main named risk is the SEC's proposed Regulation E-Delivery, which would let clients switch default delivery of proxies, reports and trade confirmations from paper to electronic. Broadridge's own filing says that, if adopted as proposed, recurring revenue growth and distribution revenue would decrease, and physical distribution operations could be restructured. Management expects it to have no effect in fiscal 2027 and to largely offset the loss with new solutions over two to three years. In the bear case we assume it does not. We also assume the deferred-tax benefit fades and the heavy onboarding outlays of fiscal 2021 and 2022 recur, so earnings start at $6.23 per share (the fiscal 2021 to 2026 median). Growth is 2% for five years and 1% for the next five. Earnings are then flat for five years and end. Broadridge also carries about $3.3 billion of long-term debt, which makes the downside less forgiving. Bull case, about $180 per share. Recent cash generation holds. Earnings start at $9.00 per share, close to the fiscal 2025 and 2026 average, and grow 7% a year for five years, matching the demonstrated revenue pace, then 5% a year for five years. Earnings are then held flat for fifteen years. This assumes the Regulation E-Delivery rule is absorbed and the acquisition record continues on schedule. Margin-of-safety price. About $80, roughly a third below the base case and just above the bear case, reflecting moderate leverage and the pending SEC rule. What would make this wrong. Owner earnings depend on client conversion outlays and working-capital timing that swing widely from year to year, so the starting level could be off by a meaningful margin. Rule changes on electronic delivery could take the business's volume down faster than management expects. The filings could not reconcile whether the fiscal 2022 outflow was purely onboarding timing, although the balance sheet is consistent with it.
