Citizens Financial Services is the holding company for First Citizens Community Bank, a roughly $3.2 billion-asset lender with about $2.3 billion of loans and $2.4 billion of deposits. Its home market is rural north-central Pennsylvania (Tioga, Bradford, Potter, Clinton and Lycoming counties) and the adjoining southern tier of New York, where it holds about 34% of insured deposits in Bradford, Potter and Tioga counties. Offices in central and south-central Pennsylvania, Delaware, and (since the June 2023 HV Bancorp acquisition) the Philadelphia suburbs and southern New Jersey are much smaller. Lending is concentrated in commercial and residential real estate; agricultural loans are $378 million (16.1% of loans), including $115 million to dairy farms and $110 million to poultry producers. HOW WE MEASURE EARNINGS. For a bank we start from cash generated by operations, set aside swings in the mortgage-sale pipeline and accrued interest, and subtract stock compensation, equipment spending and the provision for loan losses. We treat the provision as a real cost because losses are taken against the loan book and never pass through operating cash flow. This runs a little below reported earnings (2025 reported diluted earnings were $7.62 a share against $6.98 here) because we do not credit non-cash loan-discount accretion or life-insurance earnings. Per share: $3.98 (2016), $4.00 (2017), $5.00 (2018), $5.38 (2019), $5.64 (2020), $6.24 (2021), $6.85 (2022), $3.29 (2023), $5.28 (2024), $6.98 (2025). 2023 is set aside because of HV Bancorp deal costs and the day-one credit provision on the acquired loans; 2020 is set aside because the pandemic mortgage boom and reserve build distorted the year. The four clean years (2021, 2022, 2024, 2025) have a median of $6.54. We set the starting level at $6.80, a little higher, because the 2025 margin gain looks structural: the tax-equivalent net interest margin rose from 3.13% to 3.50% largely as securities acquired before 2023 at very low yields matured into current rates, and first-half 2026 net income of $20.6 million ($4.28 a share) ran well ahead of $16.1 million a year earlier. Growth check: earnings per share grew 32% in 2025 as the margin recovered, but we do not carry that forward; the base case starts below the 2025 level and grows 2.5% a year. BASE CASE: $126.60 a share. Earnings of $6.80 grow 2.5% a year for ten years, a pace the bank has funded from its own retained earnings (about 74% of income is retained; the dividend was $1.98 a share in 2025) and that is in line with organic loan growth of roughly 1.6% in 2025 and 3% in 2024. Each year we deduct the capital that must be kept to support that growth (about 2.5% of tangible equity, roughly $55 a share), so only the cash truly available to owners is counted. After year ten we hold earnings flat and distribute them all; no further growth is assumed because nothing we can name and evidence supports it beyond the continued operation of a long-established deposit franchise. Left out: further margin expansion, market-share gains, new acquisitions. A bank's deposits and borrowings are the raw material of lending and interest is already deducted from earnings, so no debt is subtracted; the bank's subordinated notes and borrowings are part of that funding. BEAR CASE: $70.32 a share. The margin gives back its recovery (earnings fall to the 2024 level of $5.28) and, in years two to four, the bank goes through a full credit cycle modeled on the 2008-2010 downturn, with dairy and poultry stress layered on, as in the milk-price lows of 2015-2016 and 2018-2019 (the bank's own provision rose from $1.5 million to $2.5 million in 2017 during that period). We size cumulative loan losses at about 3% of the $2.3 billion book, roughly $69 million against an existing allowance of $22.8 million, which means about $47 million of extra provisions after normal levels (about $2.56, $3.42 and $1.88 a share after tax in years two to four) plus lost interest on non-accruing loans. After the cycle, earnings settle at $4.80 a share (about a 0.8% return on assets versus roughly 1.2% today) and two years of earnings are held back to rebuild capital. The bank stays well capitalized in this case, so no share issuance is assumed. The value is above tangible book of about $55 because even this reduced earnings level is about 8.7% on tangible equity, backed by a dominant local deposit base. BULL CASE: $158.72 a share. Earnings start at $7.80, the pace of the first half of 2026, and grow 4% a year for ten years, funded by retention and the existing Philadelphia-suburb and south-central Pennsylvania branches, then flat. Further acquisitions and additional margin gains are not included. WHAT MOVED SINCE THE LAST ANALYSIS. Our previous estimates ($56, $95 and $133) were built on a different basis and are not comparable. On the business itself: first-half 2026 net income is up 28% year over year, supporting the higher margin. Against that, non-accrual loans rose from $26.6 million at year-end 2025 to $39.3 million at June 30, 2026 while the allowance rose only from $22.8 million to $23.6 million. We could not identify the cause from the annual filing. Net charge-offs in 2025 were only $781 thousand (0.03% of average loans), but a faster rise in problem loans would push results toward the bear case. Goodwill of $85.8 million is about a quarter of $352.8 million of equity. WHAT WOULD MAKE THIS WRONG. A deterioration in farm or Philadelphia-area commercial loans well beyond the bear case, or a margin that falls back below 3.13%. We tested the margin gain against the filing: the securities repricing is a dated, mechanical driver, but some of the deposit-cost relief came from Federal Reserve cuts and could reverse. MARGIN-OF-SAFETY PRICE: $60. We are fairly sure of earnings in the $6 to $7 range (it has landed there in three of the last five years, with 2023 distorted by the acquisition and 2024 at $5.28), and less sure the first-half 2026 pace persists. The worst plausible outcome is a combined farm and commercial real estate credit cycle with a thinner margin; the bank's roughly $267 million of tangible equity (about 8.4% of assets) can absorb the roughly $47 million of extra losses in the bear case without raising capital, though a worse hit on the recently acquired Philadelphia-area loans is not modeled. If the margin gives back to about $5.80 and stays there, the shares are worth roughly $97; in the bear case about $70. The price assumes a holding period of about four years, with a dividend of about $2 a share (growing slowly) over that period. At $60 the shares are priced at about 8.8 times our starting earnings, 0.82 times book value and about 1.1 times tangible book value. From that price, a value of $110 in four years, still well short of the base case, implies about 16% a year from price gain plus about 3% from dividends, reaching a 20% target; and the bear case value of about $70 sits above that price.

Sales geography
United States: Northeast (Pennsylvania - north central counties of Tioga, Bradford, Potter, Clinton and Lycoming, central Centre and Union, south central Lebanon, Berks, Lancaster, Schuylkill and Chester, and southeast Montgomery, Bucks and Philadelphia; southern New York - Allegany, Steuben and Chemung counties; Burlington County, New Jersey) and South (Delaware - Wilmington and Dover).
Historical growth strategy
Steady organic loan and deposit growth in rural north-central Pennsylvania, funded by retaining roughly three-quarters of earnings, supplemented by occasional acquisitions of small banks to enter adjoining markets (Delaware through MidCoast, southeast Pennsylvania and New Jersey through HV Bancorp in June 2023), alongside a rising cash dividend and an annual 1% stock dividend.
Chart analysis
Only the most recent trading window was available to review. A chartist would see a sharp V-shaped rebound from a July 2026 low near $68 to a peak near $84 on August 19, 2026, followed by tight consolidation in the $80-82 range through mid-September. The low acts as support and the mid-$80s as resistance; a close above resistance would be read as a breakout, while a loss of the low-$80s base would point back toward the July low. The stock is thinly traded, so moves can be exaggerated and breakouts less reliable. A longer multi-year chart was not available, so no long-term trend call is made.
