Cushman & Wakefield is a global commercial real estate services firm. In 2025 it earned $10.3 billion of revenue: 66% from Services (property, facilities and project management, mostly multi-year contracts), 21% from Leasing, 8% from Capital markets (property sales and financing) and 5% from Valuation and other. About 73% of revenue comes from the Americas, 10% from Europe, the Middle East and Africa, and 17% from Asia Pacific. The company redomiciled from the U.K. to Bermuda in November 2025, which it says does not change operations. How we measure earnings. We start from cash from operations, remove swings in receivables, payables, accrued compensation and similar working-capital items, and subtract stock compensation and the portion of capital spending needed just to stand still. Non-cash charges such as the $177.0 million write-down of the Greystone mortgage joint venture in 2025 are correctly added back because they use no cash. We left operating-lease payments inside cash earnings, because the lease amortisation the company adds back is offset by those payments. On this basis, per-share owner earnings were: 2019 $0.78, 2020 $0.03, 2021 $1.40, 2022 $1.66, 2023 $0.28, 2024 $0.41, 2025 $0.53. The pattern is very uneven because Leasing and Capital markets commissions swing with property transaction volumes. We use the median of 2019 to 2025 ($0.53) because that window holds a pandemic trough, a boom, a slump and a recovery. Earlier years are excluded because they predate the 2018 IPO and show losses under a different structure. Base case: $8.85 per share. Owner earnings stay at $0.53 per share and persist at that level. Last year's owner earnings grew about 29% ($0.53 versus $0.41); we assume no growth from here, because we credit only what is contracted or proven, and transaction recoveries are not. What persists is a century-old franchise whose Services line is largely recurring, multi-year contract revenue. Revenue in the first half of 2026 was $5.30 billion against $4.77 billion a year earlier, so nothing in the interim results contradicts holding this level. Bear case: $3.67 per share. Property transaction activity slumps again, so earnings fall back toward the 2023 level of $0.28. On top of that, the $650 million of 6.75% senior secured notes due May 2028 have to be refinanced. The company's newer $400 million notes due 2031 carry 8.875%; at that rate the extra interest on $650 million is about $14 million a year, or roughly $0.06 per share before tax. Owner earnings of about $0.22 per share, capitalised at 6%, give this value. Debt is large: $2.74 billion at year-end 2025 (down from $3.04 billion, after a $300 million voluntary term-loan prepayment), against owner earnings of roughly $125 million a year. Borrowings are not deducted separately, because interest is already paid out of the cash flows used here; the debt instead lowers the bear case. Bull case: $16.67 per share. Owner earnings recover to about $1.00 per share, above the pre-pandemic 2019 level of $0.78 but well below the 2021 and 2022 levels of $1.40 and $1.66. In 2025 Capital markets revenue grew 19% and Leasing 8%, and the company's own business has demonstrated that level of earnings before, but we do not assume anything beyond it. What we left out: market recovery, share gains, margin targets and acquisitions, none of which are secured. Adjusted EBITDA ($656.2 million in 2025) is a company-defined figure that adds back items we count, so we did not use it. What would make us wrong: a sustained transaction drought would push earnings below the bear case; a large Services contract loss would hurt the steadiest part of the business. The Greystone impairment and a 35% stake in a China-based property services joint venture are small relative to the whole, but the impairment shows that acquired and invested capital does not always earn its cost. Margin-of-safety price: $4.40. The business is cyclical, heavily indebted and has produced near-zero owner earnings in a weak year (2020), so the margin-of-safety price is set roughly 50% below the base case, close to the bear case.
