Business condition attached to the margin of safety The combined company (Compass plus Anywhere) shows at least two consecutive quarters of positive cash from operations after deducting stock compensation and capital spending, with interest costs covered without new borrowing.
Compass is a residential real estate brokerage that earns commissions when its agents close home sales, and it sells technology tools to those agents. On January 9, 2026 it completed its merger with Anywhere Real Estate, the owner of franchise and brokerage brands. That merger roughly doubled the business, so the company we are valuing today is not the company whose ten-year record we can measure. Revenue for the first half of 2026 was about $7.0 billion, versus $6.96 billion for all of 2025, and diluted shares rose from about 562 million in 2025 to about 833 million. What the record shows. On our owner-earnings basis (operating cash flow, minus working-capital swings, minus stock compensation treated as a real cost, minus the capital spending needed just to stay in business), old Compass lost money every year from 2020 through 2024, from about $2.08 per share in 2020 to about $0.16 in 2024. In 2025 it turned slightly positive, at about $0.075 per share ($42 million), helped by cash flow of $216.7 million. Stock compensation was $202.7 million, nearly all of that cash flow. In the first half of 2026 the combined company generated only $34 million of operating cash flow while stock compensation was $149 million and capital spending $22 million, so the business is not yet earning a surplus after those costs. We did not use the pre-merger years as the earning level for the merged company, because they describe a different and much smaller business. Base case: $0 per share. We can point to no evidenced, repeatable source of owner earnings for the merged company. Management has told investors it expects cost savings from the merger, but the filing itself lists the ability to realize them as a risk, and they have not yet appeared in results. Under our approach an expected saving that has not yet happened is not credited. The base case is therefore that the combined company roughly breaks even after stock compensation and interest, which is worth nothing to a shareholder today. Bear case: about negative $0.50 per share. The merger added a large debt load; the filing states that interest expense has increased significantly and that failure to achieve synergies could strain the covenant on the $500 million revolving credit facility. Anywhere's 9.75% and 7.00% second-lien notes alone total $1.14 billion and come due April 15, 2030. If the first-half 2026 pattern continues (cash flow well short of stock compensation) for roughly three years, cumulative shortfalls of about $0.20 per share a year discount to about $0.50 per share. That means the shares could be worth less than nothing on this measure: the company would owe more than its operations currently earn. Bull case: about $0.90 per share. Here the combined company simply sustains the only surplus it has demonstrated, the 2025 level of about $0.056 per share on the enlarged share count ($47 million spread over about 843 million shares), and holds it indefinitely. We did not credit growth beyond that, because market expansion, agent recruiting gains and synergy targets are not yet secured. Caveats. Only two quarters of merged results exist, and we could not reconcile the combined company's full first-half working-capital movements from the filings available to us, so the level is uncertain in both directions. Old Compass's 2025 result also ranged widely across earlier years, and a working-capital swing of the size seen in 2020 (about $92 million) could move any single year's figure. The company's latest annual report was filed in February 2026, before the merged company had reported a full period. What would make this wrong: cost savings from combining the two companies arriving quickly and in full, or a recovery in home sales volumes that lifts commission income faster than costs, would move value well above these figures. We did not include either because they are not yet secured or evidenced. The margin-of-safety price is deliberately far below even the bull case for that reason, and it applies only once the business shows positive cash generation after stock compensation.
