Rocket Companies is a technology-driven mortgage platform. Its Rocket Mortgage business originates home loans directly with consumers and through mortgage brokers, and in 2025 the company transformed itself with two large all-stock acquisitions: Redfin, the real estate search and brokerage platform, closed July 1, 2025, and Mr. Cooper, one of the largest mortgage servicers in the country, closed October 1, 2025. Combined, the business now services roughly $2.1 trillion of mortgage loans for other investors, in addition to originating new loans and, through Redfin, connecting home buyers and sellers with agents and financing. This combination changes the character of the earnings. Mortgage origination is highly cyclical - Rocket's own results have swung from billions of dollars of profit during the 2020-2021 refinancing boom to a loss in 2023 as interest rates rose sharply. Servicing income, by contrast, is a recurring fee stream tied to the size of the loan portfolio Rocket services for others, and is far less sensitive to how many new loans get originated in any given quarter. Adding a servicing business of Mr. Cooper's scale is meant to smooth out some of that cyclicality, though the effect has only been visible for a couple of quarters so far. 2025 itself was not a representative year: results included only about six months of Redfin and three months of Mr. Cooper, plus more than half a billion dollars of one-time costs tied to closing and integrating the two deals, and the company reported a net loss for the year. The first half of 2026 - the first period with both companies fully folded in - looks considerably healthier, with roughly $11.4 billion of annualized revenue and just over $1 billion of annualized net income. We've built this valuation around that current run-rate rather than either the distorted 2025 figures or the stronger pre-acquisition years, since the company's own filing notes that integration work was still ongoing in early 2026. That means this run-rate could understate the business's steady-state earning power once integration finishes, or it could still include temporary costs or benefits - we've treated it as a reasonably neutral starting point rather than assuming further improvement we can't yet point to evidence for. One accounting judgment worth flagging: Rocket's earnings include gains and losses from marking its mortgage-servicing rights to fair value as interest-rate expectations move (a $164 million loss from this in 2025 alone). These are real economic swings in a real asset, not an accounting fiction, so unlike a typical non-cash charge we have not simply added them back into earnings; instead we relied on the combined recent quarters to smooth out some of that noise and built the uncertainty into the range of outcomes below. Bear case ($4.50/share): assumes the benefits of integrating Redfin and Mr. Cooper take longer to show up than expected - a risk the company's own filing specifically flags - combined with a renewed cyclical slowdown in mortgage originations of the kind Rocket experienced in 2022-2023. We also factored in that a large share of Rocket's loan funding comes from bank credit facilities that are mostly uncommitted and can be reduced or not renewed by the lender, which would raise funding costs in a period of market stress. Earnings stay depressed for several years before partially recovering to a level still well below the base case. Base case ($10.83/share): holds owner earnings flat at the current post-acquisition run-rate for the full projection period and beyond. We did not assume further growth on top of that, because we could not point to a specific, already-secured driver for it - the servicing book naturally loses loans to payoffs and refinancing elsewhere, and Rocket's disclosed 97% annual retention rate on its own servicing customers is what keeps that book roughly stable rather than shrinking, not itself a source of growth. Bull case ($13.90/share): assumes the Redfin and Mr. Cooper integration goes as management intends, without the delays contemplated in the bear case, delivering modest efficiency gains that lift owner earnings over the first several years to roughly 30% above the base-case level and holding there. Weighing how recently and significantly this business has changed shape, and how cyclical mortgage origination has proven to be historically, the margin-of-safety price is set at a meaningful discount to our base-case estimate, at around $6.25 per share. What would make this estimate wrong: if the acquisitions prove less accretive than the current run-rate suggests - for example, if part of today's profitability turns out to be temporary rather than steady-state - the business could be worth meaningfully less than our base case. Conversely, if integration goes cleanly and the efficiency gains show up in the numbers over the next couple of years, the business could be worth more than we've assumed here.

Up-C Collapse completed 6/30/2025; Redfin acquisition (all-stock) closed 7/1/2025 (~6mo consolidated); Mr. Cooper acquisition (all-stock) closed 10/1/2025 (~3mo consolidated); results include one-time integration/acquisition costs (G&A rose $546M y/y 'primarily driven by acquisition-related expenses' per MD&A) and an MSR fair-value valuation-assumption loss of $164M. Financial-business basis (skip CFO/debt; value after-interest earnings directly, per §6.3). OE = NetIncome(total co., 100% economic basis, us-gaap:ProfitLoss)=$9,399.276M + D&A $74.316M + SBC $136.187M - maintenance capex.
