Business condition attached to the margin of safety The term loan due July 2028 has been refinanced on terms not materially worse than today's roughly 6.3% rate, and U.S. and Canada agent count has stopped falling for at least four consecutive quarters.
RE/MAX Holdings franchises the RE/MAX real estate brand and the Motto Mortgage brand. It earns recurring fees from agents and offices (continuing franchise fees, annual dues, broker fees) plus franchise sales, and it owns very little property, so it needs little capital. About 93% of revenue comes from the United States and Canada. The company is structured so that a related holder (RIHI) owns 12.56 million operating units alongside the roughly 20 million Class A shares; because the reported cash flow covers 100% of the operating company, we divide by both (about 33 million shares in total). What we measure. We start from operating cash flow, strip out swings in working capital, subtract stock-based compensation as a real cost, and subtract the part of capital spending needed to stand still. On that basis owner earnings were about $0.95 per share in 2025, $1.09 in 2024 and $1.06 in 2023, versus roughly $1.60 to $2.10 in 2018 to 2020 and 2022. Owner earnings fell about 12% per share in 2025. We treat 2023 onward as the relevant window because it follows the leadership change and the industry litigation settlements, and because revenue has fallen each year since its 2022 peak of $353 million to $292 million in 2025. Payments under the tax receivable agreements and the 2023 settlement payments are left in as real cash costs. What is driving the decline. The number of U.S. and Canadian agents fell 4.6% in 2025 to 72,977, and U.S. company-owned regions lost 6.5% after a 7.2% loss the year before. Open Motto Mortgage offices fell 24% to 171. Fee incentives such as the Aspire program (about 2,000 agents so far) also reduce fees. Global agent count rose 1.4% to 148,660 because of growth outside the U.S. and Canada. The company also competes against the six brands (including Century 21 and Coldwell Banker) recently acquired by Compass from Anywhere Real Estate. Base case, about $10.60 per share. Year 1 assumes owner earnings fall about 8% from $0.95, then about 5%, then about 3%, and then about 2% a year indefinitely. This starts better than 2025's actual decline of roughly 12%; the reason is that the company reports three consecutive quarters of stabilization in U.S. agent count and its 2025 filing shows fee incentives now largely in place, so we assume the rate of decline moderates. We credit no growth: nothing already secured or proven offsets the shrinking U.S. agent base. What persists is the fee stream from a long-established brand with over 145,000 agents. Bear case, about $4.90 per share. Declines continue at 14%, 12% and 10% a year for three years, then 5% a year. The credit facility (a term loan due July 21, 2028, at about 6.3% interest, with leverage of 3.12 times covenant earnings at the end of 2025) is assumed to be refinanced at a materially higher cost from 2029, taking roughly $0.24 per share of annual earnings. Bull case, about $13.40 per share. The stabilization already reported in U.S. agent count holds: owner earnings slip only about 3% in year 1, then hold flat, with a 1% annual fade thereafter. No agent growth or Motto recovery is assumed because neither is yet demonstrated. The margin-of-safety price of $5.50 reflects the shrinking fee base, leverage, the 2028 debt maturity, and a small company size, which call for a large margin of safety below the cases; it applies once the 2028 refinancing is resolved and agent count has stopped falling. What could make this wrong. Faster agent losses to larger competitors or further fee cuts would push results toward the bear case; a recovery in home sales volume that reverses the agent decline would favor the bull case. Working-capital items in 2025 (about $14.6 million of cash outflow) were excluded from owner earnings as timing swings; if part of this proves recurring, owner earnings are lower. Our latest data is the full-year 2025 annual report; we could not review the more recent quarterly report.
