CION Investment Corporation is an externally managed business development company. It lends mostly to middle-market U.S. companies, funds part of the portfolio with about $1.13 billion of borrowings, and pays a management fee and an incentive fee to its manager, CIM. At the end of 2025 it held about $1.81 billion of investments, roughly 98% in U.S. companies. The ticker CICB belongs to the company's 7.50% notes due 2029, which trade on the NYSE. This analysis values the common shares (ticker CION). How we measured earnings. For a lender, cash from operations is dominated by loans made and repaid, which is redeployment of capital, not earnings. We removed net loan purchases, repayments and sales, and working-capital swings. We also excluded interest paid in kind (added to the loan balance rather than paid in cash, $52 million in 2025) and discount accretion ($26 million), and treated these as earnings only when cash arrives. The company has no stock compensation cost and negligible capital spending. Owner earnings per share for 2020 to 2025 were $0.87, $0.77, $0.86, $1.17, $0.75 and $0.43. The figures reconcile to reported results within rounding. Over the six years the portfolio ended roughly the same size as it began, so the cycle average of about $0.83 is a fair picture of cash actually earned after credit losses. Only six years of filings were available, not ten. What has been happening. Owner earnings per share fell 42% in 2025 ($0.75 to $0.43). Non-PIK interest income from unaffiliated borrowers dropped from $166 million to $124 million as that book shrank, and realized losses on investments were $40 million. Net asset value per share fell from $15.43 to $13.76 during 2025. Share repurchases ($17 million in 2025) trimmed the share count from 53.2 million to 51.4 million. Loans on non-accrual were 1.8% of the portfolio at fair value, up from 1.4%. The 2025 annual report is the latest full-year filing; a second-quarter 2026 report was also filed, and we used only its headline figures (six-month net increase in net assets of $7.9 million). What the shares appear to be worth. Growth credited in every case is zero. There is no contract, backlog or multi-year growth record to point to: the portfolio shrank in 2025, book value per share has been falling, and the manager's fees come ahead of shareholders. We did not credit a recovery in interest rates, new fund launches or portfolio expansion. Base case, about $1.60 per share. Because owner earnings fell 42% last year and we found no dated, filing-based reason for that decline to reverse, year one starts at the same rate of decline, about $0.25 per share, and then erodes 10% a year as the shrinking, credit-loss-prone portfolio keeps working off. Discounted at 6%, this is worth about $1.60. Bear case, about $0.40 per share. Earnings fall to about $0.15 per share in 2026 and shrink 30% a year. This is grounded in what is disclosed: $1.13 billion of debt against $708 million of equity (asset coverage of 162% against a 150% minimum), rising non-accruals, and realized losses every year since 2020 ($28 million to $70 million a year). Lenders and the incentive-fee structure rank ahead of shareholders, so a small further slip in portfolio value takes a large share of equity. Bull case, about $8.00 per share. Cash earnings return to the roughly $0.82 median level reached in five of the last six years, starting at about $0.60 in 2026 and reaching that level in 2027, then fade 3% a year. This is the business's own recent record, not new growth. What we tested. The reported net asset value of $13.76 per share is far above these values. We do not treat book value as earnings power: net assets have fallen every year on realized and unrealized losses, and the earnings we count are only those that arrive in cash. If credits repay at their carrying values, the shares are worth much more than our base case; the filing shows $1.81 billion of investments carried at fair value determined by the manager, and we could not verify those marks independently. The February 2026 sale of $135 million of 2031 notes adds debt cost. Our result is well below the company's stated distributions ($1.44 per share paid in 2025), which have exceeded the cash earnings we measure and have been supported by loan repayments. What would make this wrong: loan repayments at full carrying value with credit losses easing, a fall in fees paid to the manager, or stabilization of earnings around $0.60 to $0.80 a share. Our figures are intentionally conservative and the range between cases is very wide, reflecting real uncertainty about loan values.
