Business condition attached to the margin of safety The company confirms in a filing that the leverage limit in its U.S. revolving credit facility has been amended, waived or replaced, or that it is back in compliance. Its 2025 annual report warned that it might not meet the scheduled step-downs in that limit during 2026.
Celanese is a global chemical and specialty materials company with two businesses. Engineered Materials had $5.39 billion of 2025 sales. It makes high-performance polymers such as Zytel nylons, Vectra and Santoprene, which go into cars, electronics, medical devices, appliances and industrial goods. The Acetyl Chain had $4.23 billion of sales. It makes acetic acid, vinyl acetate monomer, acetic anhydride, acetate esters, emulsion polymers, EVA resins and acetate tow. These are basic chemical building blocks, and their profits rise and fall with the balance of global supply and demand. The business today was shaped on November 1, 2022, when Celanese bought most of DuPont's Mobility & Materials business for $11.0 billion in cash, paid for with debt. Cash interest paid went from $105-122 million a year in 2020-2022 to $780 million in 2023, $701 million in 2024 and $671 million in 2025. The acquisition has disappointed. The company wrote off $1.5 billion of Engineered Materials goodwill in late 2024, another $1.1 billion in the third quarter of 2025, and $346 million of trade-name value, mostly Zytel. In response, management took several steps: - cut the quarterly dividend by about 95% from early 2025 and paused buybacks - sold the Micromax business to Element Solutions for $492 million on February 2, 2026 - announced it will close its Lanaken, Belgium plant, with about $140 million of exit costs through 2027 S&P and Moody's downgraded the company in late 2024 and early 2025, and again in November 2025. Together these downgrades raise the interest rate on several bonds by a full percentage point. The 2025 annual report also warns that the leverage limit in the company's U.S. revolving credit facility steps down in 2026, and that the company may not meet it without an amendment, waiver or replacement. Nothing was borrowed under that facility, and the company says it expects to meet its obligations over the next twelve months. How we measured earnings. We start from cash from operations and remove swings in working capital. We then subtract stock-based pay and the capital spending needed to keep the plants running. Historically that spending was about 5% of sales, and we treat spending in growth years above that level as expansion. Interest has already been paid out of this cash, so the debt is charged here and is not subtracted again. It weighs on the lower cases instead. The goodwill and trade-name write-offs are non-cash. They reflect the price paid for the acquisition, not an ongoing cost. On this basis, owner earnings per share were $7.46 in 2023, $6.22 in 2024 and $4.97 in 2025. Earlier years ranged from $2.56 to $16.30 and describe a smaller company with little debt, so they do not set the level. We anchor on $6.22, the middle of the three years since the acquisition. Those three years fall mostly in a weak part of the chemical cycle. Acetyl Chain operating profit fell from $1,105 million in 2023 to $539 million in 2025 as prices dropped in an oversupplied market. That is the lowest level in the record we reviewed, which runs from $678 million in 2019 to $1,875 million in 2021. The first half of 2026 shows the decline slowing, not reversing. Operating cash before working-capital changes was about $516 million, against $557 million a year earlier. Sales rose to $5.09 billion from $4.92 billion, even without most of Micromax. Owner earnings looked slightly higher only because capital spending was lower, $128 million versus $195 million, and we do not treat that as lasting. Owner earnings fell 20% in 2025, and all three cases start 2026 below 2025's $4.97 except the bull case. Base case, $80.58 per share. Earnings are $4.80 in 2026, $5.30 in 2027, $5.70 in 2028 and $6.00 from 2029. That is slightly below the anchor because about $1.6 billion of very cheap bonds must be refinanced: 1.4% notes due August 2026, 2.125% notes due March 2027 and 0.625% notes due September 2028. At the 6.5-7.4% rates of the company's recent bonds, that costs about $0.65 per share a year. The recovery assumes Acetyl Chain profit climbs back only toward its 2024 level of $946 million, not to earlier peaks. It is helped by $195 million of spending cuts already achieved in 2025 and by the Lanaken closure. The case holds $6.00 for 30 years. Plant upkeep is already deducted and ongoing research spending (about $125 million in 2025) supports the product lines. The debt load and exposure to commodity prices argue against counting value beyond that. Bear case, $35.72 per share. Acetyl oversupply lasts. Engineered Materials keeps losing price and volume, as it did in 2025 (volume down 4%, price down 1%). About $12 billion of debt rolls over at 7% or more while slow cash generation limits repayment. Earnings slide from $4.50 in 2026 to $3.00 by 2034-35, then fade to nothing over 15 years as lenders push the company into asset sales. Bull case, $100.09 per share. Acetyl profit returns to its 2023 level, much as it recovered from 2019 to 2021, and the cost savings hold. Earnings are $5.20 in 2026, $6.00 in 2027 and $6.80 from 2028 for 40 years. That is close to 2023's $7.46 after the higher refinancing cost. No case counts interest saved by paying down debt. Cash used that way earns about the 7% the bonds cost, which is close to our 6% discount rate, so it adds little value. No case counts buybacks or asset sales beyond Micromax. What would make this wrong: acetyl oversupply that never clears; further price erosion in the acquired DuPont product lines; or trouble with lenders that forces sales of good assets at poor prices. The margin-of-safety price of $42 is well below the base value because the business is cyclical, heavily indebted and facing a covenant test. It should only apply once the revolving credit facility issue is resolved in a filing.
