Cadence Design Systems sells the software, emulation hardware and chip-design intellectual property that semiconductor and systems companies use to design and verify chips, boards and, more and more, whole electronic and mechanical systems. Electronic design automation is a three-firm industry (Cadence, Synopsys and Siemens). Roughly four-fifths of revenue comes from multi-year licenses that renew. Customers build their design flows around one vendor's tools and rarely switch. At the end of March 2026 the company had $8.0 billion of contracted revenue not yet recognized, about a year and a half of sales. Owner earnings. We start with operating cash flow. We remove working-capital timing swings, deduct stock compensation in full as a real cost, and deduct only the capital spending needed to maintain the business; growth capex is small here, about 3% of revenue. On that basis owner earnings rose from $0.92 per share in 2016 to $2.61 in 2021, $2.83 in 2022, $3.80 in 2023, $3.48 in 2024 and $4.48 in 2025. These figures replace our earlier ones, which were built a different way and are not comparable. The 2024 dip came from a $391 million jump in stock compensation and from lower China sales (down from $680 million to $573 million) after U.S. export restrictions. China recovered to $680 million in 2025. Stock compensation reached $455 million in 2025, 8.6% of revenue, and has grown faster than revenue. It is charged in full here. Because the business is valued before its lenders, we add back cash interest ($112 million in 2025, $43 million in 2024). Earnings level. We anchor on the median of 2023-2025, $3.93 per share before interest, or about $1.07 billion. This business has compounded steadily, so a longer window would mostly measure an older, smaller company. The 2025 figure of $4.89 per share was above that median. Owner earnings grew 29% in 2025. The base case assumes only 9% for year one, because part of 2025's gain was China recovering, not new demand. The first quarter of 2026 had weaker operating cash flow ($356 million against $487 million a year earlier) because of a $233 million outflow in payables and accrued liabilities. That is a single quarter, and revenue rose 19%, so it does not move the level. Acquisitions. Cadence closed its purchase of Hexagon's Design & Engineering business (MSC Software) in the first quarter of 2026: about EUR 2.7 billion, of which $2.07 billion was cash and the rest new shares. None of its earnings are in the history above. We carry it at what was paid in the base and bull cases and at half that in the bear case. Amortization of acquired intangibles ($40 million in 2025) is small next to earnings. It is added back automatically, and the risk of overpaying for deals sits in the bear case. Base case, about $141 per share. Owner earnings grow 9% a year for five years, 6% for the next five and 3% for ten more, then hold flat. The growth we credit rests on the contracted backlog and on a record of revenue growth of about 12% a year through the 2020 shutdown and the 2023 semiconductor slowdown. That record is not a forecast of market expansion. The rates sit well below what the company has actually delivered. We give no credit to management's AI-driven design targets or to new markets the Hexagon deal is meant to open. Earnings power persists after year 20 because the industry has been a stable oligopoly for over thirty years and Cadence funds R&D of well over $1 billion a year out of its own cash. The business is worth about $38.0 billion and the Hexagon unit $2.7 billion. Against that it owes $2.9 billion: $2.5 billion of senior notes at 4.2% to 4.7% maturing 2027, 2029 and 2034, plus $425 million drawn on its revolving credit facility. It holds $1.4 billion of cash. Net debt is about $1.7 billion after a small credit for the low fixed coupons, which leaves about $39.0 billion, or $141 per share. Bear case, about $57 per share. Three named risks arrive together. First, China (13% of revenue) is largely lost to export policy. In May 2025 the U.S. briefly barred design-software sales to China, and in 2025 Cadence pleaded guilty to export-control violations over past unlicensed sales to a third party in China. That plea carries three years of probation, and staying in compliance is a condition of its continued ability to export. Second, a chip-industry downturn hits on the scale of 2008-2009, when Cadence's revenue fell by roughly 45% (partly self-inflicted by a licensing change). Third, the Hexagon purchase is worth half its price. Owner earnings fall 8%, 8%, 20% and 6% over four years to about $680 million, roughly 64% of today's level. They recover 15% and 12% in years five and six, then grow 4% a year to about $1.03 billion by year ten, and are flat after that. Interest of about $120 million a year is covered more than five times even at the trough. The business is worth about $16.0 billion plus $1.35 billion for Hexagon, less $1.7 billion of net debt: about $15.7 billion, or $57 per share. Bull case, about $233 per share. The business keeps doing what it has done: 2025's level of $4.89 per share is the starting point, with 12% growth for five years, 9% for five and 4% for ten, then flat. This is roughly the pace of the last decade continuing, with renewals of the existing backlog at visible terms. The business is worth about $63.6 billion plus $2.7 billion for Hexagon, less $1.7 billion of net debt: about $64.6 billion, or $233 per share. Margin-of-safety price. We are fairly sure of the earnings level. Ten years of filings show steady growth, the recurring base is contracted, and the cash conversion reconciles exactly to reported earnings. The worst plausible outcome is a long U.S.-China decoupling that also loses Cadence some Asian customers who design for China. Another is a breach of the export plea that restricts exports more widely. Either would hurt badly, but the balance sheet would survive: debt is modest, fixed-rate and long. No customer is dominant, and the tools are embedded in customers' workflows. If we are wrong about the growth rate (say half the base rate) and about Hexagon (worth nothing), the shares would be worth roughly $85-95. If China and a downturn both hit, roughly $57. The business returns a small amount of cash during the holding period, through buybacks (about $925 million in 2025) rather than dividends. The price assumes a holding period of about five years for the price to reflect the value. On the base path the business should then be worth around $160 per share plus roughly $25 per share of cash generated in the meantime. From $75 the base path implies roughly a 20% annual return. From $75 the bear case implies a loss of about a quarter, not a wipe-out. The margin-of-safety price is $75.

Sales geography
United States ($2.31B of $5.30B FY2025 revenue, about 44%); China ($680M); Other Asia including Taiwan, South Korea and India ($1.01B); Europe, Middle East and Africa ($791M); Japan ($342M); Other Americas including Canada and Brazil ($168M).
Historical growth strategy
Organic growth from multi-year recurring software licenses sold into a concentrated customer base, with pricing and volume rising as chip complexity grows. Supplemented by steady tuck-in acquisitions to broaden into adjacent areas: IP, system analysis, simulation and multiphysics (for example OpenEye, BETA CAE in 2024, and Hexagon's Design & Engineering business closed in 2026). Excess cash goes to share buybacks rather than dividends.
Chart analysis
A chartist would see a textbook long-term uptrend: higher highs and higher lows from the low $20s in 2016 to the $300s by 2024-2025, with very few sustained breaks of the rising long-term moving averages. The main interruptions were the sharp 2022 growth-stock drawdown and a 2024 into early-2025 correction toward the low $200s. Each found support at or near prior breakout levels and was followed by recovery toward the prior highs. The pattern reads as a mature momentum leader trading in a broad, rising channel. A technician would watch the prior-cycle lows near the 2025 correction trough as key support, and whether the stock can hold above its 200-day moving average as the test of whether the long-term trend remains intact.
