Business condition attached to the margin of safety Two consecutive fiscal years in which cash from operations, after stock compensation and capitalized software and equipment spending, is positive without help from working-capital inflows, and the 4.25% convertible notes due 2029 have been refinanced or extended.
Cardlytics runs an advertising network inside the online and mobile banking channels of banks. Advertisers such as retailers and restaurants pay Cardlytics to present offers to bank customers, and the bank partners share in the billings. Its financial institution partners include JPMorgan Chase, Wells Fargo and American Express, and its Bridg platform is a customer data platform built on merchants' own point-of-sale data. In 2025 the United States produced $203.0 million of revenue and the United Kingdom $30.3 million. What the business has actually earned. We measure owner earnings as operating cash flow, less the swing in working capital, less stock-based compensation (a real cost paid in shares), less the equipment and capitalized software spending needed to keep the platform running. On that basis owner earnings per share were about -$1.70 in 2020, -$2.80 in 2021, -$2.96 in 2022, -$1.08 in 2023, -$1.09 in 2024 and -$0.76 in 2025. The business has not produced positive owner earnings in any of those six years. Revenue was $309.2 million in 2023, $278.3 million in 2024 and $233.3 million in 2025. In 2025 operating cash flow turned positive at $9.3 million, but that included a $5.7 million inflow from working capital, and it was more than offset by $28.1 million of stock compensation and $15.8 million of equipment and capitalized software spending. We used 2023 through 2025, a median of -$1.08 per share, as the representative level, because earlier years carried heavier stock compensation and the Bridg acquisition and its integration. Goodwill and intangible write-downs of $70.5 million (2023), $131.6 million (2024) and $58.8 million (2025) are non-cash and are not deducted from owner earnings. Repeated write-downs of acquired assets are, however, a record of capital destroyed, and they weigh on the bear case. Key facts about the partners. Bank of America, described in the company's annual report as one of its top three financial institution partners, gave notice of non-renewal in April 2025, and the relationship ended on February 16, 2026. Chase can end its agreement on 90 days' notice, though in July 2025 the two companies extended it through November 18, 2028 and revised the billing share, incentive and reporting terms. The annual report also calls the company substantially dependent on Chase, Wells Fargo and a limited number of other partners. Debt. The company owes $172.5 million of 4.25% convertible senior notes due in 2029. It repaid the last $46.1 million of its older 2020 notes in September 2025. Cash at the end of 2025 was $48.7 million. The company also keeps a bank credit line that requires at least $25.0 million of cash on deposit. Bear case, -$4.29 per share. Owner earnings stay at the 2025 level of about -$40 million a year through 2029, and the $172.5 million of notes falls due that year with no cash flow to repay it. Discounted at 6%, the burn and the note repayment exceed the $48.7 million of cash by roughly $228 million, or about $4.29 per share on 53.1 million shares. In this case the company owes more than it is worth. The loss of Bank of America on top of a shrinking revenue base makes this a fair downside, and we credit no recovery because nothing in the filings names one. Base case, $0.00 per share. In each of the last six years the business has spent more than it earned once stock compensation and required investment are counted, and nothing we can point to in the filings turns that around. The improvement since 2022, from about -$2.96 to -$0.76 per share, reflects mainly lower stock compensation ($44.7 million in 2022 and $28.1 million in 2025) and smaller cash losses, not new secured revenue, and it came while revenue fell 16% in 2025 alone. Owner earnings per share improved by $0.33 in 2025 (from -$1.09 to -$0.76); for year one we assume no further improvement, so owner earnings stay at about -$0.76 per share. Growth in United Kingdom revenue, from $17.8 million in 2023 to $24.2 million in 2024 and $30.3 million in 2025, is only a two-year record in a region that is 13% of sales, so we did not credit it. The base case is shown at zero rather than at a negative figure like the bear case. Bull case, $0.53 per share. The company's own levers work: the Chase agreement runs through November 2028, stock compensation keeps falling (it went from $41.0 million in 2023 to $28.1 million in 2025), and capitalized software spending stays near $15 million. Owner earnings per share improve to about -$0.30 in 2026, break even in 2027 and reach $0.50 in 2028 and 2029, and the notes are extended on similar terms, which the filings do not assure. Discounted at 6%, that is about $0.53 per share, and we credit nothing after 2029 because no named contract or record supports it. What we tested. The strongest argument for more value is the positive 2025 operating cash flow. It rests on $20.6 million released from receivables as revenue shrank, so it does not repeat in a business that is contracting, and stock compensation plus software spending together exceeded it by more than $34 million. We could not determine from the annual report the share of revenue that came from Bank of America, so the size of the 2026 revenue loss is not quantified here. Since this is our first assessment of Cardlytics, there is no earlier estimate to compare with. The shares carry value in our estimate only once the improvement in cash generation proves durable and the 2029 notes are addressed. The margin-of-safety price of $0.25 reflects the size of the downside relative to the upside, and it applies only if that condition is met.
