CB Financial Services is the holding company for Community Bank, a Pennsylvania-chartered community bank founded in 1901 and based in Carmichaels, Pennsylvania. It runs nine offices in five southwestern Pennsylvania counties (Greene, Allegheny, Washington, Fayette, Westmoreland) and three in Marshall and Ohio Counties, West Virginia, taking deposits and making residential, commercial real estate and business loans. Commercial real estate is the largest exposure at $552 million, or 47.5% of loans at year-end 2025. In December 2023 the bank sold its Exchange Underwriters insurance agency to World Insurance Associates for $30.5 million in cash, so it is now almost entirely a spread-lending business. How we measured earnings. We use cash from operations, less the swings in working capital and taxes payable, less stock compensation, less capital spending. Because the cash-flow figure already adds back non-cash charges, the 2020 goodwill write-down and the $11.8 million loss on selling securities in 2025 do not reduce our figure. Owner earnings per share over the last ten years were: 2016 $2.24, 2017 $1.63, 2018 $1.73, 2019 $3.08, 2020 $2.72, 2021 $1.25, 2022 $3.29, 2023 $1.37, 2024 $1.68, 2025 $3.38. Results are lumpy for a bank but show no long-term trend. We treated all capital spending as maintenance, which is immaterial for a bank. Our anchor is the median of 2018 to 2025, about $2.23 per share. That window starts with the 2018 acquisition that lifted the share count from about 4.1 million to about 5.4 million. It includes years with insurance-agency earnings, which are gone, and 2025, whose cash flow is lifted by the securities-loss add-back. We judged those two to roughly offset and made no adjustment. Owner earnings rose about 100% from 2024 to 2025, but both years are distorted by tax timing and the securities sale, so we assume no growth in year one and do not extrapolate that jump. Six-month 2026 net income of $8.2 million is ahead of the prior year, which supports the level but was not used to raise it. What we credited. In 2025 the bank sold $129.6 million of securities yielding 2.87% at an $11.8 million loss and bought $117.8 million yielding about 5.43%. The higher yields are locked in for the life of those securities. Net interest margin rose from 3.19% in 2024 to 3.55% in 2025, and net interest income rose 10.2% to $50.8 million. Our own arithmetic puts the yield pickup near $0.50 per share after tax, and management cites about $0.40. We credited $0.40 per share, for seven years only, roughly the life of such securities, and it adds about $2 per share to the base case. We did not credit loan growth, market expansion or margin gains beyond this. The bank's 125-year record and its steady yearly earnings in the range above are the evidence for continuing earnings at the anchor level, with no growth added. Bear case, about $23 per share. Earnings fall to about $1.40, in line with the weakest years (2021 $1.25, 2023 $1.37), and stay there. The evidence is the concentration in commercial real estate and the 2020 credit-cycle year, when provisions reached $4.0 million. Charge-offs are currently very low at 0.02% of average loans. Base case, about $39 per share. Earnings continue at about $2.23 per share, plus the $0.40 securities benefit for seven years. That is roughly $37 for the ongoing earnings and about $2 for the repositioning. Bull case, about $52 per share. Earnings settle at about $3.10, a level reached in 2019, 2022 and 2025, helped by the higher-yielding securities and margin improvement already visible in 2025 and the first half of 2026. What could make this wrong. Deposit costs rising faster than loan yields could push earnings back to 2021 to 2023 levels. Losses on the commercial real estate book would hit a bank with about 10% average equity to assets. Our working-capital and tax-timing adjustments could not be tied to a single clean figure for every year, so the yearly series is uneven. Treating a 125-year-old franchise as permanent is a judgement, not a certainty. No debt is subtracted, since interest is already paid out of the cash flow we start from. We estimate the margin-of-safety price at about $24, near the bear case, because earnings are uneven, loans are concentrated in commercial real estate, and the company is small.
