Business condition attached to the margin of safety Two consecutive quarters of combined-company results (after the April-June 2026 LINKBANCORP merger) showing earnings before one-time merger costs of roughly $30 million or more per quarter, with nonaccrual loans stable or falling from the $88 million reported at June 30, 2026.
Burke & Herbert Financial Services is the holding company for Burke & Herbert Bank & Trust, a community bank founded in Alexandria, Virginia in 1852. Its deposits and loans are concentrated in Northern Virginia and the Washington, D.C. area, plus West Virginia, Maryland, Delaware and Kentucky. Two mergers have reshaped it: Summit Financial Group (completed May 3, 2024) and LINKBANCORP of Pennsylvania (completed in the second quarter of 2026). Total assets went from about $7.9 billion at year-end 2025 to about $11.0 billion at June 30, 2026, and shares outstanding rose from 15.0 million to 20.2 million. How we measured earnings. For a bank, interest paid to depositors is a cost of doing business, so we value the earnings left after interest and do not subtract deposits or borrowings. We start from operating cash flow, take out swings in working capital, deduct stock compensation as a real cost, and deduct capital spending on branches and technology. On that basis, per-share owner earnings were about $7.06 (2021), $4.25 (2022), $2.12 (2023), $3.55 (2024) and $7.54 (2025). The 2021-2023 years describe a bank about half the size with a very different share count, and 2024 includes only eight months of Summit, so we anchor on 2025, the first full year of the combined bank: $113.7 million, or $7.54 per share on 15.1 million shares. Roughly $22 million of that comes from a working-capital timing effect that reverses the 2024 swing. The first quarter of 2026 (net income of $27.3 million, in line with the first quarter of 2025) supports that level. Actual results ran ahead of what our formula counts in one respect: accretion income on acquired loans (about $40 million a year) is non-cash and is excluded from our owner earnings, which makes our figure conservative. Growth path. Owner earnings per share rose 112% in 2025, but that reflects the Summit merger, not organic growth, so we assume 0% growth in year 1 and beyond in every case. We credit no growth from new markets, share gains or margin expansion, because none is secured. The one thing we credit is the LINKBANCORP acquisition, which has already closed and shown up in the results: net interest income was $93.0 million in the second quarter of 2026 versus $71.8 million in the first, and second-quarter earnings excluding $32.5 million of merger costs were roughly $8 million higher than the first quarter, even with only a partial quarter of LINKBANCORP. Merger costs were $33.7 million in the first half of 2026 and are not repeated in our figures. We could not confirm from the filings how much of the second-quarter jump was one-time, so we credit the acquired business conservatively. Base case: about $108 per share. Legacy earning power of $113.7 million, plus $25 million from LINKBANCORP, less $8 million a year for credit losses (nonaccrual loans doubled from $35.9 million to $70.6 million during 2025 and reached $88.4 million on $8.0 billion of loans at June 2026, so we no longer assume the near-zero recent loss experience continues). That is $130.7 million, or about $6.47 per share on 20.2 million shares, sustained flat because the deposit franchise has lasted 170 years across many rate cycles. Business worth about $2.18 billion; owed to lenders: nothing subtracted, since deposits are the raw material of the business; difference is the same $2.18 billion, or $108 per share. Bear case: about $74 per share. Legacy earnings fall to about $90 million (near the average of 2024 and 2025 per-share levels), LINKBANCORP contributes only $12 million, and credit costs are higher: the $88 million of nonaccrual loans are resolved at a 35% loss (about $31 million) and credit costs run $12 million a year above normal for three years. Business worth about $1.50 billion, no deposits subtracted, about $74 per share. The company also assumed LINKBANCORP's own debt obligations, and the shareholders' ownership is diluted by about a third from the share issuance, which the per-share figures already reflect. Bull case: about $125 per share. The Summit-era bank keeps earning what it earned in 2025, LINKBANCORP contributes about $40 million, roughly the full-quarter run rate implied by the second-quarter results, and credit costs stay near the roughly $2 million a year of actual charge-offs seen in 2024. That is $151.7 million, or $7.51 per share, worth about $125 per share. What could make this wrong. If the second-quarter 2026 jump in earnings turns out to be mostly one-time purchase-accounting effects, the base case is too high. If the doubling of nonaccrual loans in 2025 turns into losses well beyond 35%, the bear case is too high. Crossing $10 billion in assets also brings tighter consumer-finance oversight and lower debit-card fee limits, which we have not separately deducted. The 2025 comparison is also flattered by timing effects in working capital that we removed only in part.

Chart analysis
The stock has a short trading history as a listed company (the shares moved to a national exchange in 2024 after a long period of thinly traded over-the-counter ownership), so there is little multi-year chart to read. A chartist would focus on how the shares have traded since listing, whether they hold above their post-listing lows, and whether volume rose around the 2024 Summit merger and the 2026 LINKBANCORP merger, which added about 5 million shares to the float. With a larger float after the merger, technical readings should become more reliable over time, but no specific support or resistance levels are asserted here.
