Brighthouse Financial sells retirement annuities and life insurance in the United States. Its flagship product is the Shield Annuity, an index-linked annuity that lets savers take part in a share of market gains with a defined cushion against losses; Shield deposits were $8.0 billion in 2025, up from $7.7 billion in 2024 and $6.9 billion in 2023. It also has a large legacy book of variable annuities with guaranteed benefits, which it hedges with derivatives. Sales run through independent financial planners, banks and other partners. The value of this company right now is set by one fact: on November 6, 2025 Brighthouse agreed to be acquired by Aquarian Holdings for $70.00 per share in cash. Stockholders approved the deal on February 12, 2026 and the antitrust waiting period has expired. What remains are approvals from the insurance regulators in Delaware, New York and Massachusetts and a change-of-control approval from FINRA for the company's broker-dealer subsidiary. The company said in its annual report that it expected to close in 2026, and press reports in September 2026 describe the regulatory review as running slowly. If the deal is terminated in certain circumstances, Brighthouse would owe a termination fee of about $144 million, roughly $2.50 per share. A signed cash price with shareholder approval is the only evidenced source of value we can name, so the base and bull cases rest on it. Why we do not value it on its own earnings. We measured owner earnings as operating cash flow, less the swing in operating receivables and payables, less share-based pay (capital spending is negligible). For a life insurer this yardstick is unreliable: operating cash flow is dominated by policyholder account flows, derivative gains and losses and reinsurance timing. On that basis, per share, the results were roughly $0.86 (2018), $6.40 (2019), $2.22 (2020), a loss of $18.32 (2021), a loss of $27.17 (2022), $7.17 (2023), a loss of $5.86 (2024) and a loss of $19.35 (2025). Over the last five years the figure was positive only once (2023) and it has not been steady, so we cannot credit any dependable standalone earning power. We start the series in 2018 because the company only separated from MetLife in 2017 and its equity pay before then was not comparable. Separately, the parent company received no dividends from its insurance subsidiaries in 2024 or 2025 (it received $350 million in 2023), and it must pay full preferred dividends (about $102 million a year) before any common dividend. The insurance subsidiaries held about $5.3 billion of statutory capital at year-end 2025, a preliminary risk-based capital ratio of 456% against a company target range of 400% to 450%, which leaves little capital beyond what the company targets. Bear case: $0 per share. The deal is terminated, Brighthouse pays the fee, and stays independent. With no evidenced way to show standalone earnings that reach common shareholders (no subsidiary dividends in the last two years, negative owner earnings in four of the last five years, and the derivative-heavy variable annuity book), we can name no driver that produces positive value for common holders in that outcome. This is a statement about what can be evidenced, not a claim that the company is worthless. Base case: $66.00 per share. The merger closes at $70.00 about a year from now, discounted at 6%. The timing reflects the reported regulatory delay. We do not credit any value above the contract price. Bull case: $69.00 per share. Regulators approve promptly and the merger closes around the end of 2026, so $70.00 is received in roughly three months, discounted at 6%. There is no named driver that would produce more than the agreed price. Margin-of-safety price: $45. The result is close to binary: about $66 to $69 if the deal completes, and nothing we can evidence if it does not. Because the downside case is zero, the margin-of-safety price is set well below the deal value, at a level from which the base case would still imply a strong return even if closing slips by a year. What would make this wrong: regulators approve on schedule (the price converges to about $69), regulators reject the deal or Aquarian fails to close (the shares are then exposed to the standalone business, which we could not value), or a competing offer appears. Any of these moves the answer materially. This is the first analysis of this company.

2018 $0.86 ▼
OE = CFO - dWC - SBC - maintenance capex. dWC = cash effect of changes in accrued investment income, premiums/reinsurance/other receivables, income tax, other assets and other liabilities as shown in the cash-flow reconciliation (positive = cash inflow, removed). Capex not reported (none), so maintenance capex = $0. Reconciliation: net income + non-cash adjustments equals CFO less dWC exactly. CFO=$3,062M; dWC=$2,919M; SBC=$40M; OE=$103M; diluted shares=119.827M; OE/sh=$0.86. Source: FY2020 10-K, accession 0001685040-21-000008. Series starts 2018 because equity pay before the 2017 MetLife separation was not comparable; CFO for a life insurer is dominated by policyholder and derivative flows and is a weak earnings measure.
