Business condition attached to the margin of safety Net asset value per share stable or rising for two consecutive quarters, with non-accrual loans at or below 5.7% of the portfolio at cost (the June 30, 2026 level).
BCP Investment Corporation (formerly Portman Ridge Finance, and before that KCAP Financial) is a business development company: it borrows money and lends it, together with its shareholders' capital, to privately held U.S. middle-market companies, mostly as first- and second-lien senior secured loans. Since April 1, 2019 it has been managed externally by Sierra Crest Investment Management, with BC Partners Management as administrator. The company has grown mainly by buying other small lenders: OHAI (December 2019), Garrison Capital (October 2020), Harvest Capital Credit (June 2021) and Logan Ridge Finance (July 2025). At June 30, 2026 the portfolio was worth $452.7 million across 107 borrowers, funded by $286.1 million of borrowings and $14.49 of net assets per share (about 1.6 times debt to equity; asset coverage of 162% against a legal minimum of 150%). How we measured earnings. For a lender, the real cost of doing business is credit losses, not equipment. We count net investment income plus realized gains and losses on loans (and losses on retiring debt), and leave out quarter-to-quarter changes in loan valuations. We also strip out a large accounting item: when this company buys another lender below the value of its loans, the discount is booked as a gain on day one and then fed back into interest income over the following years. That adds nothing new (it was $6.9 million in 2025 and $5.0 million in the first half of 2026, both from the Logan Ridge deal), so we remove it. On this basis, earnings per share after credit losses were $1.86 in 2021, -$0.83 in 2022, $0.62 in 2023, -$0.87 in 2024 and -$0.32 in 2025. The median over 2021-2025, a period that covered both easy credit and tight credit, is -$0.32. Years before 2021 describe an older business (an internally managed KCAP, then the merger years), and 2020 is inflated by merger discounts that the filings do not quantify. What the record shows. Before credit losses, the loan book produces real cash income. Excluding merger discounts, net investment income was $1.64 per share in 2025, about $0.60 in the first half of 2026 and about $0.27 in the second quarter of 2026 (roughly $1.07 a year). But credit losses have taken about 16% of net assets in 2022, 9% in 2023, 14% in 2024 and 13% in 2025, and about 13% in the first six months of 2026 alone. Only 2021 was close to loss-free. Net assets per share have fallen from $48.69 at the start of 2018 (adjusted for the 2021 reverse split) to $16.68 at the end of 2025 and $14.49 at mid-2026. Meanwhile the adviser collected about $65 million in management and incentive fees over 2021-2025. Its base fee is 1.5% of gross assets, including assets bought with borrowed money. Its income incentive fee (17.5% above a 7% hurdle) is based on net investment income alone, so it can be earned in years when losses shrink net assets. Borrowing costs are also rising. The $108 million of 4.875% notes redeemed in November 2025 were replaced with $35 million of 7.50% notes due 2028 and $75 million of 7.75% notes due 2030. $40 million of the $50 million of 5.25% notes due October 2026 were redeemed in the second quarter of 2026. In August 2026 the KeyBank facility was expanded to $150 million at margins 30 basis points lower. From April 2026 the board moved to a $0.09 monthly base distribution ($1.08 a year), plus supplemental payouts of about half of any income above that. How we valued it. Owners receive the loan book's net interest income. Credit losses shrink that book each year, and because of the leverage limit, a smaller equity base means a smaller loan book and less income the next year. Each case therefore sets a starting level of distributable net interest income and a yearly rate at which losses shrink the book, discounted at 6%. We do not add the company's net assets or subtract its debt. Interest cost is already inside the income figure, and leverage shows up in the size of the losses. Base case ($6.11 per share): net interest income of $1.10 per share in the first year, in line with the first-half 2026 run rate after removing merger discounts. The book then shrinks 12% a year, close to the 2022-2025 loss record. First-year earnings after losses come to about -$0.64 per share, no better than 2025's -$0.32, so we assume no recovery the record does not support. About $5.16 of the value arrives in the first ten years. After that, the business continues only as a smaller version of itself. Bear case ($4.10): first-year income of $0.95, as second-quarter 2026 income slips further with higher-cost debt. The first-half 2026 pace of losses (a quarter of net assets in a year) runs for one more year, then settles at 15% a year, close to 2022, the worst full year since 2021 (about 16%). That path would push asset coverage toward the 150% legal floor and force the company to shrink. Bull case ($9.29): income of $1.30, helped by cheaper KeyBank financing and by non-accrual loans that are resolved or return to paying. Losses ease to 8% a year, near the better years in the record (2021 and 2023). Non-accruals did improve slightly in the second quarter of 2026, from 6.2% to 5.7% of the portfolio at cost. Even in this case the company earns less on its equity than our 6% hurdle, which is why every case is below net asset value. We left out any gain from future mergers. The past four each produced a one-time accounting gain but did not stop per-share value from falling. We also left out any liquidation or return of capital at net asset value, because nothing in the filings points to one. What would make this wrong: a lasting fall in credit losses to the low single digits, which has happened in only one year of the record. Net investment income running well above the new $1.08 base distribution would also count. Either would show up first as net asset value per share holding steady for several quarters.
