Axon Enterprise makes TASER conducted-energy weapons, body and in-car cameras, drones, and the Axon Cloud/Evidence.com software that law-enforcement and other public-safety agencies use to store and manage the evidence those devices capture. Most customers buy hardware and cloud software together in multi-year 'officer safety plan' bundles, which locks in recurring subscription revenue but also means Axon extends significant receivables and unbilled contract assets before cash is collected - a real, growing cash cost of the growth itself, not just an accounting timing issue. The biggest swing factor in this valuation is stock-based compensation. Axon's board has twice granted its CEO an outsized, all-or-nothing performance stock award that only vests when the stock price (and revenue/profitability) hit specific milestones: the first, granted in 2018, fully vested by June 2023; a second was approved by shareholders in May 2024. When a milestone is hit, GAAP requires Axon to recognize a large slug of expense at once. That happened in 2020-2021 with the first award and again in 2024-2025 with the second - stock compensation jumped from about $131 million in 2023 to $383 million in 2024 to $634 million in 2025, alongside a large one-time increase in the cash tied up in receivables as revenue grew. We treat this stock compensation as a real, permanent cost to shareholders every year, including the spike years - it is genuine, if lumpy, dilution, not an accounting artifact to explain away. Because of it, cash-based owner earnings were negative in three of the last six years (2020, 2021, 2025) even though revenue roughly quintupled over the past decade and grew a strong 33% in 2025 alone. We used the median of the last ten years of owner earnings per share (about $0.21) as the starting point for the valuation, which smooths out both the award-driven spikes and the quieter years in between (2022-2023) while still reflecting that this dilution is a recurring, not one-off, feature of how Axon pays its leadership. Our base case assumes Axon's core U.S. law-enforcement hardware/cloud franchise keeps its high renewal rates (customers rarely switch evidence systems once their chain-of-custody data lives on Axon's platform), international expansion continues, and newer product lines - drones and AI-assisted case review - gradually become a more meaningful part of revenue. We assume the current CEO award's remaining milestone tranches (which run through roughly the end of 2028 per the disclosed schedule) keep compensation expense elevated for a few more years before settling back toward the roughly 9% of revenue it ran at in the quiet 2022-2023 period, and that revenue growth gradually cools from the low-30s percent range today toward the mid-teens by year ten as the U.S. market matures. On these assumptions we value the shares at roughly $15. Our bear case assumes U.S. law-enforcement penetration is close to saturated among large agencies, that new lower-cost body-camera and evidence-software competitors erode renewal pricing, and that drones and AI products never scale into a meaningful revenue contributor - revenue growth slows to high single digits within a couple of years and margins compress modestly. A weaker stock price under this scenario also means fewer future CEO-award milestones are triggered, which cushions - but does not offset - the hit from slower growth. That case is worth roughly $5 per share. Our bull case assumes international law-enforcement adoption accelerates, and that cloud/software and AI/drone revenue - which carry higher incremental margin than hardware - scale faster than in the base case, keeping revenue growth in the 25-30% range for several more years. It also assumes Axon does not grant another outsized milestone-based award once the current one finishes vesting, letting compensation expense fall back to a normal run rate and much more of the growth flow through to owner earnings. That case is worth roughly $33 per share. In all three cases we assumed the business simply holds its year-ten level of owner earnings afterward, with no further real growth - a conservative but, we think, reasonable view given the maturing U.S. market, and one that keeps the value placed on the distant future modest relative to more aggressive assumptions. That said, the years beyond year ten still account for 60-74% of the estimated value in each case, which is typical for a still-growing business valued this early in its growth curve but is worth flagging plainly: most of this valuation rests on what Axon's compensation practices and competitive position look like in the 2030s, which is inherently less certain than the next few years. Weighing the downside against the upside, the margin-of-safety price sits at a meaningful discount to our base case - around $8 - reflecting the risk that the heavy, recurring dilution from milestone-based executive pay keeps eating into the cash owners actually get to keep, even if the underlying public-safety-technology business keeps growing. One item we could not fully reconcile: a prior fiscal-year 10-K reported 2016 operating cash flow of about $17.9 million, which a later filing's five-year summary restated to roughly $21.1 million; we were not able to independently trace the detailed reconciliation behind that restatement, so we used the original, self-consistent 2016 figure. It affects only the oldest year in our ten-year data series and does not change the valuation.
