Business condition attached to the margin of safety The internal-control weakness the company disclosed for fiscal 2025 around accounting for acquisitions has been remediated, and at least one full year shows the Prospect Health Plan/Foothill acquisition integrated smoothly (medical costs at that health plan trending in line with the company's established markets).
Astrana Health manages networks of physician groups and takes on financial responsibility for the cost of care of the patients those groups serve, mainly through Medicare Advantage. In simple terms: a health plan pays Astrana a fixed monthly amount per patient, and Astrana keeps the difference if it can manage that patient's care for less. It operates through three related businesses: building and running these physician networks (Care Partners), owning clinics directly (Care Delivery), and providing the technology and administrative backbone that makes value-based care work, including for outside medical groups (Care Enablement). The company has grown quickly, with revenue rising from under $700 million in 2020 to over $3.1 billion in 2025. Much of the recent jump came from acquiring Prospect Health Plan and Foothill Regional Medical Center on July 1, 2025, adding an owned health plan and hospital to what had been primarily a network-management business. The cash actually generated for owners each year (after removing the swings caused by claims and receivables timing, and after backing out stock-based compensation and the portion of spending needed just to keep the existing business running) has been choppier than revenue growth would suggest - it ranged from roughly $0.85 to $1.69 per share over 2021 through 2025. That is normal for a business managing large, lumpy insurance-claims balances, not a sign of a weakening core business. We used the middle of that five-year range, about $1.44 per share, as the starting point for this valuation, leaving out 2020 because that year's results were distorted by pandemic-related swings in medical utilization and a one-time investment gain. Owner earnings per share actually declined by about 5% in 2025 versus 2024. We have not assumed an immediate rebound. Our base case starts with only modest growth in the coming year, reflecting that the Prospect acquisition only contributed six months of results in 2025 - 2026 will be the first full year - which offsets some, but not all, of the integration costs and transition noise from that deal. Growth then moderates further over the following decade as competition for physician networks and pressure on government reimbursement rates for Medicare Advantage weigh on margins. Beyond ten years, we assume the business holds its earnings level rather than continuing to grow it, since renewing a network of health-plan and physician relationships doesn't obviously require - or reward - the kind of fresh capital that would justify assuming further real growth. On that basis, we estimate the shares are worth about $36.89 in our base case. Our bear case, at about $20.82, assumes reimbursement-rate pressure combined with a rockier-than-expected integration of the newly acquired health plan, compounded by the fact that the company disclosed a weakness in its internal accounting controls specifically around how it accounts for acquisitions in its 2025 annual report - a fact worth knowing given how much of recent growth has come through acquisitions, and one that raises the odds of costly surprises as that deal is absorbed. The company also took on roughly $950 million of net new borrowing in 2025 to fund the deal, which makes the downside case more sensitive to how smoothly integration and any refinancing goes. Our bull case, at about $47.68, assumes the acquisition integrates well and the underlying network keeps adding physician groups and health-plan relationships at a healthy pace, letting the largely fixed technology and administrative cost base support faster earnings growth than the base case assumes. Given the spread between these cases, the margin-of-safety price is around $26.25 per share; a price toward the upper end of that range would depend on the accounting-control weakness being resolved and a full year of clean integration results from the Prospect/Foothill acquisition.
