Associated Banc-Corp is the holding company for Associated Bank, a regional bank with more than 200 locations in Wisconsin, Illinois, Iowa, Minnesota, Missouri and Nebraska. It lends to businesses (commercial real estate lending is about $7.3 billion, of which about $5.4 billion is investor property), makes consumer and mortgage loans, and earns fees from mortgage banking and wealth services. On April 1, 2026 it completed an all-stock purchase of American National Corporation (Omaha and the Twin Cities), issuing about 23 million shares worth roughly $604 million at signing. Diluted shares rose from 166.6 million in 2025 to about 190 million in the second quarter of 2026. How we measured earnings. For a bank, reported operating cash flow swings with mortgage loans held for sale, derivative collateral and tax timing, so we removed those working-capital movements, then deducted stock compensation (about $17 million to $19 million a year), maintenance capital spending, and two non-cash items that are really recurring costs of this business: the provision for credit losses (bad loans are a normal cost of lending) and the amortization of tax-credit investments (about $35 million a year). Because borrowing (deposits and funding) is the raw material of a bank, no debt is subtracted; leverage is instead charged in the bear case. Earnings per share on this basis were: 2016 $1.08, 2017 $1.78, 2018 $1.92, 2019 $2.02, 2020 $0.72 (the pandemic year, with a $174 million credit provision), 2021 $1.89, 2022 $2.31, 2023 $2.49, 2024 $2.71 and 2025 $3.09. One judgement matters a lot. In 2023 to 2025 the bank sold low-yielding securities and mortgage loans at realized losses (about $209 million on securities and about $274 million on mortgages, roughly $483 million before tax). We treated these as one-time repositioning costs and did not deduct them. The test: net interest income rose from $1,047 million in 2024 to $1,201 million in 2025 and net income from $123 million to $475 million as proceeds were reinvested at higher yields. If the losses were instead counted as recurring, 2023 and 2024 would be about $1.16 and $0.92 per share, and every case here would be much lower. Starting level. We used the median of 2023 to 2025, $2.71 per share (about $452 million on 2025 shares), the period since the higher-rate environment and the balance-sheet repositioning began. That is below the 2025 figure of $3.09 and below the first-half 2026 pace (net income of $243 million, about $486 million annualized, versus $475 million in 2025). The 2025 level is corroborated by two quarters but the period since the repositioning is short, so we did not build on it in the base case. Growth check: earnings per share grew 13.6% in 2025; the base case assumes only 3% in year one, so no reversal of a slowdown is being assumed. Base case, $51.78 per share. The starting level of $2.71 grows 3% a year for five years and 2% a year for years six to ten, then stays flat: no growth is assumed after year ten, and the franchise (deposit base, banking charter, customer relationships) is assumed to keep earning that level. Growth credited is the proven mechanism of retaining about 70% of earnings (the dividend is $0.24 a quarter) to fund loan growth, which has run at $1.3 billion to $1.5 billion of net new loans in each of the last three years, at a rate below the 7% a year growth achieved from 2018 to 2025. Left out: cost savings and revenue benefits from the American National deal, the 2026 guidance for 18% to 20% loan growth and 19% to 21% net interest income growth (mostly the acquisition), margin expansion and rate-cut effects, because none is yet demonstrated on a per-share basis. The standalone bank is worth about $9.2 billion; there is no debt deduction for a bank; adding the American National business at its $604 million price gives about $9.8 billion, or $51.78 on about 189.6 million shares. We value American National at cost because goodwill rose only about $42 million, which suggests the price was close to the fair value of the net assets acquired; one quarter of results is not enough to credit more. Bear case, $29.18 per share. Two named risks. First, earnings power reverts to the pre-2022 lower-rate record: the median of 2016 to 2021 was $1.83 per share. Second, a credit event like 2020, when earnings fell to $0.72, hits in year two; investor commercial real estate of $5.4 billion is the largest concentration. After that we assume $1.83 flat with no growth. The standalone bank is worth about $4.9 billion, plus American National at cost of $0.6 billion, about $5.5 billion, or $29.18 per share; no debt is deducted. This is a roughly 44% drop from the base case, so the bear case is well above zero because the franchise has survived every stress year in the record with positive earnings. Bull case, $65.57 per share. The 2025 level of $3.09 proves to be the right starting point, and growth runs at 5% a year for five years and 3% for years six to ten (below the 7% achieved since 2018), then flat. The standalone bank is worth about $11.8 billion, plus $0.6 billion for American National, about $12.4 billion, or $65.57 per share. No synergy or new-market growth is assumed. What changed since our August 2026 analysis. We previously estimated about $26 per share in the base case (bear about $7, bull about $44). The new figures are higher mainly because the earlier work capitalized net income at 9% to 12% and assumed a 1% to 3% perpetual growth; we now use a uniform 6% rate, a cash-based measure of earnings and no growth after year ten. We also corrected the share count, which the earlier text put at about 45 million rather than about 166 million before the acquisition. The recent quarters moved the picture up modestly: first-half 2026 net income was up about 14% on the year and net interest margin rose to 3.17%. What would make this wrong. A commercial real estate downturn larger than 2020, deposit-cost pressure that reverses the margin gains, or trouble integrating American National (the second quarter included $24 million of deal costs, and net income rose only about $4 million from the first quarter) would push results toward the bear case. We could not see American National's own financials beyond the company's earnings release, which is why it is carried at cost. The second-quarter 2026 report and the annual filings, not company guidance, were used for all figures. Margin-of-safety price. The margin-of-safety price is $27.00, about 48% below the base case and below the bear case, given the bank's leverage, credit-cycle exposure and the untested acquisition.

Chart analysis
The five-year total-return line in the annual report (year-end 2020 = 100, dividends reinvested) reads 137.0 for 2021, 144.9 for 2022, 139.6 for 2023, 161.7 for 2024 and 180.6 for 2025. A chartist would see a durable primary uptrend: a strong 2021 advance, a shallow consolidation through 2022 and 2023 (the 2023 year-end reading was only about 4% below 2022 despite the regional-bank turmoil that spring), then two consecutive higher year-end closes, a pattern of higher highs and higher lows that is constructive. Because dividends are reinvested, the price-only line would rise somewhat less. Annual points hide intra-year swings, so support and resistance levels, volume and any breakout or breakdown signals cannot be read from this data.
