ANI Pharmaceuticals is a diversified pharmaceutical company built around three businesses: Rare Disease (led by Cortrophin Gel, a purified corticotropin injection for autoimmune and inflammatory conditions, plus the ILUVIEN and YUTIQ eye implants added through the September 2024 acquisition of Alimera Sciences), Brands (other branded prescription products), and Generics (roughly one hundred generic drug products sold mainly through wholesalers and pharmacy chains). Cortrophin Gel is now the company's single largest product and its main growth engine, with sales up 76% in 2025 to roughly $348 million. Its main competitor is Acthar Gel. Unlike a small-molecule drug, this category isn't protected by a conventional patent wall - the advantage comes from a specialized supply chain and manufacturing process and an established specialty-pharmacy distribution network, which is a real but softer moat than a patent. The Generics segment is a lower-margin, commodity business that faces ordinary price erosion over time and is concentrated with a handful of large wholesale customers. We build our estimate of the company's true cash-generating power ("owner earnings") from cash flow from operations, after removing the swing from working capital, stock-based compensation, and the portion of capital spending that is simply funding growth rather than maintaining the existing business. Because ANI's product intangibles (largely from acquisitions) are non-cash charges against earnings, we add them back when measuring current cash generation, but we do not assume they last forever - instead we build their eventual expiration into how earnings evolve over time in our cases below, rather than reducing today's earnings figure a second time. Owner earnings have been volatile in recent years, reflecting one-time acquisition costs, changes in the fair value of earn-out liabilities, and a large debt-financed acquisition. We anchor our valuation on the median of the last four fiscal years (2022 through 2025), which spans ANI's current strategy - launched with the 2021 Novitium generics acquisition and Cortrophin Gel's January 2022 commercial launch, through the 2025 fiscal year - giving roughly $2.72 per share of normalized owner earnings as our starting point. We note that reported owner earnings jumped sharply in 2025 versus 2024; 2024 was unusually weak due to acquisition and refinancing costs, so we did not extrapolate that jump forward and instead built our near-term growth assumptions from the underlying business trends (Cortrophin Gel's volume and pricing trajectory, and the newly added Retina eye-implant franchise), starting well below the reported 2025 growth rate. Our base case assumes Cortrophin Gel's very rapid recent growth gradually slows to a high-single-digit pace as it matures within its existing distribution network, the eye-implant franchise grows in the mid-single digits in line with its competitive position, and Generics stays roughly flat. Beyond the ten-year forecast, because ANI's specialty products don't have indefinite legal protection and because further growth would require continued dealmaking that isn't guaranteed, we do not assume perpetual growth; we instead assume earnings gradually settle to a lower, durable level that the existing generics and rare-disease base can sustain on its own, and we hold that level flat rather than growing it further. On these assumptions, we estimate the shares are worth roughly $78 per share. Because this bring-it-back-to-earth tail still makes up a majority of the total value, this estimate is more sensitive to our long-run assumptions than to the next few years' results. Our bear case (roughly a one-in-ten downside outcome) assumes Cortrophin Gel's growth stalls under increased payer/reimbursement pressure - a risk category that has hurt the competing corticotropin product in the past - while Generics pricing erodes a bit faster than normal. ANI also took on substantial debt (roughly $600 million) to fund the Alimera acquisition; in this case that debt load eats into free cash flow rather than shrinking, and we assume no further growth investment. On these assumptions we still see a business worth something, but meaningfully less: roughly $29 per share. Our bull case assumes the new prefilled-syringe version of Cortrophin Gel and a dedicated 2026 sales effort targeting acute gouty-arthritis flares succeed in growing the patient base without losing share, the eye-implant business benefits from cross-selling into Cortrophin's existing prescriber network faster than in our base case, and ANI continues its long-run pattern of disciplined, accretive acquisitions (as it has done roughly every one to two years for a decade). On these assumptions the shares could be worth roughly $138 per share, though more than two-thirds of that figure rests on our assumption about what the business earns many years from now, which is inherently less certain than the next few years. Given the spread between our bear and base cases, the margin-of-safety price is set at a meaningful discount to our base-case estimate - around $43 per share - to allow for the leverage and competitive risks described above. One item we could not fully verify from the filings: the exact split of what portion of ANI's roughly $600 million in acquisition-related debt is fixed-rate versus floating-rate beyond the term loan, which affects how sensitive future interest costs are to rate changes; we treated this conservatively in our bear case.
