Amneal Pharmaceuticals makes and sells three kinds of products. Its Affordable Medicines segment (2025 net revenue $1,745.5 million) covers generic pills, auto-injectors, patches, injectables and biosimilars. Its Specialty segment ($528.5 million) sells branded drugs for Parkinson's disease and thyroid and allergy conditions, such as CREXONT and UNITHROID. Its AvKARE segment ($744.7 million) distributes medicines mainly to the U.S. Department of Defense and the U.S. Department of Veterans Affairs, plus wholesale and institutional customers. Total 2025 revenue was $3.02 billion, up 8.0%. Four customers (Cencora, McKesson, Cardinal Health and CVS Health) made up about 71% of revenue, and the company has no long-term agreement with any major customer that guarantees future business. How we measured earning power. We started from operating cash flow, then removed swings in receivables, inventories and payables, deducted stock compensation as a real cost, and deducted only the maintenance part of capital spending. We also treated the yearly inventory write-down (about $86 million in 2025) as part of the inventory movement rather than as a free add-back, because it is the cost of unsold or expired stock. On this basis, owner earnings per share were $0.97 in 2020, $0.80 in 2021, about -$0.01 in 2022, $0.81 in 2023, $0.40 in 2024 and $1.03 in 2025. Before the 2023 corporate reorganization we counted the former Class B shares (152.1 million) together with the Class A shares, since those holders shared in the same business. We use the middle of these six years, $0.81 per share, as the earnings level. That is deliberately below 2025 because two of the six years were hit by legal costs: about $140.6 million of Opana ER antitrust and securities class action payments in 2022, and $96.7 million of legal charges in 2024. We start the window in 2020 because the 2018 combination with Impax and the years right after it were transition years with very low or negative results. Owner earnings per share have been roughly flat for six years even though revenue grew from $1.99 billion to $3.02 billion, because interest, legal costs and price erosion absorbed the growth. Growth. In 2025 owner earnings per share rose about 155% from 2024, but 2024 was depressed by the legal charges, so that is a rebound and not a trend. We assume 0% growth in the first year of the base case, starting from the $0.81 level. New product launches in 2024 and 2025 added $122.6 million of Affordable Medicines revenue in 2025, but price erosion offset much of it, and CREXONT, biosimilars and government-channel growth are new-product and market-share stories that we do not credit. RYTARY, an older Parkinson's product, now faces an authorized generic launched in 2025 and more generic versions are expected. Base case: $9.08 per share. Earnings stay at $0.81 per share for 15 years, supported by a broad portfolio (oral solids alone were $726.4 million in 2025) and a record of replacing eroded products with launches, then fade to zero over the following 10 years as nothing we can name sustains them beyond that. Bear case: $3.76 per share. Earnings fall to $0.40 per share, the 2024 level, and stay there for 10 years before fading to zero over the next 10. The named risks are heavy concentration in four customers with no long-term contracts, continued price erosion, another generic entrant against RYTARY, biosimilar revenue that already fell from $125.4 million in 2024 to $100.2 million in 2025, and about $2.69 billion of debt. The debt is a $2,094.8 million term loan and $600 million of senior notes, both due in 2032. Net interest and other expense was $254.9 million in 2025. Opioid claims outside the settlement, mainly from hospitals, schools and individuals, carry no recorded liability, so any loss there would be new cost. Bull case: $17.60 per share. Earnings start at $1.05 per share (2025 level plus roughly $0.03 from the February 2026 loan repricing that cut the term loan rate margin by 0.50 percentage points), grow 4% a year for 10 years, hold flat for 10 more, then fade to zero over 10. This requires the business's own levers to keep working: government-channel sales at AvKARE rose from $160.0 million to $270.1 million in 2025, CREXONT sales grew $58.1 million, and insurance coverage of CREXONT rose from about 30% to over 50% of covered lives. Legal and other obligations. The nationwide opioid settlement took effect January 29, 2026, with installments of $23.8 million on that date and $12.1 million on February 26, 2026. The company carried a $114.1 million liability for it at the end of 2025, and because our measure recognizes costs when incurred, those costs are already in the earnings level. Separately, the company owes 75% of the tax benefits it realizes from its tax receivable agreement, an unrecorded contingent amount of $129.1 million at the end of 2025, which we do not model as debt because payments are tied to tax savings the company actually realizes. Recent results. In the first half of 2026, revenue was $1,518.7 million, up 7.0% from $1,419.9 million, and net income attributable to the company was $119.9 million versus $34.6 million. Operating cash flow was -$48.0 million versus +$91.2 million, but receivables and inventories rose by $125.8 million and $124.2 million, which our measure strips out. The earnings level therefore still holds, but two more quarters of results would be needed to move it. What would make this wrong: sharper price erosion or loss of a large customer, larger legal costs, or debt refinancing at higher rates would push value toward the bear case. Faster launches and a sustained rise in owner earnings above $1 per share would push it toward the bull case. Margin-of-safety price: $4.75, a discount of roughly 48% to the base case, given the heavy debt, legal history, customer concentration and product price erosion.
