Willdan Group, founded in 1964 to serve public agencies in communities of 10,000 to 300,000 people, is a US professional-services firm. About 85% of its FY2025 revenue came from its Energy segment: running utility energy-efficiency programs (for example Southern California Edison's Commercial Program, the Los Angeles Department of Water and Power small-business direct-install program it has run since 2008, and Duke Energy's small-business program, launched in 2013), plus design-build and construction management for government buildings and power-engineering consulting. The other 15% is engineering and consulting for cities and public agencies. FY2025 revenue was $681.6 million, up 20.5%, partly from the Enica, APG and Alpha acquisitions. FY2024 revenue grew 10.9% with little acquisition help. Gross margin rose to 37.5% and operating income rose to $44.1 million from $31.4 million. How we measure earnings. We start from cash from operations, remove swings in working capital, subtract stock-based pay as a real cost, and subtract the capital spending needed to keep the business running. Per share, this came to $1.42 in 2019, $0.25 in 2020, -$0.01 in 2021, $0.17 in 2022, $1.72 in 2023, $2.33 in 2024 and $3.60 in 2025. In 2020-2022 the pandemic suspended projects, and the company resumed that work in 2022. We treat those years as distorted and take our starting level from 2023-2025, the business in its current form. The middle of those three years is $2.33 per share. Amortization of acquired intangibles ($9.8 million in 2025) is added back because it is a past purchase cost. Because of that, we do not assume acquired customer relationships last forever. Growth after the first few years comes only from the existing business, not from future deals. Willdan acquires companies often ($36.3 million in cash in 2025 and $50.5 million in the first half of 2026). None of its acquisitions led to a goodwill write-off in 2016-2025, but the purchases are not free. The large 2018-2019 deals were followed by several weak years, mostly because of the pandemic. Taxes are the biggest accounting judgement. Willdan has paid almost no income tax lately: $2.3 million in cash in 2025, when it booked a $12.6 million tax benefit. The main reason is the federal energy-efficient building deduction (Section 179D), which was worth $18.5 million of tax in 2025. The July 2025 federal tax law repeals this deduction for buildings whose construction begins after June 30, 2026. Federal loss carryforwards of $67.0 million soften the change for a while. All three cases therefore assume cash taxes rise over the next few years to about a fifth of pre-tax owner earnings. Our 2025 figure already strips out that year's $13.3 million non-cash deferred-tax benefit. Base case (about $55 per share). Owner earnings rose 54.6% in 2025. We assume 35% growth in the first year from the $2.33 starting level, which gives about $3.15 per share. That is below the $3.60 earned in 2025 once taxes return, and it is supported by the first half of 2026: revenue of $386.1 million, up 18.5%, and operating income of $27.0 million, up 43%. After that, growth slows to 12%, 10% and then 4-8%, in line with the demonstrated organic growth, the $1.0 billion backlog at the start of 2026, and the recent margin gains. The rising tax bill flattens years 3-4. By year 10, owner earnings reach about $4.44 per share. Willdan has worked for public agencies for six decades, and its LADWP and Duke Energy programs have run since 2008 and 2013. On that record, we hold year-10 earnings flat for twenty more years and then stop counting. Bear case (about $16). Two customers, Clark County School District (a finite lighting upgrade across more than 200 schools) and Southern California Edison, made up 23.2% of 2025 revenue. The top ten made up 50.7%, and the largest clients can cancel at any time. In this case the Clark County project ends without a replacement and one major utility program is lost. Owner earnings fall about 30% to roughly $1.63 per share, back to 2019/2023 levels, while taxes normalize. They then grow only 3% a year and decline 10% a year after year 10. Debt is modest (long-term debt of $67.2 million at July 2026 against $34.9 million of cash, with the credit facility maturing in May 2030), so leverage adds little to the downside. Bull case (about $104). The current run rate holds. First-year owner earnings are about $3.84 per share, then growth runs at 10-15% for four years and 8% after that, driven by utility programs, construction management and power-engineering demand. Earnings reach about $7.17 by year 10 and then hold at that level indefinitely. What could make this wrong. On the downside: losing a utility program, or acquisitions that fail to pay back what was spent on them. On the upside: if the 2026 run rate proves durable, the base case is conservative. Our base case also assumes the 179D repeal raises cash taxes as the filings imply. The main concern is the concentration in a few terminable contracts. Clients in California, New York and Nevada accounted for 43.5%, 19.0% and 11.8% of 2025 revenue. Diluted shares rose from 8.6 million in 2016 to 15.1 million in 2025, and continued dilution is built into the per-share paths. Margin-of-safety price: $32, about 42% below the base value, reflecting the contract concentration and the policy exposure of the business.
