Wabtec makes and services the equipment that keeps freight and transit trains running: air brakes, couplers, locomotives, digital signaling and positive-train-control systems, and the parts and overhaul work that all of that requires for decades after it's sold. Roughly half of revenue is recurring aftermarket parts and services tied to a huge, aging installed base of locomotives and rail cars that last 30-40 years, which cushions the business against any single bad year for new equipment orders. The other half is original equipment and modernization sold mainly to a handful of large North American freight railroads and to transit agencies worldwide, which is the more cyclical, lumpier part of the story. The company today is a very different, much larger business than it was before 2019, when it merged with GE Transportation. That deal roughly doubled revenue overnight and added a large book of acquired customer relationships and technology that shows up in the accounts as intangible assets being amortized down over time. We built our estimate of sustainable owner earnings (cash the business throws off after the reinvestment needed just to stay in place, before any spending on growth) starting from cash from operations, and then removed the effects of building or releasing working capital, stock-based compensation, and only the portion of capital spending that funds growth rather than the upkeep of existing equipment. We estimated that growth-versus-upkeep split using the company's own multi-year ratio of capital spending to revenue, except in 2019 itself, where revenue nearly doubled purely because of the merger rather than organic growth, so we treated that year's entire capital budget as upkeep rather than assume it funded organic growth it didn't. The amortization of the intangible assets from the GE Transportation deal, and from Wabtec's continuing string of smaller acquisitions (it closed the Frauscher sensor-technology deal and agreed to acquire Dellner Couplers in 2025, together with roughly $2.5 billion of acquisition spending that year), is added back automatically in this calculation because it is a non-cash accounting charge tied to past deals, not a cash cost of running today's business. We accounted for the fact that these assets will eventually be fully written off by keeping our long-term growth assumption modest rather than by cutting today's earnings figure - cutting today's figure would count the same decline twice. Owner earnings per share have grown from a bit over $5 in 2021 (once merger integration and COVID-19 disruption had largely passed) to roughly $8.34 in the most recently completed fiscal year, and the first half of the current fiscal year continues to show double-digit growth in both revenue and profit. We used the median of the 2021-2025 period, about $6.08 per share, as our anchor for the level of the business rather than the higher, most recent figure, since a median is more resistant to being fooled by one strong year; the growth trajectory since then, along with the number of consecutive quarters confirming it, is instead reflected in how we project the next ten years forward. Our base case assumes continued high-single-digit to low-double-digit annual growth in owner earnings for the next several years as the recently acquired coupler and sensor businesses are integrated and Wabtec's digital and aftermarket content per locomotive keeps expanding, decelerating to roughly 3% annual growth by year ten. Beyond that, we assume the business holds its year-ten earnings level roughly flat in perpetuity: the installed base of tens of thousands of freight locomotives and transit rail cars requires ongoing parts, overhauls and safety-system upgrades regardless of how many new locomotives are sold in any given year, and the maintenance spending needed to keep that recurring engine running is already charged against earnings in our calculation. That produces a base-case value of about $205.55 per share. Our bear case - roughly a one-in-ten-bad outcome, not a worst-case - assumes the freight rail industry enters a multi-year downturn starting around 2027, as a slowdown in rail freight volumes and uncertainty around the pending Union Pacific-Norfolk Southern merger cause the large railroads to pull back capital spending, transit agency funding tightens, and the newly acquired Dellner Couplers business takes longer than expected to integrate profitably. Owner earnings per share dip toward roughly $5.20 at the trough before recovering to about $8.60 a decade out, still below where a purely optimistic extrapolation of recent growth would put it. That produces a bear-case value of about $129.87 per share. Our bull case assumes the recent growth simply continues: freight railroads keep gaining share from trucking, digital and safety-system content per locomotive keeps rising, further bolt-on acquisitions are integrated successfully and funded increasingly from internal cash flow, and share buybacks continue to shrink the share count. Owner earnings per share would approach roughly $20.50 a decade out, supporting a bull-case value of about $330.54 per share. In this scenario more than two-thirds of the value comes from what the business is assumed to be worth a decade from now, which rests on Wabtec continuing to hold or grow its share of a recurring, technology-intensive aftermarket rather than simply riding the current freight cycle; we flag that concentration of value in the long run as the main way the bull case could be too optimistic even if the near-term growth plays out as assumed. Because the downside case still represents a fundamentally sound, cash-generative business rather than a distressed one, the margin-of-safety price sits meaningfully below fair value rather than at a very deep discount: the margin-of-safety price is about $157 per share. We are not attaching a separate business condition to that price; the risks we're most focused on - freight-cycle softness and integration of the 2025 acquisitions - are ones we can only judge from reported results over time, which is exactly what the bear case already tries to capture. One accounting note for transparency: the cash flow statement reconciled cleanly against net income and depreciation/amortization in every year we examined, with no unexplained gaps, so we have high confidence in the reported figures underlying this analysis.
