Verastem, Inc. (VSTM) stock intrinsic value fair value estimate & owner earnings analysis

Margin of safety$0.00 ComplexityHigh Updated
Business condition attached to the margin of safety Product sales cover the full cost of running the business: owner earnings (operating cash flow after working capital, stock compensation and capital spending) positive for several consecutive quarters, shown in the company's filings.
Verastem is a commercial-stage cancer drug company. Its only marketed product is AVMAPKI FAKZYNJA CO-PACK (avutometinib capsules plus defactinib tablets), which received FDA accelerated approval on May 8, 2025 for adults with KRAS-mutated recurrent low-grade serous ovarian cancer who have had prior systemic therapy. Sales are in the United States only. Accelerated approval is conditional: the FDA requires the company to complete the Phase 3 RAMP 301 confirmatory trial and other post-marketing commitments. What the numbers show. In 2025 the company reported $30.9 million of product revenue against $4.6 million of product cost, $114.6 million of research and development and $81.1 million of selling and administrative expense, a loss from operations of $170.1 million. Operating cash flow was negative $137.5 million. After removing $26.0 million of cash that came from growth in payables and accrued expenses, and $9.4 million of stock compensation, owner earnings were negative $172.9 million, or negative $2.49 per share. Owner earnings have been negative in every year we could measure from 2017 through 2025, between about negative $2.49 and negative $22.41 per share (after adjusting for the 2023 reverse split). The 2020 figure benefited from $88.5 million received from the sale of rights to COPIKTRA, a one-time event. Through the first half of 2026, revenue was $58.7 million but the company still reported a net loss of $71.3 million and used $96.0 million of cash in operations. How the business has been funded. The losses have been paid for by issuing shares and taking on debt, not by the business. The weighted diluted share count (adjusted for the reverse split) grew from about 16.1 million in 2022 to 69.3 million in 2025 and about 100 million in the second quarter of 2026. The company also has a note purchase agreement with Oberland Capital: $75.0 million of notes were sold in January 2025, with up to another $75.0 million available, and the lenders also receive 1% of the first $100 million of annual net sales of the covered products. At the end of 2024 the company's auditors-facing assessment carried substantial doubt about its ability to continue as a going concern; that doubt was lifted in the 2025 annual report after $205.0 million of cash at year-end (plus $29.4 million from warrant exercises in January 2026), initial sales, and access to the second note draw. Base case: worth $0 per share. The product is real and its gross margin is high, but nothing we can point to shows the whole business earning money. At 2025 spending, sales of roughly $70 million a year (the fourth-quarter 2025 rate of $17.5 million a quarter) would not cover even the selling costs, before any research spending. Growth in sales, a wider label or a cut in research spending have not yet happened, so they are not credited. Cash on hand is not added to the value, because it is being consumed and the business has no earnings history to justify the cash being worth more than it costs to hold. Bear case: $0 per share. If the confirmatory trial fails to support the accelerated approval, the only product could lose its approval, leaving a cash-burning company with $75 million of borrowings and the revenue-sharing obligation still attached. Shareholders would be left with little or nothing. Bull case: $0 per share. Even if sales keep climbing at the pace of the last three quarters and the trial succeeds, we cannot show from the filings that revenue would exceed the combined cost of selling the drug and running the late-stage trials. Success would make a positive value possible, but that has not yet happened, so no value is credited. At this stage the shares represent an option on the future, not an established earning stream. What would make this wrong: sales reaching a level where gross profit exceeds selling and research costs, which the filings would show as owner earnings turning positive. The results reported through mid-2026, in which quarterly revenue more than doubled while the quarterly net loss narrowed slightly, are the first sign to watch, but one quarter is not a track record. Note that the source filings for the first half of 2026 were only available to us as structured data, so the composition of second-quarter revenue could not be confirmed. The owner earnings for 2017 rely on a share count estimated from the reported loss per share.
