Viridian Therapeutics, Inc.\DE (VRDN) stock intrinsic value fair value estimate & owner earnings analysis

Margin of safety$0.00 ComplexityHigh Updated
Business condition attached to the margin of safety Veligrotug is FDA-approved and launched, and the company has reported several quarters of product sales together with positive owner earnings (operating cash flow after stock compensation and capital spending).
Viridian Therapeutics is a clinical-stage biotechnology company developing treatments for thyroid eye disease, a serious condition associated with Graves disease. Its lead candidate, veligrotug, is an intravenous antibody aimed at the IGF-1R target. Its second candidate, elegrobart, is a subcutaneous version in Phase 3 trials. The company has never sold a product. Its latest annual report states that it has no approved products and has never generated revenue from product sales. What the numbers show. Owner earnings, meaning operating cash flow after removing working-capital swings, stock compensation and necessary capital spending, have been negative in every year we measured, and the losses have grown. Per share, that was about -$6.20 in 2021, -$4.27 in 2022, -$5.52 in 2023, -$4.54 in 2024 and -$4.05 in 2025. In 2025 operating cash burn was about $276 million and stock compensation was about $44 million. Capital spending is negligible, at under $1 million a year. The company held about $875 million in cash, cash equivalents and marketable securities at December 31, 2025, and says this funds planned operations for at least twelve months. It has funded itself by selling stock, so past cash needs have been met by diluting shareholders; the weighted share count rose from about 12 million in 2021 to about 85 million in 2025. Bear, base and bull cases. We value only what is already in hand or contracted, and we do not credit growth that depends on something that has not happened yet. On that basis all three cases are $0 per share. The filed reports show a regulatory submission, not an approval. The FDA accepted the veligrotug application with Priority Review and set a decision date of June 30, 2026, and a European application was filed in January 2026. A pending decision is not approval, and a first product launch has no sales history, no pricing record and no reimbursement record to point to. We did not have a filing after the June 30, 2026 decision date available to check the outcome, so this analysis does not assume approval. Nothing here is a judgment that the drug will fail. It is a judgment that owner earnings are negative today and no earnings stream is yet evidenced. We also do not add the cash balance to value, because that cash is being consumed by an operation that loses well over $300 million a year, and the company can only earn it back through a successful launch. What would make this wrong. If veligrotug is approved and sells strongly, the shares would be worth more than zero. The evidence to update on is a completed launch with reported product sales, price and payer coverage, and a path to positive owner earnings. Future share issuance would dilute any such value. Margin-of-safety price. Because there is no evidenced earnings stream, no positive margin-of-safety price is set. The estimate would be revisited after a product is approved, launched, and shows positive owner earnings.
