What this is. VOC Energy Trust is a passive trust with 17,000,000 units. Its only asset is an 80% net profits interest in oil and natural gas properties operated by VOC Brazos in Kansas and Texas (703 gross producing wells at December 31, 2025, including the Kurten Woodbine Unit in Texas). The Trust receives 80% of the revenue from those properties after operating costs, taxes and development spending, pays its own small administrative costs, and distributes the rest. It does not own the wells, cannot drill, and has no employees. The trust interest is a wasting asset with a fixed end: it terminates on the later of December 31, 2030 or when 10.6 million barrels of oil equivalent have been produced and sold (8.5 million in respect of the Trust's share). As of December 31, 2025 the Trust had been paid for about 7.7 of those 8.5 million, so the December 31, 2030 date is the one that matters. After that the Trust winds up and unitholders receive nothing further from the properties. The Trust must also wind up earlier if its annual proceeds fall below $1 million for two consecutive years. Earnings power. The Trust has no stock compensation, capital spending or working capital, so we measure owner earnings as net profits income less the Trust's administrative expenses. Per unit that was $0.28 (2016), $0.50, $0.71, $0.69, $0.24 (2020), $0.49, $1.33 (2022), $0.91, $0.75 and $0.45 (2025). The swings follow oil prices. Amortization of the interest is charged against trust corpus, not to distributions, so it does not change these figures. The stored series covers a full oil-price cycle, but because the interest is depleting we do not treat the historical median as a run rate. Instead we value the remaining life directly. Owner earnings fell about 40% in 2025 (net profits income $8.6 million versus $13.6 million; oil price down 14.6% to $65.44 per barrel, oil volumes down 3.6% and gas volumes down 9.9%, development spending up 18% to $2.9 million). The named evidence for the remaining life is the Trust's year-end 2025 reserve report: 1.73 million barrels of oil equivalent of proved reserves attributable to the Trust, of which 0.39 million are undeveloped, and estimated undiscounted future net cash flows to the Trust of $17.7 million ($12.5 million discounted at 10%), using 2025 average oil price of $62.91 per barrel. That figure was $46.0 million a year earlier and $69.0 million two years earlier, so the estimate has been shrinking as reserves are produced, prices have eased and development-plan revisions have removed undeveloped locations (about 93,700 barrels of oil equivalent removed in 2023 and 77,800 in 2024). We do not forecast oil prices; we use the reserve report's own price and cost assumptions. Base case. Net profits income follows the reserve report: about $4.5 million in 2026, $4.0 million in 2027, $3.5 million in 2028, $3.0 million in 2029 and $2.7 million in 2030, totalling the reported $17.7 million. Trust administrative costs of roughly $0.95 million a year (they were $0.94 million in 2025) come out of that, leaving owner earnings of about $3.6 million in 2026 falling to about $1.8 million in 2030, then nothing. Growth check: 2025 owner earnings fell 40%; the base case assumes a larger fall in 2026 (about 54%), so it does not assume the decline reverses. The steeper 2026 step rests on the reserve report's future production and development costs being higher per barrel than 2025 actuals. Discounted at 6%, this is about $0.54 per unit. No growth is credited: the operator is not obligated to drill and no drilling took place in 2023, 2024 or 2025. Bear case. The same reserve report, but with about 55% of the net profits income (about $3.5 million in 2026, falling to $0.8 million in 2030) and the fixed administrative costs unchanged, so owner earnings reach zero by 2030. This reflects the consecutive negative revisions above and the operator's disclosure that if it pursues development of the Lower Woodbine Organic Shale, higher development costs deducted before the Trust is paid could reduce distributions, in some periods to zero. Value is about $0.18 per unit. Bull case. The properties keep 2025 actual operating-cost levels (about $18.8 million a year of operating costs, taxes and development spending on the properties) and 2025 average revenue per barrel of oil equivalent, with volumes declining in line with the 1.73 million barrels of proved reserves through 2030. That gives net profits income of roughly $8.4 million in 2026 falling to $4.1 million in 2030 and owner earnings of about $7.5 million falling to about $3.2 million. Value is about $1.13 per unit. It still stops at the end of 2030; nothing after that is credited. What is and is not counted. No value is placed on anything after 2030 because the net profits interest ends and no named contract or asset continues it. The Trust held $2.0 million of cash at December 31, 2025 (including a $1.175 million reserve for future expenses); we do not add it to any case, so any of it eventually distributed would be upside. Because the Trust has no debt and owner earnings are already after its expenses, nothing is deducted for debt. These are estimates of what the units are worth to a holder who collects the remaining distributions; none of the cases is above zero for long after 2030. What could make this wrong. Oil price is the biggest swing factor and is not forecast here: the Trust's income fell 37% in 2025 with oil down about 15%, because most of the underlying costs are fixed. The reserve report is an estimate at one price; if realized prices and costs stay at 2025 levels the bull case is closer. Conversely a fresh round of development spending on the properties, or shut-ins of higher-cost wells, would push results toward the bear case. Margin-of-safety price: about $0.27 per unit, roughly half the base value; from that price the base-case cash flows imply about 20% a year, and the bear case value sits below it.
