Veracyte runs cancer-diagnostic testing from its own laboratories. Its tests read the activity of a tumor's genes to help doctors decide on treatment. The main products are Decipher Prostate (plus Decipher Bladder), Afirma for thyroid nodules, and Prosigna for breast cancer. Testing was $493M of $517M revenue in 2025. The rest is kits sold to outside labs and biopharma services. The tests are covered by Medicare and by commercial insurers. Medicare was 33% of 2025 revenue and UnitedHealthcare was 14%. How we measure earnings. We count cash from operations, remove swings in working capital, and subtract stock compensation as a real cost. Stock compensation was $43.6M in 2025, about 8% of revenue. We deduct only the capital spending needed to keep the business running, not the part that supports growth. Earnings per share on this basis were -$0.47 in 2020, -$0.90 in 2021 (the year of the Decipher and HalioDx acquisitions), -$0.19 in 2022, $0.09 in 2023, $0.65 in 2024 and $1.08 in 2025 (about $87M in total). Over the last two years, the earnings on this basis have averaged about $0.86 a share. The 2025 figure of $1.08 is a level the business has already reached, not a forecast. The first half of 2026 supports it. Operating cash flow was $81M against $39M a year earlier, revenue was up 18%, and stock compensation ($26.8M) and capital spending ($5.8M) were both up. We start the cases from $1.08. Two accounting points matter. First, 2025 net income included a $15.3M non-cash gain on revalued acquisition obligations and a $20.5M non-cash write-down. Neither touches cash flow, so neither affects our figure. Second, acquired-technology amortization is falling ($20.6M in 2023, $13.2M in 2025) and is added back as a sunk cost. The business does not depend on those assets to keep earning. Taxes. Veracyte pays very little cash tax today because it carries about $562M of federal loss carryforwards. We assume those run out after about six years and cash taxes then take roughly a fifth off owner earnings. This is in every case, and it is our own estimate rather than a filed figure. Base case, about $15.70 a share. Earnings start at $1.08 and grow 7% in year one, tapering to 1% by year ten. Year-one growth is well below the 67% jump in 2025. Growth is credited only at a pace below what the business has demonstrated. Testing revenue has grown every year since 2017 except 2020, and it grew 17.7% in 2025 as coverage and physician ordering carried on. Earnings are then held flat through year 25. The evidence is that Afirma has been on the market since about 2011 and is still growing, and Medicare coverage and guideline inclusion are already in place. Three items are left out because none has happened yet: new tests such as the molecular residual-disease test planned for the first half of 2026, the Prosigna launch as a US lab test, and any margin expansion. Bear case, about $7.48 a share. Earnings fall back to the two-year average of about $0.86 with no growth. The taxes described above apply from year seven, and the earning power ends after 15 years. The named risks are the concentration in Medicare (33%) and one commercial insurer (14%), a single payer-rate reset, and single-source suppliers of reagents. The company holds no debt that would add to the downside. No specific event is assumed. Bull case, about $22.36 a share. The business keeps growing at a rate below its record, starting at 12% and tapering to 2% by year ten. That growth comes from the existing Afirma and Decipher franchises, which are already covered for 275M and 215M lives respectively. Earnings persist for 30 years. It needs no new-product success. Margin-of-safety price. The margin-of-safety price is about $9.50 a share. That is roughly a 40% discount to the base case and only about 27% above the bear case. The discount is large because most revenue depends on a few payers and one reimbursement regime, and because the earnings base has only been positive for three years. What would make this wrong. Medicare or UnitedHealthcare could cut or narrow coverage for Afirma or Decipher. Testing volumes could stall. Cash taxes could arrive sooner than we assume, and stock compensation could keep climbing faster than earnings. We could not fully explain from the filing why first-half 2025 cash flow ($39M) was so much weaker than second-half ($97M). Our earnings figure removes working-capital swings, so this does not change the value.

Sales geography
United States (about 96% of 2025 revenue, billed to U.S. customers; Medicare and UnitedHealthcare are the largest payers; the filing gives no regional split). International is about 4% of 2025 revenue (Europe, Middle East, Asia Pacific and other countries, mainly Prosigna kit sales through distributors)
