Quest Diagnostics is the largest independent clinical laboratory testing company in the United States. It runs blood, urine, genetic, and specialty diagnostic tests ordered by physicians and hospitals, processed through a national network of labs and patient service centers, and reimbursed by a broad mix of commercial insurers, Medicare/Medicaid, and health systems (no single payer accounts for as much as 10% of revenue). Alongside steady organic test volume growth, its main growth engine over the last several years has been acquiring the outreach laboratory operations of hospital systems -- deals with health systems in Ohio, Minnesota, Wisconsin, and New York, plus the larger purchase of LifeLabs (a major Canadian lab operator) completed in 2024 and a smaller dialysis-testing acquisition (Spectra) in 2025. COVID-19 testing produced a large, temporary surge in revenue and cash flow in 2020-2022 that had fully unwound by 2023. We excluded those three years when setting the normal earning level and anchored instead on 2023-2025, the years that reflect the business at its current, post-pandemic scale after the recent run of acquisitions. On that basis we estimate the company's sustainable owner earnings (cash generated for shareholders after real maintenance spending, stock-based pay, and normal working-capital swings, and after setting aside the portion of consolidated results that belongs to outside partners in its lab joint ventures) at roughly $8.85 per share today. Owner earnings grew about 22% in 2025 versus 2024, but a chunk of that was an unusually large one-time tax-related non-cash item; we assumed a more moderate 7% growth rate for the coming year, stepping down gradually toward 3% by year ten, rather than extrapolating the 2025 pace. Our base case assumes Quest keeps growing earnings at a moderating pace over the next decade through a mix of modest organic volume growth and continued, but slower, bolt-on acquisitions of hospital lab operations, while Medicare reimbursement pressure (the government's laboratory fee schedule, currently frozen through 2026 by Congress) remains a manageable, ongoing drag rather than a sharp cut. Because Quest's lab network, payer relationships and testing capacity are recurring assets that get renewed through the maintenance spending already built into our owner-earnings figure -- not a patent or contract that expires on a fixed date -- we valued the years beyond the ten-year forecast as a continuing, modestly growing stream, capped at a very conservative sub-1% annual growth rate to stay conservative. That long-run tail still accounts for roughly two-thirds of the total value, which is typical for a stable, recurring-revenue business valued this way, but is worth flagging plainly. Our bear case assumes the Medicare fee cuts that have been delayed by Congress every year since 2020 are allowed to resume in 2027, pressuring reimbursed prices for several years, while the ambitious pace of recent acquisitions (over $2 billion in 2024-2025 alone, including the cross-border LifeLabs deal) proves harder to integrate than expected and returns on that spending disappoint. Under that story, owner earnings are roughly flat for several years before a modest recovery, and we treat the long-run tail as flat rather than growing, given a company with meaningful debt against essentially stagnant cash flow. Our bull case assumes the reimbursement reform legislation Quest itself has been lobbying for succeeds in replacing the current fee-cut mechanism with a more favorable one, hospital systems keep handing off their lab operations to Quest at a brisk pace, and recent acquisitions outperform, producing high-single-digit growth for several years. Putting these together, our bear case values the shares at roughly $143, our base case at roughly $238, and our bull case at roughly $300. Given the meaningful but not extreme spread between the bear and base cases, the margin-of-safety price is around $176 a share, a discount built to compensate for the real risk that Medicare reimbursement cuts resume and that the recent acquisition spree disappoints. One accounting judgment worth noting: Quest consolidates some laboratory joint ventures it does not fully own, so we subtracted the portion of cash flow that belongs to those outside partners (roughly $50-85 million a year) to arrive at a figure that reflects only what belongs to common shareholders. We were not able to fully attribute a few small, one-time reconciling items in the 2016 cash flow statement (roughly 2% of that year's operating cash flow) to a specific line, which has essentially no effect on the current valuation given it only affects the oldest year in the data.
