Vaso Corporation earns its money from one relationship. Its VasoHealthcare subsidiary is GE HealthCare's exclusive sales representative for selected diagnostic imaging and ultrasound equipment in parts of the US market, paid commissions when the equipment is delivered. The company states that about half its revenue and all of its operating income come from this agreement. In 2025 that segment earned $6.6 million of operating income on $44.2 million of commissions. The rest of the company is NetWolves, a managed-network services business; a small medical-equipment unit with operations in the US and China; and, until November 2025, a healthcare IT reseller that was sold after losing money. Those units lost money together in 2025, including a $4.6 million goodwill write-down in IT. The GE HealthCare agreement started in 2010. It has been extended five times, most recently in December 2025, and now runs to December 31, 2030, but GE HealthCare may end it early without cause under certain conditions. How we measured earnings. We start from operating cash flow and remove working-capital swings. That matters a lot here. Vaso bills commissions when GE HealthCare books an order but recognises them only when the equipment ships, so a growing order book pulls cash in early. Deferred commission revenue reached $38.6 million at the end of 2025, and that float accounts for much of the cash that piled up on the balance sheet. We also deduct stock pay, the capital spending needed to stand still, and the yearly provision for commission adjustments on cancelled orders, which is a recurring cost of the business. We also remove interest earned on the cash pile, because the cash is counted separately. On that basis, earnings before lenders were about $2.9 million in 2016. They were negative by about $3.6 million in each of 2017 and 2018, then $2.3-2.4 million in 2019 and 2020. They peaked at $6.8 million and $8.7 million in 2021-2022 as delayed post-pandemic hospital orders shipped, then fell to $4.5 million in 2023, about $0.1 million in 2024 and $1.6 million in 2025. The 2024 figure was depressed by roughly $2.5 million of one-off costs from the abandoned Achari merger. We anchor on about $2.4 million a year, the median of 2019-2025 with 2024 adjusted for the merger costs. That window covers the business since its last major contract reset and includes both a trough and a boom. Earlier years reflect a larger, loss-making IT business that has since shrunk. Near-term path. In 2025 earnings rose from $0.1 million to $1.6 million, though they fell against the merger-adjusted 2024 figure. The base case starts year one at about $2.0 million. Three facts support that: the loss-making healthcare IT unit was sold in November 2025; the first half of 2026 showed a net loss of $0.3 million against $1.3 million a year earlier; and the order backlog grew 10% in 2025. Vaso has about $14.5 million of tax losses it can use against future profits, and the company itself expects to use them up between 2027 and 2030, after which cash taxes rise. Base case (about $0.26 a share). GE HealthCare keeps renewing, as it has five times in fifteen years. Earnings of about $2.0 million a year hold through the current term to 2030. After that they step down to about $1.6 million once the tax losses run out and allowing for a renewal on somewhat tighter terms. They then fade to zero over the following nine years, because nothing beyond the renewal record supports a permanent relationship. That business is worth about $16 million. The company has essentially no borrowings: $0.3 million of notes, an undrawn $3 million credit line and no finance leases. It held $38.3 million of cash at June 30, 2026. After setting aside about $8 million to run the business, about $30 million is surplus. That gives roughly $46 million of equity value, or $0.26 on 176 million shares. Bear case (about $0.16 a share). This case uses the 2020 shutdown, when hospitals froze capital spending and revenue fell 7.5% in a year. A similar pause cuts earnings to about $0.8 million for two years. Earnings then recover to about $1.5 million, and GE HealthCare does not renew at the end of 2030. With the commission stream gone, the remaining units, which lost money in 2025, cost about $3 million to shrink or close in 2031, and nothing is left after that. The business is worth about $3 million in this case. Surplus cash is taken at a lower $26 million, because some of the float would unwind as the backlog delivers without being replaced. That leaves about $29 million, or $0.16 a share. Most of the bear value is cash. Bull case (about $0.37 a share). This case builds on what the company has already done: ultrasound was added to the agreement in 2023 and new territory in 2025. Earnings run at about $3.5 million for two years. They settle at about $2.9 million through a further renewal to about 2040 and then fade. The business is worth about $34 million, plus about $31 million of surplus cash, or about $0.37 a share. We gave no credit to a turnaround at NetWolves or the equipment unit, because neither has shown sustained profits. What we are least sure of. First, the earnings level: over ten years earnings have swung from about minus $3.6 million to plus $8.7 million, and they depend on the timing of hospital equipment deliveries. Second, the relationship: one company, GE HealthCare, can end the profitable part of the business. Third, what management does with the cash: it has looked for transformative deals before, including the 2023-2024 SPAC merger it later terminated, and the shares pay no dividend. Because Vaso has no debt, it would survive losing GE HealthCare, but what owners got back would be mostly the remaining cash. The margin-of-safety price. We are confident in the cash and much less confident in the earnings. The worst plausible outcome, losing GE HealthCare early, leaves roughly the bear value of about $0.16, nearly all of it cash. If GE renews and earnings are about as we expect, the shares are worth about $0.26 within a few years. A 20% annual return requires a price from which the base outcome roughly doubles in four years, while losing GE leaves the value close to that price rather than far below it. The shares pay nothing in the meantime, and the price assumes a holding period through the next GE renewal decision. At $0.12 the price is less than the cash the company holds per share, with the commission business valued at little or nothing. The margin-of-safety price is $0.12. Changes since our previous analysis. The earlier estimates were built on a different basis and are not comparable. The business itself has changed since then in three ways: the healthcare IT reseller has been sold, the GE HealthCare territory was expanded, and first-half 2026 losses have narrowed.

Sales geography
United States (48 contiguous states and the District of Columbia across the Northeast, Midwest, South and West); a small amount of medical equipment sales in China
Historical growth strategy
Growth has come mainly from extending and widening a single exclusive sales-representation agreement with GE HealthCare (renewed in 2012, 2015, 2017, 2021 and 2025, with ultrasound added in 2023 and new territory in 2025), plus small acquisitions in IT and managed network services (NetWolves) and an attempted reverse merger with a SPAC (Achari, terminated in 2024). Non-core pieces such as the healthcare IT reseller unit have been sold when they stopped earning their keep.
Chart analysis
A chartist would see an OTC penny stock that has spent most of the last decade in a low-cents range, with a long basing pattern after the 2018-2019 losses, a breakout during the 2021-2022 surge in hospital equipment orders, and choppy, range-bound trading since then. Moves tend to be news-driven gaps around contract-extension and merger news rather than steady trends.
