Upwork runs the largest open online marketplace that connects businesses with independent freelancers. It earns fees from both sides of each job, and it has a smaller Enterprise business (managed services and workforce products) that produced $104.9M of revenue in 2025. Total 2025 revenue was $787.8M, up 2%, of which Marketplace was $682.9M. What has happened: profits have grown while the customer base has shrunk. Marketplace take rate (revenue as a share of spend) rose from 15.4% in 2023 to 18.0% in 2024 and 18.7% in 2025. Over the same period active clients fell 2% in 2024 and 6% in 2025, which the company attributes to slower new-client acquisition and lower retention of existing clients. Spend on the platform rose only 1% in 2025; higher spend per remaining client (+7%) offset the loss of clients. In the first half of 2026, revenue was $387.1M versus $387.6M a year earlier (Q2: $191.7M versus $194.9M), so growth has stalled. How we measure earnings: owner earnings are cash from operations, less the cash effect of working-capital swings, less stock compensation (a real cost, $65.4M or about 8% of 2025 revenue), less the maintenance part of capital spending (including capitalized software, $25.1M in 2025). On that basis owner earnings per share were negative from 2019 to 2022 (-$0.17, -$0.15, -$0.23, -$0.45), then $0.05 in 2023, $0.61 in 2024 and $0.97 in 2025. The earlier years describe a loss-making, heavily stock-paid company, so we anchor on 2023 to 2025 only: the median is $87.9M (2024). In 2022 and 2023 the company restated how customer escrow flows appear in its cash flow statement; removing all working-capital movements makes our figures unaffected by that change. Two adjustments to that level, both stated openly. First, 2025 cash flow got about $18.5M of help from non-cash deferred taxes: the company holds net deferred tax assets of $111.5M (mostly capitalized R&D of $96.9M), which cut cash taxes to just $4.6M in 2024. That shield will be used up, so our cases add roughly $18.5M of annual cash taxes from year 7 onward. Second, $361M of 0.25% convertible notes came due in August 2026. At June 30, 2026 the company held $476M of cash and $138M of marketable securities. We assume the notes are repaid from cash, which removes interest income of roughly $11M a year after tax (the company earned $27.4M of interest income in 2025, about 4% on its cash and securities). No net-debt deduction is made; the effect is carried in the earnings level. Growth-path check: owner earnings grew 56% in 2025 ($87.9M to $136.8M), but that jump came from the rising take rate and low cash taxes, not from a growing business. Year one of our base case assumes zero growth, below that trailing rate. Base case, $6.72 per share: owner earnings of about $77M (anchor less lost interest) held flat for six years, about $58.5M for years 7 to 10 once the tax shield is used, then declining 3% a year. The decline reflects two straight years of falling active clients. We credit no growth: take-rate gains, new services such as Lifted, and the 2025 acquisitions of Bubty and Ascen ($58.4M) are unproven as sources of durable growth. What persists is the marketplace itself, roughly $3.7B of annual spend at an 18.7% take rate, run by a company that has operated this two-sided network for many years. Value is spread over about 130 million diluted shares (Q2 2026), which reflects buybacks of $136.0M in 2025 and $109.7M in the first half of 2026. Bear case, $2.47 per share: the first half of 2026 shows cash from operations of $69.9M versus $109.5M a year earlier, and after stock compensation and capital spending the run-rate is weak. We start at $50M and let owner earnings fall 6% a year indefinitely, the 2025 rate of client loss, with no offset from higher spend per client, then add the $18.5M cash-tax step-up from year 7. Bull case, $11.66 per share: owner earnings return to and hold the 2025 level of $136.8M, less the $11M lost interest ($125M), flat for six years, about $106.5M after the tax shield ends, then declining 3% a year. This requires the take rate to hold at 18.7% and client losses to stop, which the 2025 results show is possible but not yet secured. What we could not reconcile: the fall in first-half 2026 cash from operations is larger than the drop in net income ($56.9M versus $70.5M), and the working-capital detail behind it was not available to us. We treat it as a warning for the growth path rather than a change to the earnings level. The case would be wrong if take-rate gains continue to outrun client losses, or if client retention recovers.
