Trilogy Metals Inc. (TMQ) stock intrinsic value fair value estimate & owner earnings analysis

Margin of safety$1.00 ComplexityHigh Updated
Business condition attached to the margin of safety Construction of the Ambler Road is fully financed and under way, and a construction decision with committed financing has been made for the Arctic copper-zinc mine.
Trilogy Metals has no revenue and no operating mine. Its only real asset is a 50% stake in Ambler Metals LLC (the other half is owned by South32), which holds the Upper Kobuk Mineral Projects in the Ambler Mining District of Northwest Alaska: the Arctic copper-zinc-lead-gold-silver deposit and the Bornite copper project. The company's own cash flow is negative every year. Operating cash flow was about -$3.2 million in fiscal 2025 (year ended November 30, 2025) and stock-based compensation of about $3.3 million is a real cost, so owner earnings were about -$6.6 million, or roughly -$0.04 per share. Over the past five years the figure has ranged from about -$0.03 to -$0.06 per share, with a median of about -$0.045. Fiscal 2020 net income of $161.8 million was a non-cash accounting gain when Ambler Metals was formed and is not treated as earnings. What is real: Arctic has estimated probable mineral reserves and a feasibility study showing an initial capital cost of about $1,177 million (2022 dollars), a post-tax value of $1,108 million at an 8% discount rate and a 22.8% internal rate of return, on the study's metal prices. In October 2025 the President approved the permits for the Ambler Road, which would provide access to the district, and the company reports that all federal right-of-way permits are now in place. A letter of intent with the U.S. Department of War would bring in about $35.6 million, to be reinvested in Ambler Metals. Bornite has resources but no estimated reserves. What is not yet real: the road has not been built, no one has committed the roughly $1.2 billion to build the Arctic mine, the study's costs and metal prices date from 2022, and the Department of War investment is conditional on funding and government review. Growth and value can only be credited when they are secured or the output of a long proven process, and none of these steps meets that test today. We therefore credit no future mine cash flow in any case. Bear case ($0 per share): the company keeps spending a few million dollars a year, must keep issuing shares to fund itself and its share of Ambler Metals, and the mine is never financed. Nothing distributable results. Base case ($0 per share): the same, with steady overhead and no evidenced earnings stream; a negative value is not shown because the company can cut its discretionary spending and, as far as we can see in the filing, is not obligated to keep funding losses. Bull case ($0 per share): even if the road and mine progress, we cannot yet name a signed financing or construction commitment, so nothing is credited. The value here is an option on Arctic being built, which we cannot price from evidence today. Cash held by the company (about $38.8 million at May 31, 2026) is not added, consistent with valuing only the earning power of the business. The margin-of-safety price of $1.00 per share is conditional on the road being financed and under way and on a financed construction decision for Arctic. If both occurred, Trilogy's half of a project the study values at over $1 billion would be worth far more than that, but the large capital build, 2022-dollar costs and further share issuance justify a very large margin of safety. Without that condition, we see no evidenced value. What would make this wrong: a financed road and mine on the study's economics would make even a $1.00 price cheap; conversely, higher construction costs or metal prices below the study's assumptions would erode it. The share count is rising (about 172.6 million diluted shares in the latest quarter versus 164.8 million for fiscal 2025), and the government-related warrants would add further shares once the road is complete. The company did not separately report a working-capital movement in its data, so none was removed from cash flow; the amounts are small.
