Business condition attached to the margin of safety The FDA has accepted the TARA-002 Biologics License Application for lymphatic malformations with priority review, so that an approval decision (and a Rare Pediatric Disease Priority Review Voucher) is due before the program's September 30, 2029 sunset.
Protara Therapeutics is a New York City-based clinical-stage drug developer with no products on the market and no revenue. It has three programs. TARA-002 is a cell therapy made from the same master cell bank of Streptococcus bacteria as OK-432 (Picibanil), which Chugai Pharmaceutical has sold for decades in Japan and Taiwan for lymphatic malformations and some cancers. Protara holds the rights everywhere except Japan and Taiwan. It is testing TARA-002 in children with lymphatic malformations (the STARBORN-1 trial) and in non-muscle-invasive bladder cancer (the ADVANCED-2 trial). The third program, IV Choline Chloride, is a nutrient-replacement therapy for patients on long-term intravenous nutrition and is in the THRIVE-3 Phase 2b/3 trial. What the business earns today: nothing. The company has spent cash every year since the January 2020 merger that created it. After adding back non-cash items and then charging stock compensation as a real cost, owner earnings were about -$35 million in 2020, -$46 million in 2021, -$35 million in 2022, -$40 million in 2023, -$45 million in 2024 and -$58 million in 2025. Spending is now rising as three trials run at once: owner earnings were about -$40 million in the first half of 2026 alone, or roughly -$80 million a year. At June 30, 2026 the company reported about $162 million of cash and investments against total liabilities of $14.8 million, so net cash was roughly $147 million, or about $2.33 per share on roughly 63 million shares once convertible preferred stock and pre-funded warrants are counted. The company says this funds operations into 2028. That also means the current plan uses up nearly all of the cash before any product can be approved. So the cash is not a cushion owners will ever receive; it is the budget for the trials. Our valuation starts from the net cash, subtracts the spending already planned, and adds back only the payoffs we can tie to specific evidence. We do not subtract the cash a second time. The evidence we can point to is uneven. The strongest program is lymphatic malformations. The predecessor drug has a long approved record in Japan. In interim STARBORN-1 data from April 2026, 83% (10 of 12) of children who completed treatment had clinical success, and all seven who reached the 32-week check remained disease-free. The FDA has granted Breakthrough Therapy, Fast Track and Rare Pediatric Disease designations, and the company plans to file for approval in the second half of 2027. The Rare Pediatric Disease designation matters most: if the drug is approved by September 30, 2029, the FDA awards a priority review voucher, which can be sold to another drug company. The disease is rare, so we expect product sales to be modest. We also note that Chugai's exclusive supply of the starting material runs only through June 17, 2030. The bladder cancer program is less convincing. In the BCG-unresponsive group, 65.7% of patients had a complete response at some point, but only 33.3% (5 of 15) were in complete response at 12 months. The field already has approved treatments, including Keytruda, Adstiladrin, Anktiva and Inlexzo. Enrollment in the registrational cohort is expected to finish in the fourth quarter of 2026, and the company has scaled its second bladder cancer trial (ADVANCED-3) back to an exploratory study. The choline trial's interim results are due in the fourth quarter of 2026, and there is no efficacy result yet to value. Base case, about $1.30 per share. Spending continues at the first-half-2026 pace through 2028, a present value of about -$180 million, which uses up the $147 million of net cash and requires more funding. TARA-002 is approved for lymphatic malformations in 2028, before the voucher deadline. The voucher is sold in 2029 for about $100 million, and modest US sales of the product add roughly $30 million of present value after the cost of selling it. We give no value to the bladder cancer or choline programs because neither has results strong enough to support a sales forecast. Spending on them beyond the current plan is assumed to go ahead only if the data justify it. Planned spending is rising, not falling, which is consistent with last year's 30% deterioration in owner earnings and the actual first-half 2026 rate. Bear case, about $0.25 per share. The lymphatic malformation approval slips past September 2029 or fails, so no voucher is awarded. The 12-month bladder cancer results are too weak to file, and the company winds down or is sold after spending most of its cash, leaving shareholders a small residual. If the company instead keeps raising money to continue, the risk of dilution makes this case worse. Bull case, about $5.50 per share. The lymphatic malformation approval arrives on schedule and the voucher sells for about $150 million. The registrational bladder cancer cohort produces durable responses good enough for approval under the FDA's single-arm pathway, and the product is partnered or launched with a modest share of a crowded market. The choline trial succeeds. The 10.1 million warrants priced at $5.25 are exercised, bringing in about $53 million but adding shares. This case also carries extra spending on launches and the Phase 3 program. The gap between the cases is wide because the value depends almost entirely on a few regulatory events over the next three years, and because the current cash does not cover the full path to approval. What would make the estimate wrong: a smooth lymphatic malformation filing in 2027 and a firm voucher sale would push value toward the upper end of the base case and beyond. Missing the 2029 voucher deadline, or another capital raise at a low price, would push it toward the bear case. Price alone is not enough here. The margin-of-safety price applies only once the FDA accepts the lymphatic malformation application with priority review, because that puts the voucher within reach before the deadline.
