Business condition attached to the margin of safety ANKTIVA net product sales reach at least $125 million a quarter while total operating costs stay near the current ~$450 million a year, so owner earnings turn positive for two quarters in a row. In addition, the $505 million Nant Capital note due December 31, 2027 must be converted or refinanced without new high-cost debt.
ImmunityBio sells one approved medicine, ANKTIVA. It is an IL-15 immune-stimulating protein given into the bladder together with BCG, for adults with BCG-unresponsive non-muscle-invasive bladder cancer (carcinoma in situ, with or without papillary tumors). The FDA approved it in April 2024 and sales began in May 2024. Nearly all sales are booked in the United States: $113.0 million of $113.3 million in 2025. ANKTIVA has since been approved in the United Kingdom (July 2025) and Saudi Arabia (January 2026, which also gave a conditional approval in lung cancer). The EU granted a conditional authorization in February 2026. None of these had produced meaningful sales by the latest annual report. The rest of the company is a large research pipeline covering lung, brain, pancreatic and colorectal cancers, plus NK-cell therapies and vaccines. Sales are growing quickly and steadily. Quarterly sales were about $16.5 million in the first quarter of 2025, then $26.4 million, $32.0 million and $38.3 million. They reached $44.2 million in the first quarter of 2026 and $51.2 million in the second, adding roughly $6 to $7 million each quarter. The business has never produced cash for its owners, though. We measure owner earnings as operating cash flow with working-capital swings removed, with stock compensation charged as a real cost, and after capital spending. On that basis the company lost about $453 million in 2023, $419 million in 2024 and $298 million in 2025 (32 cents per share). The 2025 improvement was real, but spending is rising again. Total operating costs were $227 million in the first half of 2026, against $179 million a year earlier, and that absorbed much of the sales growth. The reported first-half 2026 net loss of $863 million is far larger than the cash loss. The gap comes mainly from accounting revaluations of warrants and a convertible note that involve no cash, and we set them aside. Several accounting choices shape these figures. All capital spending is counted as a cost, which is small either way. Lease payments are treated as ongoing rent. Cost of sales is tiny today because inventory built before approval was expensed earlier. The company says cost of sales will rise, and we assume it reaches about 10% of sales by 2028; that figure is our own estimate. Reported cash flow adds back interest that is accrued but not yet paid on a revenue-sharing financing, so we charge those payments explicitly. Two financing obligations matter: - Oberland paid $300 million for a share of ANKTIVA revenue. ImmunityBio pays about 10% of worldwide net sales (excluding China) up to $600 million a year. If payments fall short of $300 million by December 31, 2029, a true-up payment is due. Total payments reach $585 million, and any shortfall must be paid by the end of 2035. The deal is secured by substantially all of the company's assets. - Nant Capital, an entity affiliated with Executive Chairman Dr. Soon-Shiong, holds a $505 million note. It matures December 31, 2027, pays SOFR plus 8% quarterly and converts at $5.427 per share. Earlier affiliate notes have been converted into shares. The company's own notes state that substantial doubt about continuing as a going concern exists without more funding. Management considers that doubt resolved by Dr. Soon-Shiong's stated intent and ability to provide funds, including loans from affiliated entities. The auditors did not add a going-concern paragraph. Base case, -$0.91 per share. Sales keep adding about $6.5 million a quarter through 2027 ($217 million in 2026, $322 million in 2027). Growth then slows and sales level off near $500 million by 2030. The brakes are three approved rivals in the same indication (Merck's KEYTRUDA, Ferring's ADSTILADRIN and Johnson & Johnson's INLEXZO) and a limited patient pool. Research spending stays near its 2021-2025 level of about $230 million a year. The Nant note converts at maturity, adding about 93 million shares, and Oberland is paid in full. Owner earnings improve from about -$300 million in 2026 to about -$85 million a year in the 2030s but never turn positive. The key patents on giving BCG with ANKTIVA run to 2035 and US biologic exclusivity ends in 2036, after which sales fade out by 2039. In plain terms, on today's cost structure the business is expected to use up about $1.0 billion more than it generates, in today's dollars. That is roughly a negative 91 cents per share, and those losses would have to be funded by more share sales or founder loans. Bear case, -$2.07 per share. Growth fades now and sales stall around $290 million from 2028. The 2029 Oberland test is missed, so a true-up of about $210 million is due. The Nant note is not converted: it is extended at about $61 million of interest a year and repaid in 2035. The company uses the option it states in its filings to cut spending, reducing research to about $130 million from 2029. In this case the company appears to consume and owe about $2.2 billion more than it is worth. Bull case, $0.62 per share. Quarterly additions of about $6.5 million continue through 2029. The European and UK approvals add overseas sales, rising to $100 million by 2031, which takes total sales to roughly $750 to $865 million a year from 2031 to 2038. Overhead stays roughly flat, as it did in 2025, when selling and administrative costs fell while sales rose about eightfold. Early Oberland payments are met, so the rate drops to 2.25%. Owner earnings turn positive in 2030 at about $130 million, reach about $250 million, and fade as the remaining patents run out by 2040. Some items are left out. The papillary-only application is excluded because the FDA refused to file it in May 2025 and it has not been accepted since. The pipeline is valued at zero, though its cost is included. Cash and Treasury securities of about $357 million at June 30, 2026 are not added separately, because the cash flows above already carry every debt and interest payment. Warrant dilution was not modeled. The value could be higher than we estimate if the company cuts research spending or wins new indications. No margin-of-safety price applies on price alone while the base case is negative. If the business shows it can pay for itself, the margin-of-safety price is $0.25, well below the $0.62 bull value. That wide margin reflects a single product, a founder-controlled company and exclusivity that ends in 2035-2036.
