Business condition attached to the margin of safety At least one more quarter confirming that revenue growth has stabilized near its recent pace rather than continuing to decelerate, and that the loss recorded on the second-quarter 2026 business sale was a one-time item.
SPS Commerce operates a cloud-based network that connects retailers, grocers, distributors and their suppliers for order management, invoicing, and other supply-chain data exchange. The business is built almost entirely on recurring subscriptions - 96% of 2025 revenue came from recurring-revenue customers - and it has grown every single quarter for the past 25 years (100 consecutive quarters of revenue growth through the end of 2025). No single customer accounts for as much as 1% of revenue, and the company carries no debt. In the last two years the company made two sizeable acquisitions that extend its reach into a new customer segment: SupplyPike (invoice deduction management, closed July 2024) and Carbon6 (tools for sellers on Amazon.com, closed February 2025), together representing over $400 million of purchase consideration. These deals brought in a large number of new, generally smaller "third-party" customers - the number of recurring-revenue customers grew 20% in 2025 to about 54,600 - but these newer accounts carry lower average revenue per customer than the company's traditional retail-network business, and they don't yet have the multi-year retention record the core business has built. Reported profit in 2025 also benefited from an unusual swing in deferred taxes, as the company worked through the last of its historical tax-loss carryforwards and became a full cash taxpayer; that swing added meaningfully to 2025's reported earnings but isn't something that repeats every year, so we've treated 2025 profitability as somewhat overstated for planning purposes and normalized it back down. More recently, growth has slowed: revenue in the first half of 2026 grew only about 6% year over year, compared with 18% growth for full-year 2025. Reported net income was also down significantly in the first half of 2026, but most of that decline traces to a one-time accounting loss of roughly $23 million recorded on the sale of a business in the second quarter of 2026 - a non-cash charge that didn't reduce actual cash generated by the business, which in fact grew strongly over the same period. Setting that one-time item aside, underlying profitability held up; the real news is slower revenue growth, not weaker cash economics. We value the company from a normalized level of underlying cash earnings today of roughly $3.45 per share - below the raw 2025 figure, to back out the one-time tax benefit described above, but including the full benefit of both recent acquisitions. Our base case assumes growth continues but at a markedly slower pace than the company's historical run rate, consistent with what the first half of 2026 has actually shown - around 7% per year for the next few years as the newly acquired customer base fully ramps to normal revenue levels (the company has noted that new customers take time to become meaningful revenue contributors), settling toward a still-respectable mid-to-high single digit pace through year ten. Beyond that, we give credit to the company's twenty-five-year, unbroken record of revenue growth and its network economics - more retailers make the network more valuable to suppliers, and vice versa - as support for continued modest growth, though not at anything like the double-digit rates of the past. This produces a value of roughly $168 per share. Our bear case assumes the slowdown seen in the first half of 2026 is not temporary - that pressure on retail-sector spending (tariffs are specifically flagged as a headwind in the company's own disclosures) and softer retention among the newly acquired, lower-value customer base (most contracts can be cancelled with 30 to 90 days' notice) keep growth in the low single digits for a decade. Even here we don't assume the business shrinks - its diversified customer base and debt-free balance sheet argue against an outright decline, and the twenty-five-year record of never having a down quarter is itself evidence against a collapse scenario. This produces a value of roughly $96 per share. Our bull case assumes the two recent acquisitions ramp faster and more fully than the base case assumes, which is a reasonable outcome given the same per-customer revenue growth (8% in 2025) the core business has already demonstrated - supporting low-double-digit growth for several years before settling toward the same long-run pace as the base case. This produces a value of roughly $251 per share. Given the spread between the bear and base cases, the margin-of-safety price sits at a meaningful discount to fair value - roughly 28%, which works out to about $120 per share.
