SiteOne Landscape Supply describes itself as the largest and only national full product line wholesale distributor of landscape supplies in the United States, with an established presence in Canada. At the end of fiscal 2025 it operated 673 branches selling irrigation systems, outdoor lighting, nursery goods, hardscapes, fertilizer, herbicide, ice melt and related supplies. Roughly 34% of 2025 sales went into new construction and about 30% into repair and upgrade of existing landscapes; the rest is mainly maintenance demand, which the company says provides stability across economic cycles. The company was built by Deere and Company, had 60% of it bought by an affiliate of Clayton, Dubilier and Rice in December 2013, and completed its public offering in May 2016. How we measure earnings. We measure what the business leaves for shareholders after paying for the capital it needs: operating cash flow, less the cash consumed or released by receivables, inventory and payables, less stock-based compensation (treated as a real cost), less the part of capital spending needed just to stay in business. On that basis owner earnings per share were $1.79 in fiscal 2016, $1.71 (2017), $2.56 (2018), $2.80 (2019), $4.09 (2020), $6.58 (2021), $7.09 (2022), $5.51 (2023), $4.78 (2024) and $5.49 (2025). Growth capital spending was separated using the ten-year average ratio of capital spending to sales (about 0.79%). Two accounting judgements matter. First, removing working capital swings adds back the large inventory builds of 2021 and 2022 (working-capital investment of about $131 million and $148 million, mostly inventory), which flatters those two years; without that adjustment the same five-year median would be about $4.82 rather than $5.49. Second, amortization of software and acquired intangibles ($60.1 million in 2025) is a non-cash charge that is added back, so we carry the fading value of acquired customer relationships (net carrying value $205.2 million, average remaining life 15.7 years) in the growth path instead of lowering the earnings level. Anchor. We use the median of fiscal 2021 through 2025, $5.49 per share, because by 2021 the company had reached its current scale after years of acquisitions. Earlier years describe a much smaller business. We do not use the latest year alone. Owner earnings rose about 15% per share in 2025 ($4.78 to $5.49), but the base case assumes 0% in the first year, below that recent rate, because 2025 organic daily sales rose only 1%; the 4% rise in net sales to $4,704.8 million came mainly from acquisitions. What we credit and what we leave out. Growth that is in the bag is limited here. The business has bought small local distributors in recent years (15 acquisitions costing $175.9 million since the start of fiscal 2024). That process is real, but acquisition spending is not deducted in owner earnings, so we cannot count acquired growth without also charging its cost, and we have no reliable measure of the return on those deals. The base case therefore credits no growth from acquisitions, no market expansion, no share gains and no margin improvement. Base case ($73 per share). Owner earnings stay flat at $5.49 for ten years, reflecting the branch network already in place. After year ten we let them decline 3% a year, because the customer relationships bought through acquisitions gradually erode unless replaced, and we do not credit the replacement. Discounted at 6%, this is worth about $73 per share. Bear case ($49 per share). New construction and repair-and-upgrade together made up about 64% of 2025 sales and were described as soft that year; 2024 owner earnings already dipped to $4.78. We assume owner earnings settle at $4.00 (about 27% below the anchor) for ten years and then decline 5% a year. Debt is modest, at $389 million gross at year-end 2025 against about $248 million of annual owner earnings, so leverage is not what drives this case; demand is. Bull case ($98 per share). Acquisitions continue at their recent pace and earn more than they cost: owner earnings grow 3% a year for ten years, well below the roughly 13% annual per-share growth from 2016 to 2025, and then decline 2% a year. Anything faster would require a housing recovery or new products, which we do not credit. What would make this wrong. If the cash tied up in inventory and receivables is a permanent cost of running a growing distributor rather than a timing swing, owner earnings are closer to $4.80 and the base case falls toward $64. If acquisitions earn well above the 6% we use to discount, the value is higher than any case shown. We could not measure the return on acquisitions from the filings, so it is not included. Margin-of-safety price. The margin-of-safety price of $45 sits below the bear case, since housing-linked demand is cyclical and the base case assumes no growth is earned.
